A RESOLUTION APPROVING AMENDMENT NO. 2 TO THE
AGREEMENT BETWEEN THE CITY OF PUEBLO AND LONCO,
INC., FOR PROFESSIONAL SERVICES ASSOCIATED WITH
THE REPLACEMENT OF THE MAIN STREET BRIDGE
BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, COLORADO, that:
SECTION 1
The Amendment No. 2 to the Agreement for Professional Engineering Services
associated with the replacement of the Main Street Bridge, by and between the City of
Pueblo, a Municipal Corporation, and Lonco, Inc., a copy of which is attached hereto, having
been approved as to form by the City Attorney, is hereby approved.
SECTION 2
The President of the City Council is hereby authorized and directed to execute said
Amendment No. 2 in substantially the same form as attached, for and on behalf of the City
of Pueblo, and the City Clerk is hereby directed to attest same and affix the seal of the City
thereto.
SECTION 3
Funds for said Professional Services, in the amount of $393,817, shall be paid from
Highway User Trust Funds, Account Number 005 -1993- 413- 000 - 040 -3550.

AMENDMENT NO.2 TO
AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES
THIS AMENDMENT NO.2 To Agreement For Professional Engineering Services is made
and entered into this 26th day of September, 1994 by and between the City of Pueblo, a Municipal
Corporation (hereinafter referred to as "Owner ") and Lonco. Inc. a professional engineering firm
(hereinafter referred to as "Engineer ").
WHEREAS, Owner and Engineer have heretofore entered into an Agreement (hereinafter
"the Agreement ") dated May 10. 1993 and subsequent Amendment dated December 13. 1993
wherein Engineer agreed to render certain professional engineering and related services for Owner
in connection with the Main Street Bridge Replacement Project (hereinafter referred to as the
"Project "); and
WHEREAS, the parties contemplate that the Project shall continue into a subsequent phase
or other work not within the original scope of the Agreement, and it is necessary and desirable that
the Agreement be amended to include the subsequent phase services or other work;
NOW, THEREFORE, in consideration of the foregoing and the mutual terms and conditions
set forth herein, the parties agree as follows:
1. The Agreement is amended by expanding the scope of work to include all
professional engineering services reasonably required or necessary for the "Construction Phase" as
contemplated within paragraphs 1.1 and 2.4 of the Agreement.
2. Appendix "A" to this Amendment No. 2 shall be added to the original Appendix A -
Scope of Services and Engineer shall complete the work items described generally in Appendix "A"
to this Amendment No. 2 in accordance with the terms of the Agreement for the performance of
professional services in the Construction Phase of the Project.
3. With respect to Engineer's services provided during the Construction Phase,
Appendices "B" and "C" to this Amendment No. 2 shall apply to compensation payable to Engineer,
and to key personnel and consultants employed or retained by Engineer, in connection with
Engineer's services during said phase of the Project.
4. Except as expressly modified by this Amendment No. 2, the Agreement (including
the prior Amendment) shall remain in full force and effect. Any obligations remaining to be
performed under the original Agreement by either party, relating to the professional services to be
performed by Engineer generally or with respect to other phases of the project are not waived or
excused in any manner, but shall be fully performed in accordance with the terms and conditions of
the Agreement as it existed prior to this Amendment No. 2.

Agreement For Professional Engineering Services as of the date first above written.

APPENDIX 'A' SCOPE OF SERVICES
CONSTRUCTION PHASE SCOPE OF WORK
CITY OF PUEBLO
MAIN STREET BRIDGE REPLACEMENT PROJECT
BRIDGE NO. PUEMAIN- 0.I -COR
I. INTRODUCTION
This "Scope of Services" is supplementary to the construction phase services described
in the Agreement for Professional Engineering Services for the improvement of Main
Street Roadway and the replacement of the Main Street Bridge, Structure number
PUEMAIN- 0.I -COR.
The engineering services required shall include administration and coordination (including
with Railroads), on -site observation, shop drawings and submittal development review.
Project Construction is scheduled for October 1994 to December 1995.
The Engineer shall be responsible for performing the necessary engineering and preparing
the specific documents as outlined. The applicable American Association of State
Highway and Transportation Officials (AASHTO), the Colorado Department of
Transportation (CDOT) Construction Manual and the City of Pueblo construction
standards shall provide the criteria and requirements necessary for performing the work.
The Engineer understands that this project is being funded primarily with Special Bridge
Funds from the State of Colorado. Upon final inspection of the completed bridge by a
CDOT bridge inspection consultant, the bridge must be removed from the Select List of
Federal Bridge Inventory as evidenced by the revised Sufficiency Rating, and it must
meet the legal load limits. When completed, if it is not removed from the Select List, the
Engineer will be responsible for the additional design and construction cost and loss of
funding due to a failure in the Engineer's design of the project to meet the above criteria.
Additional instruction is provided herein as it pertains to each task in the project.
II. PROJECT ADMINISTRATION
The City of Pueblo will be the sole contracting agency for this project. All work will be
subject to the review and approval of the Director of Public Works or his authorized
representatives.

III. SERVICES AND INFORMATION AVAILABLE FROM THE CITY
The following information and services related to the Project will be made available and
provided by the City:
A. Provide coordination and maintain relations with adjacent businesses and property
owners
B. Storm Drainage Construction Observations
C. Sanitary Sewer Construction Observations
D. Coordination with Utilities and Lighting
E. Traffic Control Observation
F. Excavation and Full Observation
G. Asphalt Paving Observation
H. Pay Request and Change Order Assistance
IV. PROJECT TASKS AND INSTRUCTIONS
The Engineer shall furnish assistance and special consultants to review the work in
accordance with the contractor's schedule, including any revisions thereto.
The Resident Engineer is the Engineer's agent at the site, will act as directed by and
under the supervision of Engineer, and will confer with Engineer regarding the Resident
Engineer's actions. The Resident Engineer's dealings in matters pertaining to the on -site
work shall in general be with Engineer and Contractor keeping Owner advised. The
Resident Engineer's dealings with subcontractors shall only be through or with the full
knowledge and approval of CONTRACTOR.
A. Resident Engineer /Assistant Resident Engineer
Engineer shall furnish a Resident Engineer, assistants, material testing and survey
verification to assist Engineer in observing performance of the work of Contractor
(successful Construction Contractor)
Through more extensive on -site observations of the work in progress and field
checks of materials and equipment by the Resident Engineer and assistants,
Engineer shall endeavor to provide further protection for Owner against defects
and deficiencies in the work of Contractor; but, the furnishing of such services
will not make Engineer responsible for or give Engineer control over construction
means, methods, techniques, sequences or procedures or for safety precautions or
programs, or responsibility for Contractor's failure to perform the Work in
accordance with the Contract Documents.

The duties and responsibilities of the Resident Engineer are limited to those in
Engineers' agreement with the Owner and in the construction Contract Documents,
and are further limited and described as follows:
B. Duties and Responsibilities of Resident Engineer
1. Schedules: Review the progress schedule, schedule of Shop Drawing
submittal and other schedules prepared by Contractor and consult with
Owner concerning acceptability.
2. Conferences and Meetings: Attend meetings with Contractor, such as
preconstruction conferences, weekly progress meetings, job conferences
and other project - related meetings, and prepare and circulate copies of
minutes thereof.
3. Liaison:
a. Serve as Owner's liaison with Contractor, working principally
through Contractor's superintendent and assist in understanding the
intent of the Contract Documents.
b. Assist in obtaining from Owner additional details or information,
when required for proper execution of the Work.
4. Shop Drawings and Samples:
a. Record date of receipt of Shop Drawings and samples.
b. Receive samples which are furnished at the site by Contractor, and
notify Engineer of availability of samples for examination.
C. Advise Owner and Engineer and Contractor of the commencement
of any Work requiring a Shop Drawing or sample unless the
submittal has been reviewed with no exceptions taken by Engineer.
5. Review of Work, Rejection of Defective Work, Inspections and Tests:
a. Conduct on -site observations of the Work in progress to assist
Engineer in determining if the work is in general proceeding in
accordance with the Contract Documents.
b. Report to Owner and Contractor whenever the Resident Engineer
believes that any work is unsatisfactory, faulty or defective or does
not conform to the Contract Documents, or has been damaged, or
does not meet the requirements of any inspection, test or approval
required to be made; and advise Owner and Contractor of Work
that the Resident Engineer believes should be corrected or rejected
or should be uncovered for observation, or requires special testing,
inspection or approval.

C. Verify that tests are conducted in the presence of appropriate
personnel and observe, record and report to Owner appropriate
details relative to the test procedures.
d. Accompany visiting inspectors representing public or other
agencies having jurisdiction over the Project, record the results of
these inspections and report to owner.
6. Interpretation of Contract Documents: Report to Owner when
clarifications and interpretations of the Contract Documents by Engineer
are needed and transmit to Contractor clarification and interpretations as
issued by Owner or Engineer.
7. Modifications: Consider and evaluate Contractor's suggestions for
modifications to Drawings or Specifications and report with the Resident
Engineer's recommendations to Owner. Transmit to Contractor decisions
as issued by Owner.
8. Records:
a. Maintain at the job site orderly files for correspondence, reports of
job conferences, Shop Drawings and samples, reproductions of
original Contract Documents, including all directives, clarifications,
Addenda, Change Orders, Field Orders, additional drawings issued
subsequent to the execution of the Contract, Owner's clarifications
and interpretations of the Contract Documents, progress reports,
and other Project related documents.
b. Keep a diary or log book, recording Contractor hours on the job
site, weather conditions, data relative to questions of directives,
clarifications, Change Orders or changed conditions, list of job site
visitors, daily activities, decisions, observations in general, and
specific observations in more detail as in the case of observing test
procedures.
C. Record names, addresses and telephone numbers of all Contractors,
subcontractors and major suppliers of materials and equipment and
public or other agencies having jurisdiction over the Project and
Utility Owners.
d. Keep a photographic record of Contractor's progress and other
important portions of the demolition, erection, and paving.
9. Reports:
a. Furnish Owner periodic reports as required of progress of the work
and of Contractor's compliance with the progress schedule and
schedule of Shop Drawing and sample submittal.

b. Consult with Owner in advance of scheduled major tests,
inspections or start of important phases of the work.
C. Draft proposed Change Orders, directives, and clarifications,
obtaining backup material from Contractor where appropriate and
recommend to Owner change orders, and any other actions that
may be required of Owner.
d. Report immediately to Owner upon the occurrence of any accident.
10. Payment Requests: Review applications for payment with Contractor for
compliance with the established procedure for their submission and
forward with recommendations to Owner noting particularly the
relationship of the payment requested to the schedule of values, work
completed and material and equipment delivered at the site but not
incorporated in work.
11. Certificates Maintenance and Operation Manuals: During the course of the
work, verify that certificates, and other data required to be assembled and
furnished by Contractor are applicable to the items actually installed and
in accordance with the Contract Documents and have this material
delivered to Owner for review prior to final payment for the work.
12. Completion:
a. Before Owner issues a Certificate of Substantial Completion,
submit to Owner and Contractor a list of observed items requiring
completion or correction.
b. Conduct final inspection in the company of Engineer, Owner,
Representatives of Santa Fe and D &RGW Railroads, the Pueblo
Conservancy District and Contractor and prepare a final list of
items to be completed or corrected.
C. Observe that all items on final list have been completed or
corrected and make recommendations to Owner concerning
acceptance.
d. Prepare Record Drawings from Contractor's shop drawings, on -site
observations and other means used during construction.
C. Limitations of Authority
Resident Engineer:
1. Shall not be authorized to grant any deviation from the Contract
Documents or substitution of materials or equipment, unless authorized by
Owner.

2. Shall not exceed limitations of Engineer's authority as set forth in the
Agreement or the Contract Documents.
3. Shall not undertake any of the responsibilities of Contractor, subcontractors
or contractor's superintendent.
4. Shall not advise on, issue directions relative to or assume control over any
aspect of the means, methods, techniques, sequences or procedures of
construction unless such advice or directions are specifically required by
the Contract Documents.
5. Shall not be required to advise on, issue directions regarding or assume
control over safety precautions and programs in connection with the
Contractor's work or the work of third parties.
6. Shall not accept Shop Drawings or sample submittal from anyone other
than Contractor.
V. TIME SCHEDULE PROPOSAL
All work on this project shall be completed within 425 calendar days from the Notice -to-
Proceed in October, 1994. Time extension will be reviewed by the City for delays
beyond the Engineer's control
VI. PROFESSIONAL LIABILITY INSURANCE
The Engineer shall provide Professional Liability Insurance in the amount of One Million
Dollars ($1,000,000) in a form, and with a deductible, acceptable to the City.
VII. LITIGATION AND DISPUTES
In the event Engineer is requested to provide extra services to City beyond that
contemplated in the Agreement for Professional Engineering Services in connection with
any unresolved dispute or litigation which has both (a) progressed beyond contract
administration and resolution of contract performance issues, and, (b) does not involve
claims by Owner or Contractor alleging negligence or interference by Engineer, Engineer
shall proceed as provided by paragraph 2.5(g) of the Agreement for Professional
Engineering Services.
APPENDIX "B" - FEE SCHEDULE

CONTRACT
COMPENSATION AND FEES; The City shall pay the Engineer for work which it
performs under this Agreement in accordance with the scheduled rates for labor and expenses as
shown in Exhibit 2. The Engineer agrees that its invoiced costs for completing all of the work
described in the Scope of Work shall not exceed $393,817.00 Dollars as shown in Exhibit 1.
When the Contractor performs work during periods that extend into the evening or
weekends, the Engineer shall provide field observation services during these periods. If any of
the Engineer's employees during these periods work in excess of 8 hours daily or 40 hours
weekly, the Engineer's employees' hours in excess of 8 hours daily or 40 hours weekly shall be
charged to the Premium line item in Exhibit 1 at 1.35 percent of the hourly rates otherwise
shown in Exhibit 2.

HOURLY CHARGES CONSULTING ENGINEERS
Hourly Charges - Hourly charges for time of principals and other personnel devoted directly to
the project consist of: direct personnel salary, plus general overhead, plus a profit factor. The
following schedule sets forth current 1994 billing rates for various classifications of personnel.
A 4.0% annual escalation rate to be added to these figures for each year beyond 1994.

When authorized in advance by the client, the expense of overtime will be charged at premium
rates.
Subcontract Expenses - Compensation for contracted services and consultants engaged by the
Engineer for the project will be at cost plus 5 percent for such services.
Reimbursable Expenses - Identifiable expenditures incurred by the Engineer or his consultants
in the interests of the project will be reimbursed at cost. These items involve the expense of
transportation, subsistence and lodging when traveling in connection with the project, expense
of long distance telephone calls, field office expenses, computer charges, expense of reproduction,
postage and fees paid for regulatory agencies.
