HomeMy WebLinkAbout7336RESOLUTION NO. 7'13A A RESOLUTION APPROVING AN AGREEMENT BETWEEN DESIGN STUDIOS WEST, INC., AND THE CITY OF PUEBLO FOR PROFESSIONAL SERVICES IN CONJUNCTION WITH THE EMPOWERMENT ZONES AND ENTERPRISE COMMUNITIES APPLICATION AND AUTHORIZING THE PRESIDENT OF CITY COUNCIL TO EXECUTE SAME BE IT RESOLVED BY THE CITY OF PUEBLO, COLORADO, that: SECTION 1. An agreement dated March 28, 1994, a copy of which is on file at the office of the City Clerk and made a part hereof by reference, after having been approved as to form by the City Attorney, by and between Pueblo, a Municipal Corporation, and Design Studios West, Inc., is hereby approved. SECTION 2. Revenue to support this expenditure will come from public and private funds for said professional services and shall be paid from Account No. 144 - 1994 - 202 -0 -40 -0020. SECTION 3. The President of the City Council is hereby authorized to execute the said Agreement on behalf of Pueblo, a Municipal Corporation, and the City Clerk shall affix the seal of the City thereto and attest same. INTRODUCED: MARCH 28, 1994 ATTEST City Clerk BY: SAMUEL CORSENTINO Council Person PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT, entered into the &T# day of MARC d ,1994, by and between THE CITY OF PUEBLO, located at 211 East "D" Street, P.O. Box 1427, Pueblo, Colorado 81003, hereinafter referred to as "OWNER" and DESIGN STUDIOS WEST, INC., located at 1425 Market Street, Suite 100, Denver, Colorado 80202, a Corporation, hereinafter referred to as the "CONSULTANT ". Consultant hereby agrees to provide the City of Pueblo with professional planning and community involvement expertise in order to submit the necessary plans and documentation for application as an Empowerment Zone /Enterprise Community. Consultant will be responsible for assisting the City of Pueblo in the preparation of and submitting a strategic plan according to those rules, standards and criterion provided by the Department of Housing and Urban Development and as published in the Federal Register, Volume 59, No. 11 on January 18, 1994 (24 CFR Part 597). The Owner and the Consultant agree as set forth below: ARTICLE 1: SERVICES The Consultant shall represent the best interests of the Owner at all times. The Consultant shall provide the Owner with project management and planning services as specified in the attached Scope of Services (Appendix A), which is an integral part of this Agreement. The Owner shall compensate the Consultant for services rendered and expenses incurred under this Agreement as provided in the "Professional Fee" (Appendix B), which is an integral part of this Agreement. Additional Services, if required by the Owner, shall be provided by a Work Release (Appendix C). Consultant shall adhere to and comply with the provisions of Exhibit D, Compliance Provision Incorporated in a Contract for Services, and Exhibit E, Certification, attached hereto and incorporated herein. ARTICLE 2: METHOD OF COMPENSATION A. Consultant shall be compensated on an estimated percent complete basis of a fixed fee of $55,440.00 in accordance with "Professional Fee" (Appendix B). B. Owner shall be responsible for and pay all direct expenses of Consultant as described in the Professional Fee Schedule attached and made part of this agreement. Direct expenses shall not exceed 15 % of the fixed fee unless approved in writing by owner prior to being incurred by consultant. It is specifically understood that the Consultant shall be compensated for all direct expenses and percentage completion of work on a monthly basis. C. Consultant shall submit to the Owner an invoice based on an estimate of percentage of completion of the project for the preceding month. Such invoice shall define the completion of portions of the "Scope of Work" (Appendix A). The Owner reserves the right to require additional information from Consultant substantiating any and all such compensation sought by Consultant before accepting the invoice. The Owner shall compensate Consultant within thirty (30) days of receipt of an invoice or the receipt of the latter's if additional information is requested by owner. When additional information is requested the Owner shall so advise Consultant in writing, giving its reasons, following the same procedure if it objects to the payment of any item on an accepted invoice as being outside the scope of this Agreement. Payments not made before thirty (30) days after receipt or acceptance of an invoice (as outlined above) shall bear interest at a rate of one percent (1 %) per month. Failure of Owner to pay Consultant within forty - five (45) days after receipt and acceptance of Consultant's invoice shall allow Consultant after giving seven (7) day's written notice to Owner, to suspend services under this Agreement until all outstanding invoices which have been received and accepted by the Owner have been paid in full to the Consultant. Payments made by the Owner shall not constitute a waiver of the Owner's right to object to and seek relief for any error, omissions, or corrections to which the Owner is entitled. D. In contracting with Consultant for professional services, the Owner warrants that funds are available to compensate Consultant for the total amount of services and expenses contracted for the services, and that these funds are neither encumbered nor contingent upon subsequent granting of approvals, permits or financing commitments by lending institutions or other third parties. E. If the Project is suspended or abandoned in whole or in part for more than three (3) months, the Consultant shall be compensated for all services performed and direct expenses incurred prior to receipt of written notice from the Owner of such suspension or abandonment. Owner may suspend or abandon the Project upon written notice to Consultant. If the Project is resumed after being suspended for more than two (2) months, the Consultant's compensation shall be equitably adjusted. ARTICLE 3: DIRECT EXPENSES A. Direct Expenses which are typical for the completion of the Scope of Services are included in the "Professional Fee" as "Direct Expenses ". Such expenses are, by example, transportation, telephone, delivery, xerographic reproduction, materials and supplies. B. If the contract requires Consultant to incur specific costs not typical to the completion of the Scope of Services, then Consultant will be reimbursed for those costs. Such additional direct expenses shall be approved by the Owner in writing prior to being incurred by Consultant. C. No application fees, review fees or permit fees are included in the direct expenses. The Owner shall pay all such fees. co9205.doc Page 2 ARTICLE 4: OWNER'S RESPONSIBILITIES A. The Owner shall provide such information regarding its requirements for the Project as the Owner and Consultant initially agree are necessary for the design of the Project. The Owner shall provide a representative authorized to act in its behalf with respect to the project and Project requirements rendering prompt decisions to avoid unreasonable delay or duplication and to facilitate the execution of the Project. B. The Owner shall provide a single representative authorized to act in its behalf with respect to the Project and Project requirements rendering prompt decisions to avoid unreasonable delay or duplication and to facilitate the execution of the Project. The Owner's representative shall be responsible for reviewing and distributing drawings, reports and other related documents for review at key junctures. C. If the Owner knows or becomes aware of any fault, defect, non - conformance, error or omission with the Documents prepared by the Consultant, the authorized representative shall give prompt notice thereof to the Consultant. D. Any written approvals issued to the Consultant by the Owner as required in this Agreement, and as required for reasonable progress of the Consultant's work shall be presumptive evidence of the Owner's review and concurrence of the Project approach. E. Timely review of plans and reports. F. The information required by the paragraphs herein shall be furnished at no expense to the Consultant, who shall be entitled to rely upon the accuracy thereto, except to the extent the Consultant knows such information is inaccurate. G. The Owner shall consult with the Consultant before issuing interpretations or clarifications of the Consultant's Documents. H. The Owner shall advise the Consultant of the identity of other consultants and in -house personnel participating in the Project or related projects and the scope of their services and responsibilities. I. The Owner's representative shall participate in and aid in the preparation for all meetings with respect to the Project. J. If the Owner wishes to modify the scope of services as provided in this Agreement, the Owner and the Consultant shall prepare an agreed upon work release and compensation schedule. Please refer to Appendix C - Work Release. The Owner shall be responsible for the coordination and timely processing of such work releases in a manner as to not delay the Project Schedule. co9205.doc Page 3 ARTICLE 5: ADDITIONAL OR EXPANDED SERVICES If authorized in writing by the Owner, the Consultant shall furnish or obtain from other consultants Additional or Expanded Services of the following types which are not considered normal or customary proposed or anticipated at this time. The authorization of this work shall be done via the work release as specified in Appendix C. A. Program requirements that change substantially due to causes beyond the control of the Consultant and after the completion and approval by the Owner of each phase of drawings and text, requiring additional or substantive redesign or extra work time. B. Services of special consultants not identified in the Scope of Services. C. Making revisions in drawings or other documents for work prepared by other consultants retained by the Owner who are involved with the final design and construction drawing effort of the Project. D. Making revisions in drawings, text, or other documents when such revisions are inconsistent with written or implied approvals of progress or instructions previously given by the Owner. E. Meetings or presentations other than those specified in the Scope of Services. Serving as expert witnesses in connection with public hearings, arbitration proceedings or legal proceedings not involving disputes or litigation between the parties hereto. F. Providing any other service not otherwise included in the Agreement which cannot be anticipated at this time or is not customarily furnished in accordance with generally accepted practice and requested by the Owner to fulfill a specific or unique project program or design requirement developed during the planning process and not identified in the Scope of Services. ARTICLE 6: TERMINATION ither party may terminate this contract, upon seven (7) days written notice. In the event that this Agreement is terminated by the Owner through no fault of the Consultant, the Consultant shall be paid for services actually performed prior to such termination, plus any direct expenses then due the Consultant. co9205.doc Page 4 ARTICLE 7: OWNERSHIP OF DOCUMENTS Drawings, text and other documents as instruments of service are and shall remain the property of the Owner whether the Project for which they are made is executed or not. The Consultant shall have the use of products for promotional purposes and /or to demonstrate experience related to the project. Reproducible copies shall be made available to the Owner. ARTICLE 8: LITIGATION In the event of litigation between the parties arising out of this agreement, the Court shall award the prevailing party all costs and expenses of such litigation including reasonable attorney and expert witness fees. ARTICLE 9: SUCCESSORS This Agreement is binding on both parties and their successors and assigns. Neither the Owner or the Consultant shall assign, sublet or transfer his interest in this Agreement without the written consent of the other. ARTICLE 10: EXTENT OF AGREEMENT This Agreement and its appendices represent the entire and integrated Agreement between the Owner and the Consultant and supersedes all prior negotiations, representation or Agreements, either written or oral. This Agreement may be amended only by written instrument signed by both Owner and Consultant. ARTICLE 11: PROFESSIONAL LIABILITY INSURANCE The Consultant shall secure and maintain in full force and effect a policy of professional liability insurance in the amount of $500,000.00, providing coverage for any errors or omissions by it occurring during the term of this Agreement. Owner shall be added as an additional insured to the policy. A copy of said insurance policy shall be provided to Owner upon execution of this Agreement. ARTICLE 12: PERIOD OF SERVICES The provisions of this section and the professional fees outlined under "Professional Fee" (Exhibit B) have been agreed to in anticipation of the orderly and continuous progress of the PROJECT. The Consultant will complete and deliver to the City all phases of work as provided for in the Scope of Services (Appendix A) but in no case later than 5:00 P.M. on Monday, June 27, 1994. It is understood by the OWNER and CONSULTANT that upon authorization to proceed the CONSULTANT will make every effort to prepare the necessary plans, drawings, and related documents as quickly as possible for each of these tasks. The schedule may be revised by written mutual agreement of the OWNER and CONSULTANT. co9205.doc Page 5 ARTICLE 13: ENTIRE AGREEMENT This document with appendices and matters incorporated herein by reference constitutes the entire agreement of the parties hereto and supersedes prior negotiations, representation or agreements whether written or oral between parties. No modification, change or alteration of the within Agreement shall be of any legal force or effect whatsoever unless in writing, signed by all of the parties hereto. Bush Vice - President Attested By: �`�'� co9205.aoc Page 6 PROPOSED SCOPE OF SERVICES PUEBLO STRATEGIC PLAN PHASE ONE - PROJECT ORGANIZATION AND EXISTING CONDITIONS ANALYSIS 1.1- Project Organization and Schedule The consultant will meet with staff to determine the specific work program and create a detailed outline of the work necessary for proceeding with the Strategic Plan. We will also work closely with the Council to clarify the planning goals and objectives, develop a succinct timeline and formulate a specific strategy for citizen and / or committee review and input. As part of this task, the consultant will develop a process oriented towards the identification of stakeholders who will be asked to participate throughout the development of the Strategic Plan. It may be that a special Strategic Plan Task Force is appointed by the Council in order to represent those individuals who will be effected by the planning process. Our intent would be to identify a 15 to 20 person "task force" to act as a group who could officially represent those who would be affected by the process. Our intent is to create a structure which fairly represents the economic, geographic and cultural issues which exist in the area and ensure that the group is knowledgeable and representative of the various issues and concerns. Products: • Project Schedule • List of Stakeholders • Selection of Task Force 1.2 Initial Planning Meeting (Identify Project Area) The consultant will schedule a meeting with the planning department, City Manager and other affected parties to initiate the project and review the preliminary scope. At this time, consultant members will identify proposed "project areas" to be evaluated. In addition, poverty rates, population and goegraphic information gathered previously will be reviewed by the staff to ensure an understanding of the available information and determine a preliminary area. It has been our experience that this initial project organization session is critical to the success of the Strategic Plan. The perceptions of the individual parties as to the intent, application and limitations of the planning effort must be identified early in the process to ensure that the expectations of all parties are realized. Product: Meeting with the Staff, City Manger and other affected parties. pr9313 \ab032194.doc 1.3 - Collect and Review Background Information The consultant, city staff and project volunteers will collect available information related to the physical, social and economic database. It is our intent to utilize only existing and available information for the preparation of the Strategic Plan to minimize costs and ensure delivery of the product in a timely fashion. The data to be collected and reviewed for the initial planning efforts may include: A. Current Census & Market Data 1. Population census 2. Median wages 3. Poverty 4. Unemployment 5. Etc. B. Economic Data 1. Employment data 2. Job Creation History 3. Industry Breakdown 4. State -wide data C. Land Use and Land Forms 1. City Comprehensive Plan (text and maps) 2. Available Public Lands 3. Prepare Base Map and Project Identity Products: • Base Map and Project Identity • Existing Conditions Library 1.4 - Site Reconnaissance & Photography The project consultant will conduct a visual survey of the area which identifies a range of character areas or neighborhoods within the study area. Our intent is to document the study area utilizing 35 mm slides and create a general designation associated with each of the neighborhoods or character areas. In addition, the consultant will utilize video technology to document the key corridors and land use types. Products: • 35mm Slides of Each Area • A Video Identifying Key Neighborhoods and Neighborhoods 1.5 - Existing Conditions - Initial Asset and Opportunity Inventory The consultant will prepare on opportunities and constraints map combining the range of attributes outlined previously. The project neighborhood will be broken down into neighborhoods or neighborhood areas which share similar issues and concerns. For each neighborhood the consultant will identify potential needs, resources and opportunities for the project workshops. Please note that it is not the intent of the consultant to collect and evaluate exhaustive historical data related to the economic, social and physical environment. Our desire is simply to portray existing trends and conditions in order to understand the area and allow this information to understood by participants in workshops. Products: Opportunities and Constraints Map for Each Neighborhood or Neighborhood pr9313 \abO32194.doc PUEBLO STRATEGIC VISION SCOPE / PAGE 3 PHASE TWO - COMMUNITY WORKSHOPS TO REVIEW ISSUES AND IDENTIFY FUTURE DESIRES 2.1- Public Workshop One: Needs AssessmenVIssues, Hopes and Desires The objective of Workshop One will be twofold. First, the consultant will review the analysis of existing and available data to ensure our understanding and create the basis for discussing preliminary issues. Second, the consultant will facilitate a discussion related to community desires for the neighborhood. The discussion will be focused in three primary areas, including: Sustainability Economic Opportunity Strategic Vision for Change During the initial portion of the workshop the consultant will present a summary to the existing and available data. Based upon the opportunities and constraints identified for each of the neighborhoods, the consultant will identify key issues per area and potential crossover issues. Preliminary issues may include: • Job Creation • Geographic Employment Opportunities • Affordable housing concerns • Existing development pressure • Traffic congestion • Quality of life issues • Education /Job Training issues • Safety and crime issues • Employment opportunities • Etc. Once the consultant has expanded and refined potential issues, the thrust of the meeting will shift towards a discussion of community residents' hopes and desires related to the future of the area. The discussion related to future hopes and desires will be utilized by the consultant to identify potential alternative scenarios related to the area's future. It is our hope that we can work together with the community to ensure positive publicity and strong attendance for the workshops. It is assumed that the City will work with the consultant to coordinate and promote each of the workshops to ensure broad -based participation. Products: Technical Memorandum No. 1 - This memorandum will be a summary of the existing opportunities and constraints as will also include preliminary findings of the consultant consultant. Minutes will be taken for the workshop and will be organized by topic area. The intent of the Technical Memorandum will be to compare existing conditions to the potential alternative future scenarios. Facilitate Public Workshops pr9313 \abO32194.doc PUEBLO STRATEGIC VISION SCOPE / PAGE 4 PHASE THREE - ALTERNATIVE FurURE SCENARIOS During this phase of the process, the consultant will explore specific options for the neighborhoods. Our intent is to develop a series of alternative scenarios based upon the analysis of existing conditions information and the public input received during Workshop One. The alternative scenarios will describe in a narrative form potential "futures" for the neighborhood. Areas of particular concern will include: • Neighborhood • Balance • Human Scale • Restoration 3.1- Prepare Alternative Scenarios and Framework Diagrams The consultant will prepare a series of alternative future scenarios which describe options associated with future growth, land use patterns, social change and economic opportunities. Our intent will be to describe in narrative form the potential directions which may be taken by the area and the likely futures which would result from such choices. The consultant will then prepare alternative framework diagrams which identify in a generalized sense the potential land use, social and economic changes which are likely to result from the development of the preferred scenario. In diagrammatic form, the consultant will identify economic clusters, key areas of development, shifts in land use and potential physical development opportunities as it relates to a variety of land use issues. Each of the alternative scenarios will identify the shifts that are likely to take place in the area's land use base and would reflect different economic development directions that the community explored based upon the goals and desires identified in previous workshops. Products: Technical Memorandum No. 2 - This document will provide written summaries describing each alternative scenario and will include accompanying framework diagrams which organize the physical changes associated with pursuing this direction. A slide presentation will also be created which allows this information to be shared with the public during Workshop Two. Alternative Framework Diagrams (2 -3) Slide Presentation pr9313 \ab032194.doc PUEBLO STRATEGIC VISION SCOPE/ PAGE 5 3.2 - Public Workshop Two: Preliminary Vision & Strategies The objective of these workshops is to articulate, illustrate and review the future scenarios which resulted based upon the input from Workshop Number One. The planning consultant will present each of the alternative scenarios, describe the actions which are likely to occur as a result of choosing this direction and address its potential to positively and / or negatively affect the community. The goal of these workshops will be to review the options / alternatives and assist the participants in identifying a preferred direction for the community. We will assist in identifying the options available and assist the community in understanding the result of each selection. In addition, the consultant will identify potential scenario combinations which are consistent with the input provided in the previous workshop. After discussion and debate, the consultant will assist in the identification of a preliminary "vision" or "preferred future" which most closely represents the input from the community, the task force and the consultant consultant. Our intent will be to identify a direction and determine the most critical issues associated with its implementation. Products: • A Written Narrative and Graphic Depiction associated with the preferred future. • Facilitate Public Workshops • A Refined Technical Memorandum No. 2 pr9313 \ab032194.doc PUEBLO STRATEGIC VISION SCOPE / PAGE 6 PHASE FOUR - DRAFT STRATEGIC PLAN Based upon the results of the opportunities and constraints analysis, as well as the community input and response to the alternative future scenarios, the consultant will prepare a Draft Strategic Plan which blends existing economic physical, social and economic conditions with the alternative directions envisioned by the community. The intent is to create a direction for a series of inter - related topics to form the basis of the preferred future. This will likely include general economic positioning strategies, job creation opportunities, mobility strategies and potential community -based partnership opportunities. The intent is to define a preferred direction for each area and ultimately relate this to quality of life issues. 4.1- Draft Strategy Plan The consultant will prepare a Draft Strategic Plan which organizes the data described above in a series of written narrative and generalized graphics. The intent is to describe the relationship between existing conditions and the preferred direction identified through the community workshops and task force sessions and the unique needs identified in each neighborhood. The Draft Strategic Plan will be prepared in summary fashion and will include discussion be area topic. The potential organizational structure may include: • Executive Summary • Introduction to the Process • Existing Physical, Social and Economic Conditions • Critical Issues • Economic Positioning Strategies • Community -Based Partnership Opportunities • Vision Narrative Primary Strategies Product: Draft Strategic Plan Report 4.2 - Public Workshop Three: Draft Strategic Plan Presentation At the third series of workshops, the consultant will present the Draft Strategic Plan to the task force and broader community participants. Our intent is to identify the refined direction or "preferred future ", key positioning strategies and a strategic plan by issue area. The consultant will spend approximately 30 minutes in a formal presentation and will then facilitate a discussion oriented towards critical review and refinement of the draft plan. At the end of the session, the consultant hopes to have gained consensus on not only the narrative description of the preferred future, but also key economic positioning strategies, as well as strategic thrust by issue area. Products: Refined Draft Strategic Plan Facilitate Public Meeting No. 3 Review Meeting pr9313 \abO32194.doc PUEBLO STRATEGIC VISSION SCOPE / PAGE 7 PHASE FIVE - FINAL STRATEGIC PLAN The Final Strategic Plan will contain a written and graphic summary of the results of the overall planning effort. The intent of the Strategic Plan will be to articulate the "shared vision" or "preferred future" developed by the task force members and citizens. The Final Strategic Plan will meet standards and criteria of 24 CFR part 597 and clearly outline the community's envisioned future, as well as a series of goals and objectives, incorporated in a narrative form. In addition, the Strategic Plan will summarize existing physical, social and economic conditions and describe a series of key positioning strategies oriented toward achieving the vision. The graphic portion of the document will contain reduced drawing and sketches produced during the workshop process and a series of framework or organizational graphics which define general physical, social and economic relationships within the project area. Our intent is to produce a series of summary graphics which identify the key components of the vision and strategies. The consultant will also include a written summary of meeting minutes developed for each of the key workshop sessions and task force discussions. An executive summary will highlight key issues and can be utilized on a long -term basis as a "foundation" or "touchstone" for the planning process. Product: Final Strategic Plan Report (camera ready) pr93I3 \ab032I94.doc PUEBLO STRATEGIC VISION SCOPE / PAGE 8 PHASE SIX - IMPLEMENTATION PLAN Once the Strategic Plan has been adopted by the City Council, it will provide the basis to develop an implementation or action plan, as well as actual economic development and neighborhood improvement concepts in the area. The action or implementation plan will identify key acquisition strategies, public investment, as well as specific private investment strategies and community -based partnerships for each neighborhood neighborhood. 6.1- Draft Implementation Plan The project consultant will organize the range of specific ideas which have been developed by the community, task force and the consultant consultant as a basis to compare and prioritize specific actions oriented towards the implementation of the plan. Each of the potential ideas will be organized in a fashion which identifies it one of three strategic thrusts, including: Specific capital projects Programs and / or organizational shifts Regulatory or policy changes (including necessary waivers and /or barriers to be removed) The intent of this organizational framework is to move beyond the traditional "project thinking" and evaluate the projects, organizational issues, as well as regulatory or policy changes which may be necessary to implement the plan. In addition, the consultant will organize the strategies by neighborhood or neighborhood, identifying cross - cutting themes or overriding strategies and specific benchmarks or tools to be utilized to measure the success of the implementation effort. Product: Draft Implementation Plan 6.2 - Implementation Plan Workshops The project consultant will conduct a series of workshops oriented towards reviewing the organizational structure and the specific ideas by category and by geographic area. Our intent is to ensure that there is community support for the direction associated with the implementation plan and the initial prioritization by area. Product: Facilitate Workshops pr9313 \&bM2194.doc PUEBLO STRATEGIC VISION SCOPE / PAGE 9 6.3 - Prepare Implementation Plan The project consultant will prepare a detailed implementation plan based upon the framework discussed previously for each of the neighborhood within the project area. Utilizing the three main action areas (projects, programs and / or regulatory changes), the consultant will identify short -term, mid -term and long -term actions. Each item will be organized in the following fashion.
