A RESOLUTION APPROVING AN AGREEMENT BETWEEN
PUEBLO, A MUNICIPAL CORPORATION AND THE BOARD
OF COUNTY COMMISSIONERS OF LAS ANIMAS COUNTY,
COLORADO RELATING TO THE ACQUISITION OF THE
ELSON BRIDGE, AND AUTHORIZING THE PRESIDENT OF
THE CITY COUNCIL TO EXECUTE THE AGREEMENT
BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that:
SECTION 1
The Agreement dated September 13, 1993 between Pueblo, a
municipal corporation and the Board of County Commissioners of Las
Animas County, Colorado, a copy of which is attached hereto,
relating to the acquisition of the Elson Bridge by the City,
having been approved as to form by the City Attorney, is hereby
approved. The President of the City Council is authorized to
execute the Agreement in the name of the City and the City Clerk
is directed to affix the seal of the City thereto and attest same.
SECTION 2.
Funds for the acquisition and relocation of the Elson Bridge
in an amount not to exceed $100,000 shall be made available by
grants from the State Historical Fund and Colorado Department of
Transportation (Intermodal Surface Transportation Efficiency Act)
and upon receipt of such grants same shall be and hereby are
appropriated for such purposes.

AGREEMENT
THIS AGREEMENT entered into as of September 13, 1993 between
Pueblo, a Colorado Municipal Corporation (the "City ") and the
Board of County Commissioners of Las Animas County, Colorado (the
"County "), WITNESSETH:
WHEREAS, County owns and is in the process of replacing the
Elson Bridge located near E1 Moro in Las Animas County, Colorado,
and
WHEREAS, Elson Bridge is a historic bridge which City desires
to acquire, relocate and preserve, and
WHEREAS, County is willing to transfer the Elson Bridge to
City upon the terms and conditions herein set forth,
NOW, THEREFORE, in consideration of the foregoing and mutual
promises contained herein, City and County agree as follows:
1. County will include in its request for bids and con-
struction documents for the replacement of Elson Bridge provisions
for the disassembling and moving the Elson Bridge to a designated
storage site in accordance with plans and specifications therefor
approved by City (the "Specifications ") and for the City or its
agents to have access to the construction site to direct the
disassembling and marking of the Elson Bridge in order to
reasonably permit its reassemblage.
2. County will prepare its construction documents and
request for bids for the replacement of the Elson Bridge in a
manner to allow the County to identify the cost of disassembling
and moving the Elson Bridge (the " Elson Bridge Cost "). If the
Elson Bridge Cost exceeds $61,500 City may terminate this Agree-
ment within twenty (20) days after receipt of written notice from
County setting forth the name and address of the successful bidder
and the amount of Elson Bridge Costs included in the construction
bid acceptable to the County. Such notice shall be delivered in
person or mailed, first class postage prepaid, to Jim Munch,
Director of Planning, City of Pueblo, 211 E. "D" Street, Pueblo,
Colorado, 81003.
3. If the Elson Bridge Costs do not exceed $61,500 or if
City does not give written notice to terminate as provided in 2
above, County will through its contractor for the replacement of
the Elson Bridge (the "Contractor ") cause the Elson Bridge to be
disassembled and moved to the storage site in accordance with the
Specifications. The storage site will be designated by County and
approved by City upon land under the control or use of the County
near the Elson Bridge and accessible by public roads.
4. Within twenty (20) days after the Elson Bridge has been
disassembled and moved by the Contractor in compliance with the
Specifications to the approved storage site, City will pay to
County the Elson Bridge Cost in full and County shall deliver to
City a Bill of Sale for the Elson Bridge containing a warranty of
title. City will remove the Elson Bridge from the storage site
within 6 months from the date of delivery of the Bill of Sale to
City.
5. This Agreement shall not be assigned by either party and
shall be binding upon an inure to the benef it of the parties and
their respective successors.
6. This Agreement is contingent upon and subject to
approval of City's applications for and the City entering into
grant contracts with the State Historical Fund and the Colorado
Department of Transportation (Intermodal Surface Transportation
Efficiency Act) for grant funds for the acquisition and relocation
of the Elson Bridge.

Please be informed that Las Animas County is delighted to be
able to donate the historical Elson Bridge to the City of
Pueblo free of charge. The only cost to you will be
dismantling and transporting the bridge to where you will
relocate it.
We are glad that you will be able to utilize this bridge in
your downtown renovation project. Our only other option was
to have the bridge dismantled for scrap and since it is a
beautiful bridge, we certainly did not wish to see this
happen.
