HomeMy WebLinkAbout11068 City Clerk's Office Item # S8 Background Paper for Proposed Ordinance COUNCIL MEETING DATE: October 27, 2025 TO: President Mark Aliff and Members of City Council CC: Mayor Heather Graham VIA: Marisa Stoller, City Clerk FROM: Andrew Hayes, Public Works Director Jeff Shaw PEDCO SUBJECT: AN ORDINANCE APPROVING AND AUTHORIZING THE MAYOR TO SIGN A LICENSE AGREEMENT BETWEEN THE CITY OF PUEBLO, A COLORADO MUNICIPAL CORPORATION, AND TRUSSWORKS OPERATIONS, LLC, A DELAWARE LIMITED LIABILITY COMPANY SUMMARY: Attached is an Ordinance approving and authorizing the Mayor to sign a License Agreement by and between the City of Pueblo, a Colorado municipal corporation, and PREVIOUS COUNCIL ACTION: By Ordinance No. 11032, City Council approved an Employment Agreement and Contract to Buy and Sell Real Estate with Trussworks. BACKGROUND: Trussworks is a manufacturing company based in Texas, which makes roof trusses, floor trusses, and wall panels to support residential and multifamily builders in multiple states. They are looking to expand their operations into the Mountain West states to support their growth. On September 8, 2025, City Council approved an Employment Agreement with Trussworks and in conjunction with that Employment Agreement, a Contract to Buy and Sell Real Estate for the property located at 33850 United Avenue in the Air Trussworks chose the Property because of its proximity to the railroad tracks and the availability of the railroad tracks to receive materials and ship their manufactured trusses. The attached License Agreement grants Trussworks access over and onto City- owned property for the purpose of loading and offloading materials, equipment, and supplies from the railroad track located within the licensed areas, and other related and necessary incidental uses. The Parties anticipate closing on the sale of the Property on or before November 7, 2025. FINANCIAL IMPLICATIONS: There will be no direct financial impact to the City. BOARD/COMMISSION RECOMMENDATION: Not applicable to this Ordinance. STAKEHOLDER PROCESS: Not applicable to this Ordinance. ALTERNATIVES: If this Ordinance is not approved, Trussworks may not locate its new facility in Pueblo, Colorado. RECOMMENDATION: The Pueblo Economic Development Corporation recommends approval of this Ordinance. ATTACHMENTS: 1. Trussworks Rail License Agreement Exhibit A 2. Trussworks Revocable License Agreement ORDINANCE NO. 11068 AN ORDINANCE APPROVING AND AUTHORIZING THE MAYOR TO SIGN A LICENSE AGREEMENT BETWEEN THE CITY OF PUEBLO, A COLORADO MUNICIPAL CORPORATION, AND TRUSSWORKS OPERATIONS, LLC, A DELAWARE LIMITED LIABILITY COMPANY BE IT ORDAINED BY THE CITY COUNCIL OF PUEBLO, that: SECTION 1. The License Agreement by and between Pueblo, a Colorado municipal corporation, and Trussworks Operations, LLC, a Delaware limited liability company, a copy of which is attached hereto and incorporated herein by this reference, having been approved as to form by the City Attorney, is hereby approved. The Mayor is authorized to execute and deliver said Agreement in the name of the City and the City Clerk is directed to affix the seal of the City thereto and attest same. SECTION 2. The officers and staff of the City are authorized to perform any and all acts consistent with this Ordinance and the attached License Agreement which are necessary or appropriate to implement the transactions described therein. SECTION 3. This Ordinance shall become effective on the date of final action by the Mayor and City Council.
