A RESOLUTION APPROVING AN EASEMENT FROM THE
CITY OF PUEBLO, A MUNICIPAL CORPORATION TO THE
PRYOR - GIGGEY COMPANY, A CALIFORNIA CORPORATION
RELATING TO LAND AT PUEBLO MEMORIAL AIRPORT
BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that:

The Easement attached hereto and incorporated herein, from
Pueblo, a Municipal Corporation and The Pryor - Giggey Company, a
California Corporation, relating to land at Pueblo Memorial
Airport, having been approved as to form by the City Attorney, is
hereby approved and the President of the City Council is hereby
authorized to execute same for and on behalf of the City.

THIS Easement, granted this 4th day of May, 1987 by PUEBLO, a
Municipal Corporation, Grantor, to THE PRYOR- GIGGEY COMPANY, a
California Corporation, Grantee:
W I T N E S S E T H:
THAT IN CONSIDERATION of the sum of One Dollar ($1.00) and
other good and valuable consideration paid by the Grantee, receipt
of which is hereby acknowledged, Grantor hereby grants to Grantee
the following Easements:
(a) an easement to construct, install, operate, use and
maintain a loading dock within and upon the property described as
Parcel A on Exhibit 1 attached hereto and incorporated herein.
(b) an easement to construct, install, operate, use and
maintain a building within and upon the property described as
Parcel B on Exhibit 1 attached hereto and incorporated herein.
The Easements hereby granted and Grantee's use of same are
subject to and limited by the restrictions, reservations and cove-
nants contained in the Warranty Deed from Grantor to Grantee dated
February 20, 1987 and recorded on March 25 , 1987 in Book
2339 , at Page 245 of the records of the Pueblo County Clerk and
Recorder, the same as if such restrictions, reservations and
covenants were set forth herein in full.
Grantor reserves the right to use and occupy said property
for any purpose not inconsistent with the right and privilege
above granted and which will not interfere with Grantee's use of
the property.
Grantee agrees to indemnify and hold harmless the Grantor,
its officers, agents and employees from and against any and all
claims, expenses (including reasonable attorney fees), liabili-
ties, loss, or damage to property or injury to or death of
persons, caused by or arising out of the construction, installa-
tion, operation, maintenance, or use of the Easements hereby
granted or structures thereon.
This Easement shall be binding upon, and shall inure to the
benefit of the successors and assigns of Grantor and Grantee. In
case of abandonment of said Easement, all rights, privileges, and
interest granted hereby shall terminate.

Commencing at the most eas7eriy corner of Parcel A, Subdivision Exemption
No. 86 -8 recorded in Book 2317 at Page 471 of the Pueblo County Records;
thence N 46° 32' 32" W, along the Northeasterly line of said Parcel A,
a distance of 88.10 feet to the Point of Beginning; thence continuing
N 46 32' 32" W along said Northeasterly line, a distance of 52.60 feet;
thence N 43° 27' 28" E, a distance of 3.60 feet; thence S 46° 32' 32" E,
a distance of 52.60 feet; thence S 43° 27' 28" W, a distance of 3.60 feet
to the Point of Beginning. Said easement contains 189.36 square feet.

Commencing at the most easterly corner of Parcel A, Subdivision Exemption
No. 86 -8 recorded in Book 2317 at Page 471 of the Pueblo County Records;
thence N 46 32' 32" W, along the Northeasterly line of said Parcel A,
a distance of 88.10 feet to the Point of Beginning; thence continuing
N 46° 32' 32" W along said Northeasterly line, a distance of 353.70 feet;
thence N 43° 27' 28" E, a distance of 5.00 feet; thence S 46 32' 32" E,
a distance of 353.70 feet; thence S 43° 27' 28" W, a distance of 5.00
feet to the Point of Beginning. Said easement contains 1768.50 square
feet.
