A RESOLUTION TO ENTER INTO AGREEMENT WITH
THE DENVER AND RIO GRANDE WESTERN RAILROAD
COMPANY (D &RGW) FOR THE INSTALLATION AND
MAINTENANCE OF SIGNALS AND GATES AT THE
INTERSECTION OF FORTIETH STREET AND THE
D &RGW RAILROAD CROSSING
WHEREAS, the City desires the installation of automatic
flashing light signals with warning devices and gates at said 40th
Street crossing; and
WHEREAS, the Railroad Company shall furnish all labor,
materials, and supplies for the installation of said signals and
gates and shall thereafter operate, maintain, repair and keep said
signals and gates in proper working condition at its sole cost and
expense; and
WHEREAS, funds have been made available under the provi-
sions of Section 130 of Title 23, Public Law 100 -17, Surface Trans-
portation and Uniform Relocation Assistance Act of 1987, for
improvements to hazardous railroad /highway grade crossings; and
WHEREAS, the total estimated cost of materials, supplies
and labor for said signal installation is $85,809 which 90% shall be
from funds available under the Surface Transportation and Uniform
Relocation Assistance Act of 1987 and 10% by the City; and
WHEREAS, the City agrees to reimburse the railroad company
within thirty (30) days following receipt of an invoice for the
City's proportionate share of the costs and expenses as set forth;
and
WHEREAS, upon execution of this Agreement by the City and
Railroad Company, the City shall file with the Public Utilities
Company of the State of Colorado an application for authority to
install new signals and gates at 40th Street, and
WHEREAS, the installation of said signals and gates will be
in accordance with the specifications of the Public Utilities
Commission of the State of Colorado and in accordance with the
standards and specifications of the Association of American Rail-
roads, now, therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PUEBLO,
that:
SECTION 1.
The President of the City Council is hereby authorized to
execute and enter into the Agreement with the Denver and Rio Grande
Western Railroad Company for the installation and maintenance of
signals and gates at the intersection of Fortieth Street and the
D &RGW railroad crossing.

A G R E E M E N T
THIS AGREEMENT, Made and entered into this 23rd day of May, 1988, by and
between THE DENVER AND RIO GRANDE WESTERN RAILROAD COMPANY, a Delaware corporation,
hereinafter called "Railroad Company ", and CITY OF PUEBLO, a municipal corporation
of the State of Colorado, 211 East D Street, Pueblo, Colorado 81003, hereinafter
called "City ",
WITNESSETH:
WHEREAS, there exists a public road crossing at grade, known as 40th Street,
over the tracks of the Railroad Company at Mile Post 115.16 at Pueblo, in Pueblo
County, Colorado, and
WHEREAS, the City desires the installation of automatic flashing light
signals with audible warning devices and gates, hereinafter referred to as "signals
and gates ", at said 40th Street crossing, and
WHEREAS, the Railroad Company is agreeable to the proposed installation on
the terms and conditions herein set forth, and
WHEREAS, funds have been made available under the provisions of Section 130
of Title 23, Public Law 100 -17, Surface Transportation and Uniform Relocation
Assistance Act of 1987, for improvements to hazardous railroad /highway grade
crossings, and
NOW, THEREFORE, in consideration of the premises and of the mutual covenants
and agreements herein contained, the parties hereto promise and agree as follows:
(1) The work to be performed and the installation to be made is at a
public road crossing at grade, known as 40th Street, over the tracks of the
Railroad Company at Mile Post 115.16 at Pueblo, Colorado, as shown on the map
identified as "Dwg. No. P -582" hereto attached and hereby made a part hereof.
(2) The Railroad Company shall furnish all labor, materials, and supplies
for the installation of said signals and gates, including but not limited to, the
necessary wiring, bonding of the track rail, etc., at said heretofore described
road crossing at grade shown on Dwg. No. P -582. Total estimated cost of materials,
supplies and labor for said signal installation is $85,809 as shown on Exhibit "A"
attached which 90% shall be from funds available under the Surface Transportation
and Uniform Relocation Assistance Act of 1987 and 10% by the City.
(3) Upon execution of this Agreement by the City and Railroad Company, the
City shall file with the Public Utilities Company of the State of Colorado an
application for authority to install new signals and gates at 40th Street.
(4) Upon the completion of installation of said signals and gates, the
Railroad Company shall thereafter operate, maintain, repair and keep said signals
and gates in proper working condition at its sole cost and expense. It is
understood and agreed that the Railroad Company does not guarantee the continuous
and uninterrupted operation of the signals and gates covered by this Agreement, and
the Railroad Company shall not be liable for any failures of the signals and gates
regardless of whether such failures result from mechanical causes or other causes
whatsoever.
(5) The installation of said automatic signals and gates will be in
accordance with specifications of the Public Utilities Commission of the State of
Colorado and in accordance with the standards and specifications of the Association
of American Railroads.
(6) Whenever, by reason of railroad changes, the signals and gates must be
relocated, removed and /or replaced, any expense incurred shall be borne by the
Railroad company. In the event that the City or other party makes any change in
the road or related facilities, the City or other party causing the change shall
bear the expense of making any change, relocation, removal or replacement of said
signals and gates.
(7) The City agrees to reimburse the Railroad company within thirty (30)
days following receipt of an invoice for the City's proportionate share of the
costs and expenses as set forth herein.
(8) All the covenants herein contained shall be binding upon and inure to
the benefit of the successors and assigns of the parties hereto respectively.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be
executed by their duly authorized officers the day and year first above written.
