A RESOLUTION APPROVING AN AGREEMENT BETWEEN THE
CITY OF PUEBLO AND LONCO, INC., FOR PROFESSIONAL
SERVICES ASSOCIATED WITH THE 1988 BRIDGE REHABIL-
ITATION PROGRAM
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PUEBLO, COLORADO, that:

An Agreement dated June 27, 1988, a copy of which is on file at the
office of the City Clerk and made a part her - -of by reference, after having
been approved as to form by the City Attorney, by and between Pueblo, a Muni-
cipal Corporation, and Lonco, Inc., is hereby approved.

Funds for said professional services, which are estimated to cost
$78,000, shall be paid from Account Number 040 - 1988 - 446 -000- 040 -0020.
SECTION 3.
The President of the City Council is hereby authorized to execute
the said Agreement on behalf of Pueblo, a Municipal Corporation, and the City
Clerk shall affix the seal of the City thereto and attest the same.

1988 BRIDGE REHABILITATION PROGRAM
FOR VARIOUS CITY OF PUEBLO BRIDGES
C O N T R A C T
This Contract made as of the 27th day of June , 1988, by
and between LONCO, Inc., Consulting Engineers, 2680 18th Stree , Denver,
Colorado 80211 hereinafter referred to as the ENGINEERS, and the CITY OF
PUEBLO, hereinafter called the CITY; and
WHEREAS, the City desires to have engineering plans prepared for the
rehabilitation of various bridges within the City of Pueblo and
WHEREAS, the City desires to engage the Engineers to provide
professional services necessary to prepare the engineering plans, hereinafter
referred to as the Work; and
WHEREAS, the Engineers represent that they possess the necessary
qualifications to perform the Work for the City; and
WHEREAS, the City deems it to be in the public interest to engage the
Engineers to perform the Work as stated above; and
WHEREAS, the selection of the Engineers by the City was based upon a
comparative evaluation of the professional qualifications necessary for
satisfactory performance of the services required with relation to other
available engineers so qualified.
NOW, THEREFORE, in consideration of the performance, promises, covenants
and payments hereinafter set forth and agreed upon, City and Engineers agree
as follows, to wit:
ARTICLE 1
DESCRIPTION OF WORK AND SERVICES
SECTION I WORK LOCATION AND DESCRIPTION
The bridges are located at the following locations: The work required
at each site is briefly described. The work will consist of preliminary
and final documents to repair the deficiencies to a condition which will
maintain the present structural capacity if normal regular maintenance
is performed and overloading is not permitted. The services provided to
accomplish the design work will include all necessary personnel,
equipment, and materials required therefore.
Following is a list of the ten work locations and a description of the
work at each location:

SECTION II . COMMENCEMENT AND COMPLETION OF WORK
The Engineers agree to begin Work on the date set for commencement of
the Work in the City's written "Authorization to Proceed ". All Work
(except Contract Administration during construction) shall be completed
within 60 calendar days, from the date set for commencement, exclusive
of all days lost for reviews and approvals by the City or other agencies
whose approval may be required.
SECTION III SCOPE OF WORK
A. Subsequent to the City's written authorization to proceed and furnishing
of the information and data referred to in Article II, the Engineers
agree to undertake and faithfully fulfill the requirements of this
contract. The Engineers agree to develop in close cooperation with the
City the preliminary and final design documents and construction
estimates for the Project. The work is to be consistent with the
current design criteria of the City and the Colorado Highway Department.
B. The Engineers shall serve as the City's professional representatives for
the Project and shall give consultation and advice to the City during
the performance of its services as described under this Section.
C. Basic Services of the Engineer
1. General
All Work shall be prepared in accordance with the latest edition of
the Colorado Department of Highways (COON) standards and City
specifications and directions of this Contract. Specifically, the
CDOH standards to be used are:
a. Standard Specifications for Road and Bridge Construction.
b. Colorado Standard Plans
2. Special Instructions
Meetings :
The Engineers will be required to attend the following:
a. Preliminary meeting with the City.
b. Final design meeting with the City.
3. Foundation Investigation
No soils foundation work is required for this Project.
4. Hydraulics
No hydraulics analysis is required for this Project.

Util ities
Locations of all utilities shall be checked and verified with the
appropriate utility company, including, but not limited to:
a. Southern Colorado Power
b. Mountain Bell Telephone Company
C. Board of Water Works
d. Pueblo Gas and Fuel
A11 utility companies shall be provided a full size set of
preliminary engineering drawings and specifications.
Preliminary Engineering
The Engineers shall gather field data necessary to determine the
extent of work at each bridge site.
Bridge rehabilitation alternatives and their respective estimated
construction cost will then be developed. These alternatives will
be submitted for review.
Final Design
The final document for the rehabilitation Project will be prepared
in accordance with CDOH standards and specifications where
applicable. Working drawings of the approved preliminary design
documents will be prepared, incorporating proposed sequence of
construction operation, traffic control, and developing all special
provisions and special material specifications. CDOH standards and
specifications will be utilized and supplemented with special
details. Material quantities and respective cost will be
computed. Copies will be submitted for review.
After incorporating the changes from the final design review, the
Engineers will provide the City Purchasing agent sufficient copies
of design and contract documents for bidding process.
Biddina Assistance
a. The Engineers will be available to discuss or answer any
questions during the bid period. Prepare any required
addendum. Be present at bid opening review bids for
completeness and make recommendation.
Construction Observation and Administration
a. The Engineers will provide full -time observation of the
Project construction to assure compliance with the plans and
specifications. During those intervals of time when
construction is progressing slowly or on hold such full -time
observation shall be suspended. The Engineers shall maintain
a daily log of the work and shall furnish said log to the City
at the time of completion of construction.

b. Based on such observations, the Engineers shall determine the
amount owing the contractor and shall recommend payment due
the Contractor for processing by the city.
C. The Engineers shall review and approve shop drawings, samples,
and other submissions of the Contractor only for conformance
with the design concept of the Project and for compliance with
the information given in the Contract Documents.
d. The Engineers shall prepare as -built drawings showing
changes in the work authorized during construction as recorded
by the Contractor on the construction set of plans.
e. The Engineers have not been retained or compensated to provide
design and construction review services relating to the
Contractor's safety precautions or to means, methods,
techniques, sequences or procedures required for the
Contractor to perform his work; omitted services include but
are not limited to shoring, scaffolding, underpinning,
temporary retainment of excavations and any erection methods
and temporary bracing. The Engineers shall not be responsible
for any third party claims, actions, injuries or damages
caused by or resulting from the acts or omissions of the
Contractor or any subcontractors' agents or employees, or any
other persons performing any of the work.
ARTICLE II
CITY'S OBLIGATIONS
A.
The City shall provide full information regarding its requirements
for
the Project, including standard General Conditions and other legal
provisions as required.
B.
The City or its representative shall examine documents submitted by
the
Engineers and shall render decisions pertaining thereto promptly,
to
avoid unreasonable delay in progress of the Engineers' Work.
C.
The City shall guarantee access to and make all provisions for
the
Engineers to enter upon public and private lands as required for
the
Engineers to perform such services as surveys and inspections in
the
development of the Project.
D.
The City shall hold promptly all required special meetings, serve
all
required public and private notices, and act upon all protects in
the
development of the Project, and pay all costs incident thereto.
E. The City's representative with respect to the Work performed under this
Agreement shall be the Director of Public Works who shall have complete
authority to transmit instructions, receive information, interpret and
define the City's policies and decisions, with respect to this project
and provide final approval.
ARTICLE III
COMPENSATION FOR SERVICES
SECTION I FEES
For the required design Work and services described herein, the City
agrees to pay the Engineers and the Engineers agree to accept
compensation as follows.
A. For services in preparation of plans, special
provisions and estimates as outlines in
Article I, Section III, paragraph A, B, and C1
through C8

SECTION II PAYMENT
A. Monthly partial payments for Work completed in Section I, A above, are
permissible. The amounts of all such partial payments shall be based
upon the Engineers' certified progress reports and billings covering the
status of the Work and percentages of the whole that have been
accomplished.
B. Monthly partial payments, for Work completed in Section I, B above,
shall be billed at the hourly rates plus expenses as outlined in
Appendix "A ", hourly Charges and Expenses. Payments shall not exceed
the top set fee indicated unless additional fees are authorized by the
City.
ARTICLE IV
GENERAL PROVISIONS
SECTION I INSURANCE
A. The Engineers shall carry the following minimum amounts of Insurance:

1. Workmen's Compensation Insurance in compliance with the Workmen's
Compensation Act of the State of Colorado.
2. Comprehensive General and Automobile Liability Insurance with a
minimum limit of liability per occurrence of $500,000 combined
single limit with a $1,000,000 umbrella for personal injury, bodily
injury and /or property damage.
B. Said insurance shall be maintained in full force and effect during the
term of this Contract at the sole expense of the Engineers, and shall
protect the city in addition to the Engineers, and shall protect the
city in addition to the ENgineers, their employees, subcontractors,
agents and representatives from claims for damages for personal injury
and wrongful death and for damages to property arising from action of
the Engineers, their employees, agent or representatives, in the
performance of the Work covered herein.
C. Furthermore, the Engineers shall carry valuable papers insurance in an
amount sufficient to assure the restoration of any plans, drawings,
field notes or other similar data related to the Work covered by this
Contract, in the event of their loss or destruction until such time as
the final submission by the Engineers has been made and accepted by the
City.
SECTION II ENGIN EERS' ACCOUNTING RECORDS

This Contract may be terminated by either party upon seven (7) days'
written notice should the other party fail substantially to perform in
accordance with its terms through no fault of the other. In the event
of termination due to the fault of others than the Engineers, the
Engineers shall be paid their compensation for Work performed to
termination date, including Reimbursable Expenses then due.
SECTION IV
SUCCESSORS AND ASSIGNS

SECTION V SPECIAL PROVISIONS
The City and the Engineers mutually agree that this Contract shall be
subject to the following Special Provisions which shall supersede other
conflicting provisions of this Agreement.
A. The Engineers shall comply with federal, state, and local laws,
ordinance and regulations applicable to the Work and Project.
B. The services to be performed by the Engineers are personal and cannot be
assigned, sublet or transferred except where so state in the contract
without the written approval of the City.
C. The Engineers make no warranty either express or implied as to its
findings, recommendations, or professional advice except that these were
promulgated after being prepared in accordance with generally accepted
Professional Engineering practices.
D. Approval by the City or its agents and employees shall not constitute
nor be deemed a release of the responsibility and liability of the
engineers, its agents or employees for the accuracy and competency of
their design, working drawings, specifications or other documents and
Work; nor shall such approval be deemed to be an assumption of such
liability by the City for any defect in the design, working drawings,
and specifications or other documents and Work prepared and performed by
the Engineer, its agents or employees.
E. The Engineers shall be liable to and hereby agree to indemnify and hold
harmless the City, its agents and employees, against all claims against
any of them for personal injury, including death, or property damage,
including loss of use, arising out of the negligent performance of
professional service or caused by any error, omission or negligent act
of the Engineers, its agents or employees, in the performance of this
Contract, to no greater extent than in accordance with Colorado State
Law.
F. The Engineers warrant that they will comply fully with Executive Order
of July 16, 1962, issued by the Governor of the State of Colorado and in
this respect agrees:

HOURLY CHARGES AND EXPENSES
Hourly Charges
Hourly charges for time of principals and other personnel devoted
directly to the project consist of: direct personnel salary, plus
general overhead, plus a profit factor. The following schedule sets

When authorized in advance by the client, the expense of overtime will
be charged at premium rates.
Subcontract Expenses
Compensation for contracted services and consultants engaged by the
engineer for the project will be at cost for such services.
Reimbursable Expenses
Identifiable expenditures incurret by the Engineer or his consultants in
the interests of the project will be reimbursed at cost. These items
involve expense of transportation, subsistence and lodging when
traveling in connection with the project, expense of long distance
telephone calls, field office expenses, computer charges, expense of
reproduction, postage and fees paid for regulatory agencies.
