BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO THAT: SECTION 1: A CONTRACT DATED APRIL 25,1953 A COPY OF WHICH IS ATTACHED HERETO AND MADE A PART HEREOF BY REFERENCE AFTER HAVING BEEN APPROVED AS TO FORM BY THE CITY ATTORNEY, BY AND BETWEEN ISBILL ASSOCIATES, INC. AND THE CITY OF PUEBLO A WICIPAL CORPORATION, RELATING TO ENGINEERING SERVICES FOR AVIATION FUELS STORAGE SYSTEM INSTALLATION AT PUEBLO MEMORIAL AIRPORT; BE AND THE SAME IS HEREBY APPROVED SUBJECT TO THE CONDITIONS AS SET FORTH IN SAID CONTRACT. SECTION 2: THE PRESIDENT OF THE COUNCIL IS HEREBY AUTHORIZED TO EXECUTE SAID CONTRACT ON BEHALF OF PUEBLO, A MUNICIPAL CORPORATION AND THE CITY CLERK SHALL AFFIX THE SEAL OF THE CITY THERETO AND ATTEST THE SAME, INTRODUCE April 25, 195,___._,_ BY DOUGLAS L. RING COUNCILMAN v•-•9 � OR PRESIDMT OF THE COUNCIL- PUB -0975 ENGINEERING CONTRACT FOR AVIATION FUELS STORAGE SYSTEM INSTALLATION The City of Pueblo, Colorado, hereinafter called the "Owner," agrees to employ the firm of Isbill Associates, Inc., hereinafter called the "Engineer," to perform the engineering services as outlined below for the project known as Aviation Fuel Storage System Enlargement at Pueblo Memorial Airport. L The scope of work contemplated under this agreement is for the enlarge- ment of an existing aviation fuel storage system at Pueblo Memorial Airport. Said improvements will include, but are not limited to, the following items: 1. Installation of a fourth AVJET tank at the existing AVJET fuel facility; 2. Installation of a 40,000 gallon above ground AVGAS 10OLL fuel facility to the east of the existing AVJET fuel facility. The system will consist of two separate 20,000 gallon tanks each complete with its own pumping, filtering, and metering system. IL The Engineering services rendered for the above described scope of work will be in the following steps: 1. Establish system criteria for the two projects. Meet with airport personnel to review and finalize the criteria; 2. Make a preliminary estimate of construction cost for the systems; 3. Prepare design drawings and obtain bids for the systems. Bids for installation of the AVJET tank (supplied by Pueblo Memorial Airport) will be obtained separately to expedite its installation; 4. Prepare detailed design drawings and specifications for equipment layout, installation, piping, and wiring of the systems, and for miscellaneous concrete and structural work; 5. Observation of the construction on a limited basis. Field inspection and observation trips at approximately one week intervals; 6. The Engineer shall prepare periodic estimates during the construc- tion of the Project and shall prepare the final estimate when the work is completed; 7. Upon acceptance of the project, the Engineer shall prepare the "As Built" drawings and construction engineering report and shall pr:-vide the Owner with one (1) set of reproducible "As Built" drawings. Page 1of3 CHANGE OF SCOPE It is mutually agreed that any change in the scope of the project by the Owner resulting in extra expense to the Engineer shall be considered beyond the normal scope of this contract. Payment to the Engineer for such work because of the change in scope of the project shall be nego- tiated at the time of the anticipated change and it shall be mutually agreed to by amending this contract. III. The Engineer and the Owner mutually agree that: 1. The Owner and the Engineer each bind himself, his partners, succes- sors, assigns, and legal representatives to the other party to this contract and the partners, successors, assigns, and legal represen- tatives of such other party in respect of all covenants of this contract. Neither the Owner nor the Engineer shall assign, sublet, or transfer its interest in this contract without the written consent of the other 2. This contract may be terminated by either party upon seven (7) days written notice should either party fail substantially to perform In accordance with its terms through no fault of the other. In the event of termination due to the fault of others, the Engineer shall be compensated for the services performed to termination date at rates shown on the attached fee schedule. In the event the termination is due to the fault of the Engineer, he shall be paid only for those services performed satisfactorily (as determined by the Owner) to the date of termination. Compensation shall include any reimbursable expenses then due; 3. The original plans and specifications shall remain the property of the Engineer; however, the Owner will be provided one (1) set of reproducible plans and .: pecifications whether or not the project is executed. IV. The Owner agrees that: 1. The Owner shall make available to the Engineer all technical data that.is in the Owner's possession including maps, surveys, property descriptions, borings, and other information required by the Engineer and relating to his work. 2. The Owner agrees to coon erate with the Engineer in the approval of all plans and specificaitons, or should they disapprove of any part of said plans and specifications, shall make a decision timely in order that no undue expense will be caused the Engineer because of lack of decisions. If the Engineer is caused extra drafting or other expense due to changes ordered by the Owner after the completion and approval of the plans and specifications, the Engineer shall be equitably paid for such extra expenses and services involved. The Owner shall pay publishing costs for advertisements of notices, public hearings, requests for bids, and other similar items; shall pay for all permits and licenses that may be required by Local, State, or Federal authorities; and shall secure the necessary land, easements, and rights -of -way required for the project. V. The Owner agrees to pay the Engineer for the services listed under Article II in the following manner. For the services rendered, the Engineer shall be reimbursed on an hourly rate basis plus expenses (travel, per diem, etc.). See attached rate schedule. The maximum amount of engineering costs shall not exceed $22,000 unless so mutually agreed to by the Owner and Engineer. VI. In consideration of said payment and compensation, the Engineer agrees to perform said services and work to carry out the provisions of this con- tract in a good and workmanlike manner and to the satisfaction of the Owner. Auto rental costs will be billed at actual costs plus ten percent (10%). A ten percent (10%) charge will be added to reimbursable expenses paid for by this firm.
