AN ORDINANCE APPROVING AN INTERGOVERNMENTAL
AGREEMENT BETWEEN THE CITY OF PUEBLO, THE
BOARD OF COUNTY COMMISSIONERS OF PUEBLO
COUNTY, AND THE PUEBLO COUNTY SHERIFF RELATING
TO OPERATION OF A COMBINED EMERGENCY SERVICES
DISPATCH CENTER AND AUTHORIZING THE EXECUTION
OF SAME
BE IT ORDAINED BY THE CITY COUNCIL OF PUEBLO, that:

The Combined Dispatch Center Intergovernmental Agreement
dated August 24, 1992 between the City of Pueblo, the Board of
County Commissioners of the County of Pueblo and the Pueblo County
Sheriff (the "Agreement ") relating to the operation of a combined
emergency services dispatch center, a copy of which is attached
hereto and incorporated herein by reference, having been approved
by the City Attorney, is hereby approved.
SECTION 2.
The President of the City Council is hereby authorized and
directed to execute the Agreement for and on behalf of the City
of Pueblo and the City Clerk is directed to affix the seal of the
City thereto and attest same.

COMBINED DISPATCH CENTER
INTERGOVERNMENTAL AGREEMENT
THIS AGREEMENT entered into the 24th day of August, 1992
between the City of Pueblo, a municipal corporation (the "City "),
the Board of County Commissioners of the County of Pueblo, Colorado
(the "County ") and the Pueblo County Sheriff (the "Sheriff "),
WITNESSETH:
WHEREAS, the parties hereto have determined that a combined
dispatch center would best serve the citizens of the City and of the
County and would promote the public health, safety and welfare of
the City and County, and
WHEREAS, the City and County are empowered by X29 -1 -201 et seq.
C.R.S. and Section 18 of Article XIV of the Colorado Constitution to
cooperate and contract with one another to provide any function,
service, or facility lawfully authorized to each of the cooperating
or contracting entities, and
WHEREAS, the operation of a dispatch center is lawfully
authorized to each of the City and County,
NOW, THEREFORE, in consideration of the foregoing and mutual
covenants contained herein, City and County agree as follows:
1. Combined Dispatch Center The parties will upon execution
of this Agreement commence and thereafter diligently pursue the
relocation of their respective emergency telephone and dispatch
service activities to approximately 4,500 square feet of floor space
in the basement of the Judicial Building, 10th and Grand, Pueblo,
Colorado, which will be provided rent -free by the County. The
facility shall be known as the "Pueblo Combined Dispatch Center"
(the "Center ").
2. Equipment City will make available for use in the Center
its E -911 emergency telephone system by remote access to the Center
and other equipment, all as described in attached Exhibit "A ".
County will make available for use in the Center its dispatch
consoles, computer aided dispatch, radio and broadcast systems, and
other equipment, all as described in the attached Exhibit "B ". City
will at its expense, estimated to be $130,000 but not to exceed
$185,000, purchase and install equipment and facilities reasonably
required to upgrade the County's computer aided dispatch system in
order to handle the City's volume of emergency telephone calls.
County will at its expense, estimated to be $63,000 but not to
exceed $84,000, purchase and install all equipment and facilities
reasonably required to remotely access in the Center the City's
E -911 emergency telephone system. Title to the equipment made
available by each party shall remain in the party making such
equipment available subject to use in the Center. All equipment
made available for use at the Center and described in Exhibits "A"
and "B" is herein collectively called the "Equipment.
3. Personnel. Initial staffing for the Dispatch Center will
be provided by the current dispatch staffs of the Pueblo County
Sheriff's Department (1 deputy sheriff, 2 dispatch supervisors and 7
dispatchers) and Pueblo Police Department (1 corporal, 3 dispatch
supervisors and 13 dispatchers). The Sheriff and the Pueblo Chief_
of Police will assign their respective emergency telephone answering
and dispatch personnel to perform services in the Center. The
personnel assigned to the Center will remain the employees of the
assigning party and continue to be covered by such party's personnel
policies. All personnel assigned to the Center will be cross -
trained and be capable of performing tele service activities and
emergency telephone answering and dispatch services in accordance
with Dispatch Protocols developed as set forth in paragraph 4.
Initially, four (4) personnel will perform tele service activities.
The organizational structure of the Center is set forth in attached
Exhibit "C ".
4. Administrative Board and Dispatch Protocol. The Sheriff,
Pueblo Chief of Police and Pueblo Fire Chief will act as the
administrative board for the Center (the "Administrative Board ") and
will develop personnel training procedures and necessary protocol
for tele service activities and for emergency telephone answering
and dispatching the appropriate emergency service vehicle (the
"Dispatch Protocols ") within their respective jurisdiction, pro-
vided, the Dispatch Protocols do not conflict with or attempt to
establish operating procedures or policies of the Sheriff, Pueblo
Police Department and /or the Pueblo Fire Department. The Dispatch
Protocol shall incorporate all confidential and privacy provisions
required by applicable law and regulation.
5. Center Operations From among the personnel assigned
pursuant to paragraph 3, a City police officer shall be designated
by the Pueblo Chief of Police to act as operations manager to
supervise and oversee the performance of personnel assigned to the
Center and the day -to -day operation of the Center and a deputy
sheriff shall be designated by the Sheriff to act as facilities
manager to oversee and supervise the Center's equipment, computer
operations, E -911 system, radio facilities, financial affairs and
budget. The operations manager and facilities manager shall be
subject to the general control and direction of the Administrative
Board. The operations manager and facilities manager will meet and
coordinate their respective activities on a daily basis. If a
personnel matter arises with respect to Sheriff's personnel, the
operations manager will coordinate the resolution of the matter with
the facilities manager.
6. Operating Expenses. The estimated current annual expen-
ditures for dispatching activities of the Pueblo Police Department
is $638,616 and for the Pueblo County Sheriff is $396,301 or a
percentage of combined costs of 62% and 38% respectively. Operating
expenses shall be shared between the City and County in the follow-
ing percentages: City - 62 %, County - 38 %. Operating expenses
include but are not limited to: Equipment repair, maintenance and

replacement; purchase and installation of additional equipment;
E -911 telephone emergency services rates and charges; salaries and
other benefits of personnel assigned to the Center; and, all other
costs and expenses incurred in the operation of the Center. Operat-
ing expenses do not include rent for the space occupied by the
Center. City and County will annually on or before October 31 of
each year approve a Center operating expense budget for the next
calendar year and appropriate their respective share of such
expenses. All expenditures for operating expenses shall be in
conformity with the approved budget and no obligation or commitment
for any Center expenditures shall be made unless there exists
sufficient unencumbered funds for such expenditure. If the purchase
of additional equipment is included within an approved budget, such
equipment shall be purchased at the lowest and best bid obtained
through competitive bidding and shall be owned by the City and
County in the same percentage as their respective share of operating
expenses subject to use in the Center.
7. Termination. This Agreement shall remain in effect until
termination as follows:
(a) If either City or County shall fail to annually
appropriate or pay its share of the Center's operating costs, the
other party may advance to the Center the defaulting party's share
of such costs which shall be and become a debt owing to the non -
defaulting party recoverable in an action at law including interest
and attorney fees. If either City or County defaults in the payment
of its share of the Center's costs and expenses, or, if any party
hereto shall fail to perform a material provision on its part to be
performed hereunder and such failure is not corrected within 30 days
after receipt of notice from any other party, then, in either event,
the non - defaulting party may terminate this Agreement upon ninety
(90) days' prior written notice given to the other parties, and in
the event of such termination all Equipment and furniture located in
or used in connection with the Center shall remain in the Center and
the non - defaulting party shall have the right to continue to use the
Equipment, furniture and space occupied by the Center for an addi-
tional period of one year.
(b) The C i t y and County may, at any time hereafter, for
any reason, by mutual agreement terminate this Agreement.
(c) Except as provided in (a) and (b) above, this
Agreement may not be terminated by any party hereto until after
December 31, 1997 and only then at the end of calendar year 1998 and
any subsequent calendar year, upon written notice given by the
terminating party to the other parties at least nine months prior to
the end of the calendar year in which termination occurs. Upon
termination under (b), all Equipment and furniture located in or
used in connection with the Center shall be delivered to the party
owning such Equipment free of this Agreement or as otherwise
mutually agreed by the City and County.
8. Legal Rights This Agreement is not intended to, nor

should it be construed to, create, affect or extend the legal
responsibilities or liabilities of the parties hereto except as
expressly stated herein, nor to create or impose any obligation on
the part of either party hereto to provide any emergency telephone
or dispatch or other services, nor to create or extend any legal
rights or remedy to or for the benefit of any other person or
entity. County represents and warrants that the facilities and
equipment remodeled, purchased or acquired by or with Federal
Emergency Management Agency (the "FEMA ") funds for the Chemical
Stockpile Emergency Preparedness Program (the "CSEPP ") and
transferred to or used in the Center will meet and comply with the
CSEPP and County's assurances with respect thereto.
9. Dispatch Center Evaluation Committee: There is hereby
created a Dispatch Center Evaluation Committee which shall consist
of the Chief of Police, the City Manager, the Sheriff, and the
County Manager. The committee will annually examine and evaluate
the program, administration and structure of the Center to identify
modifications needed to improve the Center's efficiency and report
its findings to the City Council and Board of County Commissioners
by June 30th of each year beginning June 30, 1993.
10. Disputes The parties agree to perform all reasonable and
necessary acts to complete the merger of the parties' emergency
telephone services and dispatch activities as contemplated herein
and to operate the Center in a manner which will be beneficial to
the people of the City and the County. If a dispute arises with
respect to this Agreement or the meaning or application of any
provision hereof, the parties agree to meet and confer in good faith
to amicably resolve such dispute.
11. Modification. No modification of this Agreement shall be
effective until reduced to writing, signed by the parties and
approved by duly adopted resolution of the governing bodies of the
City and County.
12. Complete Agreement. This Agreement is intended as the
complete integration of all understandings between the parties and
no prior or contemporaneous agreement, understanding or promises of
any kind shall be of any force or effect whatsoever. The prior
Agreement between the City and County dated April 15, 1986 and all
amendments thereto, are specifically rescinded and superseded by
this Agreement.
13. Severability Clause. If any provision of this Agreement,
or the application hereof to any party or circumstance, is held
invalid, such invalidity shall not affect other provisions or
applications of this Agreement which can be given effect without the
invalid provision or application, and to this end the provisions of
this Agreement are declared to be severable.
WHEREFORE, the parties have executed this Agreement the day and
year first above written.

When the following proceedings, among others, were had and done, to -wit:
RESOLUTION NO. 92 -358
APPROVING THE REVISED COMBINED
DISPATCH CENTER INTERGOVERNMENTAL
AGREEMENT BETWEEN THE CITY OF PUEBLO,
PUEBLO COUNTY, AND THE PUEBLO COUNTY
SHERIFF
WHEREAS, on June 23, 1992, through Resolution No. 92 -282, this Board
approved the Combined Dispatch Center Intergovernmental Agreement between
the City of Pueblo, Pueblo County, and the Pueblo County Sheriff dated June
22, 1992; and
WHEREAS, on July 13, 1992, the Pueblo City Council voted to reject the
June 22, 1992 version of the Combined Dispatch Center Intergovernmental
Agreement; and
WHEREAS, subsequently, the City and County met to negotiate changes
to the Dispatch Center Agreement sufficient to meet the City's concerns and the
Agreement has been revised accordingly; and
WHEREAS, the revised written Agreement is acceptable to this Board and
this Board desires to replace the previously approved Agreement with the
current revised Agreement in order to accomplish consolidation of the City's
and County's Dispatch Centers in order to promote the public health, safety,
and welfare of the citizens of the City and County.
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of Pueblo County, Colorado, that the revised Combined Dispatch
Center Intergovernmental Agreement between the City of Pueblo, Colorado,
Pueblo County, Colorado, and the Pueblo County Sheriff, dated August 24,
1992, the terms and conditions of which are incorporated herein by this
reference, be, and hereby is, approved.
BE IT FURTHER RESOLVED that the Chairman of the Board be, and
hereby is, authorized to execute this revised Agreement on behalf of Pueblo
County.
BE IT FURTHER RESOLVED that Resolution 92 -282, be, and hereby is,
rescinded and replaced in its entirety by this Resolution.
