RESOLUTION NO. 15113 A RESOLUTION AUTHORIZING THE ISSUANCE OF A REVOCABLE PERMIT TO FUEL AND IRON RESIDENTIAL, LLC FOR THE USE OF THE S. MAIN STREET RIGHT-OF-WAY WITHIN THE CITY OF PUEBLO TO CONSTRUCT, OPERATE, AND MAINTAIN A VEHICLE PARKING LOT BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that SECTION 1. The attached Revocable Permit is authorized to be issued to Fuel and Iron Residential, LLC, a Colorado limited liability company, for the construction, operation, and maintenance of a parking lot and other related improvements in the S. Main Street right-of-way as specified in the Revocable Permit. SECTION 2. The use of the public right-of-way granted hereby is subject to all limitations, terms, and conditions set forth in the attached Revocable Permit. SECTION 3. The City Clerk is directed to cause said Revocable Permit and Exhibits to be recorded in the office of the Pueblo County Clerk and Recorder forthwith. The recording fees for same to be paid for by the Revocable Permit applicant. SECTION 4. The officers and staff of the City are authorized to perform any and all acts consistent with this Resolution to implement the policies and procedures described herein. SECTION 5. This Resolution shall become effective immediately upon passage and approval. MAIN STREET RIGHT-OF-WAY WITHIN THE CITY OF PUEBLO TO CONSTRUCT, OPERATE, AND MAINTAIN A VEHICLE PARKING LOT SUMMARY: Attached is a resolution approving the issuance of a revocable permit to Fuel and Iron Residential, LLC for the use of the S. Main Street right-of-way within the City of Pueblo to construct, operate, and maintain a vehicle parking lot in the area underneath the Main Street Bridge adjacent to B Street. PREVIOUS COUNCIL ACTION: None. BACKGROUND: Fuel and Iron Residential, LLC has applied for a revocable permit to construct, operate, and maintain a parking lot in the area underneath the Main Street Bridge adjacent to B Street as part of the redevelopment of the Holmes Hardware Building. The permit authorizes Fuel and Iron to install an asphalt parking lot with concrete curbs and gutters, pavement markings, lighting, and other ancillary improvements. FINANCIAL IMPLICATIONS: None. BOARD/COMMISSION RECOMMENDATION: The Revocable Permit Review Committee recommends approval. STAKEHOLDER PROCESS: None. ALTERNATIVES: Denying the resolution will preclude Fuel and Iron from using the area below the bridge to provide off-street parking for residents and visitors to the Fuel and Iron building. Ending Date: Indefinite PERMITTEE IN CONSIDERATION OF THE ISSUANCE AND GRANTING OF THE ABOVE-DESCRIBED REVOCABLE PERMIT(THE"PERMIT")REPRESENTS,WARRANTS AND AGREES: (a)The Permitted Area shall be used for the above-specified Purpose of Revocable Permit only.In no event shall the Authorized Structures be enlarged or otherwise expanded beyond its current size or location. (b)The Authorized Structures shall be maintained by Permittee in compliance with all applicable codes,ordinances, rules and regulations of City and this Permit. (c)Before the Time of the Ending Date,or immediately upon any other termination of this Permit,Permittee shall,at Permittee's expense,remove the Authorized Structures from the Permitted Area,repair any damage caused by such removal and restore the Permitted Area to a condition compliant with all existing laws.Failure to timely remove the Authorized Structures from the Permitted Area,repair any damage caused by such removal and restore the Permitted Area to a condition compliant with all existing laws shall constitute Permittee's abandonment of the Authorized Structures,and the City may,at Permittee's expense,remove the Authorized Structures from the Permitted Area, repair any damage caused by such removal and restore the Permitted Area to a condition compliant with all existing laws.Permittee agrees to pay all City's costs and expenses,including reasonable attorney fees,incurred in the enforcement of this Permit. (d)Permittee shall keep the Authorized Structures and Permitted Area in good,clean,and safe condition and repair, free from litter,waste and debris. (e)Permittee shall indemnify,defend and hold City,its officers,agents and employees harmless from and against any and all suits,claims,liabilities,loss,damages and expenses,including reasonable attorney fees and cost of defense, arising,directly or indirectly,from or caused by the issuance of this Permit or the conditions hereof,or the existence, repair or maintenance of the Authorized Structures in the Permitted Area,or the use of the Permitted Area or Authorized Structures by Permittee,its officers,agents,employees,invitees or general public. Co �iI ir.op1R14',"6,1i1V !Mr IUP,011io„'Itif 111111 (g)Permittee shall keep and maintain commercial general liability insurance covering the Permitted Area and the Authorized Structures with limits not less than One Million Dollars($1,000,000.00)per person and occurrence for personal injury,including but not limited to death and bodily injury,and One Million Dollars($1,000,000.00)per occurrence for property damage. Permittee shall also keep and maintain excess umbrella liability coverage of at least Ten Million and No/too Dollars($1o,000,000.00). Such insurance coverage shall include coverage for those hazards normally identified as X.C.U.during construction. The insurance coverage required herein constitutes a minimum requirement and such enumeration shall in no way be deemed to limit or lessen the liability of the Permittee under the terms of this Revocable Permit. All insurance coverage required herein shall be written in a form and by a company or companies approved by the City's Risk Manager and authorized to do business in the State of Colorado. A certified copy of all such insurance policies and any renewal thereof shall be filed with the Revocable Permit Review Committee. Each such policy shall contain a statement therein or endorsement thereon that it will not be cancelled or materially changed without written notice,by registered mail,to the Revocable Permit Review Committee at least thirty(3o)days prior to the effective date of the cancellation or material change. All such insurance polies shall be specifically endorsed to include all liability assumed by the Permittee hereunder and shall name the City as an additional insured. Minimum insurance coverage requirements may be increased by the Director of Public Works with 90 days written notice to Permittee. Failure to maintain such insurance shall cause this Permit to be automatically revoked. (h)Trees,landscaping,and shrubbery within or adjacent to the Permitted Area shall be protected from damage or injury by Permittee and shall not be removed except after receipt by the Permittee of the written consent of the City's Director of Parks and Recreation. (i)Any notice or other document required or permitted herein shall be in writing and delivered personally or by first class mail,postage prepaid,as follows: (i)If to permittee,at the address shown in paragraph 1 above.
