RESOLUTION NO. 14587 A RESOLUTION APPROVING THE FIRST AMENDED DEED OF CONSERVATION EASEMENT FOR THE GOODNIGHT BARN PROPERTY GRANTED TO THE PUEBLO COUNTY HISTORICAL SOCIETY, A NON-PROFIT COLORADO CORPORATION ON APRIL 12, 2004 THROUGH RESOLUTION NO. 10153 AND AUTHORIZING THE MAYOR TO EXECUTE SAME WHEREAS, City Council approved the granting of a Deed of Conservation Easement to the Pueblo County Historical Society, a non-profit Colorado Corporation on April 12, 2004 through Resolution No. 10153; and, WHEREAS, Section 3.2 b. of the Deed of Conservation Easement authorizes Permitted Alterations to the Property by the City which shall be promptly documented by photographs and other appropriate means showing the altered appearance of the property, building, and present facades, and the City shall execute a First Amended Deed of Conservation Easement; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that: SECTION 1. The First Amended Deed of Conservation Easement, a copy of which is attached, having been approved as to form by the City Attorney, is hereby approved. SECTION 2. The Mayor is authorized to execute and deliver the First Amended Deed of Conservation Easement in the name of the City and the Acting City Clerk is authorized to affix the seal of the City thereto and attest same. SECTION 3. The officers and staff of the City are authorized to perform any and all acts consistent with this Resolution and First Amended Deed of Conservation Easement to implement the policies and procedures described therein. SECTION 5. This Resolution shall become effective immediately upon passage and approval. Gradisar, Mayor VIA: Belinda Kimball, Acting City Clerk FROM: Scott Hobson, Acting Director of Planning and Community Development SUBJECT: A RESOLUTION APPROVING THE FIRST AMENDED DEED OF CONSERVATION EASEMENT FOR THE GOODNIGHT BARN PROPERTY GRANTED TO THE PUEBLO COUNTY HISTORICAL SOCIETY, A NON-PROFIT COLORADO CORPORATION ON APRIL 12, 2004 THROUGH RESOLUTION NO. 10153 AND AUTHORIZING THE MAYOR TO EXECUTE SAME SUMMARY: This Resolution approves the First Amended Deed of Conservation Easement for the Goodnight Barn Property that was granted to the Pueblo County Historical Society in 2004. The amendment documents by photographs and other appropriate means showing the altered appearance of the property, building, and present facades following the completion of the restoration and other authorized improvements. PREVIOUS COUNCIL ACTION: The City Council approved the granting of a Deed of Conservation Easement for the Goodnight Barn property to the Pueblo County Historical Society on April 12, 2004 through Resolution No. 10153. The granting of the conservation easement was a condition of grant funding provided by History Colorado for the purchase of the barn and associated property. BACKGROUND: The stabilization and restoration of the Goodnight Barn which was completed between 2016 – 2020 was authorized as a Permitted Alteration of the Property in the Deed of Conservation Easement. Section 3.2 b. of the Deed of Conservation Easement. The alterations are required to be promptly documented by photographs and other appropriate means showing the altered appearance of the property, building, and present facades. These alterations are required to be documented in a First Amended Deed of Conservation Easement approved by City Council and recorded in the office of the Pueblo County Clerk and Recorder. FINANCIAL IMPLICATIONS: The ongoing terms of the conservation easement require the City to maintain the building in a state of repair as it presently exists and to maintain property insurance covering those aspects of the property that are governed by the conservation easement. RECOMMENDATION: Approval of the Resolution. Grantee,.a non-profit corporation exempt from income tax under Section 50!( c)(3)of the Internal Revenue Code, is a qualified organization for the purposes of Section 170(h)(3)of the Internal Revenue Code, and as further defined by Internal Revenue Service Regulation § 1.170A-14(c); B. Grantor is the owner in fee simple of certain real property sometimes known as the Goodnight Barn, located at 5475 West State Highway 96, Pueblo, CO 81008, (the"Property'), said Property presently including one(I) structure(the"Building"); the Property is more particularly described in Exhibit A; C. Permitted Encumbrances The following permitted encumbrances to the Property, Buildings and Present Facades by Grantor, though not an exhaustive recital,are consistent with the Easement,so long as(i)notice is given pursuant to Paragraphs 3.2(b), 3.4, 3.5 and 3.6, if appropriate, and (ii) all such alterations are carried out in a manner consistent with the Standards, as defined below: Recreation Uses. Members of the general public may utilize the Property for outdoor recreational uses deemed appropriate by Grantor, including but not limited to,hiking and bicycling trails,nature studies, picnicking, and motorized access roadways to designated parking areas. To facilitate these uses, Grantor may use, build, develop, construct, maintain, replace, and repair the following: 1. Native Prairie Grass Area. 2. Nature Study Areas. - not within 25 feet of the Barn Structure. 3. Picnic Areas - not within 25 feet of the Barn Structure. 4. Parking Areas- not within 25 feet of the Barn Structure. 5. Recreation Access Road. Grantor may construct one road, not in excess of 36' in width or within 100 feet of the Barn Structure to gain access to public recreation facilities. 6. Trails. Grantor may construct hiking and bicycling trails, not in excess of 12' in width to provide access to the Barn Structure and public recreation facilities. Members of the general public may utilize trails on the Property for recreation uses deemed appropriate by Grantor. 7. Signage. Signs may be erected by Grantor on the Property to identify the Property to the general public and notify the public of educational and historical information, rules, regulations, and where specific uses are allowed on the Property. Signs shall not be attached to the Barn Structure but can be attached to adjacent walls. 8. Fencing. Grantor may construct a barbed-wire or split-rail fence to define the property. Grantor may construct a stone corral on the property that duplicates the stone corral that was previously part of the Goodnight Barn improvements. The design and materials shall be approved by the Grantee prior to initiating any construction. 9. Underground Utilities. To construct and maintain underground utilities within and across the Property deemed appropriate by Grantor including but not limited to water, sanitary sewer, storm water, electrical, irrigation piping, cable television and communication lines.
