HomeMy WebLinkAbout14420 RESOLUTION NO. 14420 A RESOLUTION ACCEPTING THE CONVEYANCE OF 31965 UNITED AVENUE, PUEBLO, COLORADO 81001 FROM THE PUEBLO DEVELOPMENT FOUNDATION, A COLORADO NON- PROFIT CORPORATION BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that: SECTION 1. salt' The attached Special Warranty Deed executed fie?, 2020, conveying the following real property situate in the County of Pueblo, State of Colorado, to wit: Lot 38, Pueblo Memorial Airport Industrial Park subdivision, County of Pueblo, State of Colorado, more commonly known by street and number as 31965 United Avenue, Pueblo, Colorado 81001 by the Pueblo Development Foundation, a Colorado non-profit corporation, to the City of Pueblo, having been approved as to form by the City Attorney, is hereby approved. The City of Pueblo hereby accepts said real property according to said Special Warranty Deed's terms, and subject to the covenants, conditions, restrictions, easements and reservations set forth therein. SECTION 2. The City Clerk is hereby authorized and directed to file and record the attached Special Warranty Deed in the real estate records of the Pueblo County Clerk and Recorder. SECTION 3. The officers and staff of the City are hereby authorized and directed to perform any and all acts consistent with this Resolution and the attached Special Warranty Deed which are necessary or desirable to implement the transaction described therein. SECTION 4. This Resolution shall become effective immediately upon final passage. Kogovsek, City Attorney SUBJECT: A RESOLUTION ACCEPTING THE CONVEYANCE OF 31965 UNITED AVENUE, PUEBLO, COLORADO 81001 FROM THE PUEBLO DEVELOPMENT FOUNDATION, A COLORADO NON-PROFIT CORPORATION SUMMARY: Attached is a Resolution which accepts the transfer of 31965 United Avenue, Pueblo, Colorado 81001 (“Subject Property”) from the Pueblo Development Foundation, a Colorado non-profit corporation (“PDF”). PREVIOUS COUNCIL ACTION: On October 26, 2009, the City transferred the Subject Property to PDF. BACKGROUND: PDF leased the subject property to the Water Company at market rates. No financial incentives were provided to The Water Company through the City’s so-called Half Cent Economic Development Fund. The lease between The Water Company and PDF ended effective February 29, 2020. The building located at 31965 United Avenue will be available for lease or purchase to employers who wish to bring primary jobs to the City of Pueblo. FINANCIAL IMPLICATIONS: The City will be responsible for insuring and maintaining the building located at 31965 United Avenue until it is used in a future economic development project. BOARD/COMMISSION RECOMMENDATION: Not applicable to this Resolution. STAKEHOLDER PROCESS: Not applicable to this Resolution. ALTERNATIVES: The City can refuse to accept the transfer. However, there was an agreement between the City and PDF that PDF would return the subject property to the City at the conclusion of The Water Company’s lease. PDF does not wish to be responsible for maintaining, insuring and paying taxes on the building located at 31965 United Avenue. RECOMMENDATION: Approval of the Resolution. Attachments: Proposed Resolution Special Warranty Deed (Reconveyance Deed) Reception 2184088 07/09/2020 08:54:46 AM V SPECIAL WARRANTY DEED THIS DEED, made this 1st day of March, 2020 by and between PUEBLO DEVELOPMENT FOUNDATION, a Colorado Non-Profit Corporation, Grantor, of the County of Pueblo and State of Colorado for and in consideration of the sum of TEN DOLLARS ($10.00) in hand paid by PUEBLO, a Municipal Corporation, Grantee, hereby sells and conveys to, Grantee, whose address is 1 City Hall PI., Pueblo, CO 81003, the following real property situate in the County of Pueblo, State of Colorado, to-wit: Lot 38, Pueblo memorial Airport Industrial Park Subdivision, County of Pueblo, State of Colorado, more commonly known by street and number as: 31965 United Ave., Pueblo, CO 81001. TOGETHER with all and singular the hereditaments and appurtenances thereto, belonging, or in any otherwise appertaining, and the reversion and reversions, remainder and remainders, rents, issues and profits thereof, and all of the estate, right, title, interest, claim, and demand whatsoever of the Grantor, either in law or in equity, of, in, and to the above bargained premises with the hereditaments and appurtenances. TO HAVE AND TO HOLD the said premises above bargained and described with the appurtenances, unto the Grantee, its successors and assigns forever. Grantor for itself and its successors and/or assigns do covenant and agree that it shall and will warrant and forever defend the above bargained premises in the quiet and peaceful possession of the Grantee, its successors and assigns, against all and every person or persons claiming the whole or any part thereof, by, through or under the Grantor. The singular number shall include the plural and the plural the singular and the use of any gender shall be applicable to all genders. Said warranty is subject to rights-of-way, easements, covenants, plats, agreements and other restrictions of record as of the date of this Deed and any other exceptions or exclusions or rights of third parties not shown by the public records of which Grantee has actual knowledge, and subject to the inclusions of the property within any special taxing district.
