AN ORDINANCE APPROVING A GRANT AGREEMENT
BETWEEN THE CITY OF PUEBLO, A COLORADO
MUNICIPAL CORPORATION AND THE GATES FAMILY
FOUNDATION, ACCEPTING FUNDS IN THE AMOUNT OF
$25,000, AND BUDGETING AND APPROPRIATING SAID
FUNDS TO THE SRDA – HVAC ADDITION PROJECT,
PL1905 AND AUTHORIZING THE MAYOR TO EXECUTE
SAME
WHEREAS, the Gates Family Foundation has offered the City of Pueblo a grant
award in the amount of $25,000 for the SRDA – HVAC Addition Project; NOW,
THEREFORE,
BE IT ORDAINED BY THE CITY COUNCIL OF PUEBLO, that:
SECTION 1.
The Grant Agreement between the City of Pueblo, a Colorado Municipal
Corporation, and the Gates Family Foundation, a copy of which is attached, having been
approved as to form by the City Attorney, is hereby approved.
SECTION 2.
Funds in the amount of $25,000 from the Gates Family Foundation shall be
accepted, budgeted and appropriated to the SRDA – HVAC Addition Project No. PL1905.
SECTION 3.
The officers and staff of the City are authorized and directed to perform any and
all acts consistent with the intent of the Ordinance to implement the policies and
procedures described therein.
SECTION 4.
This Ordinance shall become effective on the date of final action by the Mayor and
City Council.

SUBJECT: AN ORDINANCE APPROVING A GRANT AGREEMENT BETWEEN THE

SUMMARY:
The proposed Ordinance approves a grant agreement between the City of Pueblo and
the Gates Family Foundation, accepts, budgets and appropriates funds in the amount of
$25,000 for the SRDA – HVAC Addition Project No. PL1905 and authorizes the Mayor to
execute same.
PREVIOUS COUNCIL ACTION:
The City Council on November 26, 2018, budgeted $575,000.00 for the SRDA Air
Conditioning System Capital Improvements, CI1909. On September 9, 2019, City Council
established project SRDA – HVAC Addition, PL1905, accepted $50,000 from SRDA,
budgeted and appropriated the funds to PL1905 and transferred $575,000 from CI1909
to PL1905.
BACKGROUND:
The Senior Resource Development Agency (SRDA) has been located in the City-owned
building at 230 North Union Avenue since 1994. The City is investigating the replacement
of the HVAC system. Maintenance costs for the system and the frequency of each repair
continues to increase each year, causing additional budget risk. In 2018, the City of
Pueblo Public Works Department hired Weidner & Associates Architecture to create
schematic drawings and a preliminary cost estimate. Given the size of the new air
conditioning and heating units, it was determined that placing them inside the existing
building was not possible and an addition to the building would be required.
The Gates Family Foundation has awarded a grant in the amount of $25,000 to the
Project for a portion of the local match for the grant application to the Department of Local
Affairs (DOLA) for an additional $900,000 to complete the funding needed for the Project
totaling $1.8 million.
FINANCIAL IMPLICATIONS:
The Gates Family Foundation grant in the amount of $25,000 shall be accepted and
budgeted to the SRDA – HVAC Addition Project, No. PL1905.

ALTERNATIVES:
The Project could be delayed until additional funds are secured.
RECOMMENDATION:
Approve the Ordinance.

GRANT AGREEMENT
By accepting this grant, your organization (hereafter "GRANTEE") agrees to the following
terms and conditions of the Gates Family Foundation (hereafter`'FOUNDATION").
1. To use the funds only for the tax-exempt purpose as described in the grant application
and subsequent grant notification letter and not for any other purpose without the
FOUNDATION's prior written approval.
2. To not expend any grant funds for any political or lobbying activity or for any purpose other
than one specified in section 170(c)(2)(b) of the Code.
3. To notify the FOUNDATION immediately of any change in (a) GRANTEE'S legal or tax
status, (b) GRANTEE'S executive or key staff responsible for achieving the grant purposes,
(c) GRANTEE'S ability to expend the grant for the intended purpose, and (d) any
expenditure from this grant for any purpose other than those for which the grant was
intended.
4. To maintain books and records adequate to demonstrate that it maintained the grant funds in
a separate fund dedicated to the purpose for which the grant is made, and to maintain records
of expenditures adequate to identify the purposes for which, and manner in which, grant
funds have been expended.
5. To give the FOUNDATION reasonable access to the grantee's files and records for the
purpose of making such financial audits, verifications, and investigations as it deems
necessary concerning the grant, and to maintain such files and records for a period of at least
four years after completion or termination of the project.
6. To return to the FOUNDATION any unexpended funds or any portion of the grant that is not
used for the purposes specified herein.
7. If the GRANTEE deems appropriate and helpful, the GRANTEE can publicly
acknowledge the grant to include (but does not require) building signage, project
descriptions, or other grantee external communications, such as annual reports, websites,
social media, or other platforms. If the GRANTEE plans to produce significant signage,
media releases or stories about the FOUNDATION's commitment, please contact the
FOUNDATION in advance to obtain permissions and logos (Melissa Davis,
mdavis a,gatesfamilyfoundation.org). However, the FOUNDATION respectfully
requests that no statues, plaques, or framed certificates be presented to the
FOUNDATION for its support of projects or organizations.

8. To allow the FOUNDATION to include information about this grant in the
FOUNDATION's periodic public reports, newsletter, news releases, social media postings,
and on the FOUNDATION's website. This information includes the amount and purpose of
the grant, , your logo or trademark, any photographs you have provided or the
FOUNDATION has taken or commissioned, and other information and materials about your
organization and its activities.
9. To submit a written report summarizing the project promptly following the end of the period
during which you are to use all grant funds and to submit any interim reports the
FOUNDATION may require. Your reports should describe your progress in achieving the
purposes of the grant and include a detailed accounting of the use and expenditure of grant
funds.

Be it resolved that the Gates Family Foundation make a grant in the amount of$25,000 for the
replacement HVAC system, contigent upon the receipt of$900,000 from the Department of Local
Affairs grant award by December 2, 2020. Supporting documentation of the total project cost and
the funds raised must be submitted prior to payment of the Gates grant.
