HomeMy WebLinkAbout09429ORDINANCE NO. 9429 AN ORDINANCE APPROVING A FIRST AMENDMENT TO A PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF PUEBLO, A COLORADO MUNICIPAL CORPORATION, AND WALDEN MILLS GROUP, INC., A COLORADO CORPORATION, RELATING TO THE PUEBLO WAYFINDING SIGN PROJECT, PHASE II AND AUTHORIZING THE MAYOR TO EXECUTE SAID AMENDMENT WHEREAS, Walden Mills Group, Inc. has been selected to provide professional services for the Pueblo Wayfinding Sign Project, Phase II; NOW THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF PUEBLO, that: SECTION 1. The First Amendment dated March 11, 2019, to the Agreement for Professional Services, between the City of Pueblo, a Colorado Municipal Corporation, and Walden Mills Group, Inc., a Colorado Corporation, a copy of which is attached hereto having been approved as to form by the City Attorney, is hereby approved. SECTION 2. The Mayor is hereby authorized to execute and deliver said First Amendment on behalf of the City of Pueblo, and the Acting City Clerk shall affix the Seal of the City thereto and attest same. SECTION 3. Funds in the amount of $5,500 for said professional services agreed to in the First Amendment, shall be paid from Capital Project DT1401. SECTION 4. The officers and staff of the City are authorized and directed to perform any and all acts consistent with this Ordinance and the attached First Amendment, to implement the policies and procedures described herein. SECTION 5. This Ordinance shall become effective on the date of final action by the Mayor and City Council. Gradisar, Mayor VIA: Brenda Armijo, Acting City Clerk FROM: Steven Meier, Director of Planning and Community Development SUBJECT: AN ORDINANCE APPROVING A FIRST AMENDMENT TO A PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF PUEBLO, A COLORADO MUNICIPAL CORPORATION, AND WALDEN MILLS GROUP, INC., A COLORADO CORPORATION, RELATING TO THE PUEBLO WAYFINDING SIGN PROJECT, PHASE II AND AUTHORIZING THE MAYOR TO EXECUTE SAID AMENDMENT SUMMARY: This Ordinance approves a first amendment to an Agreement for Professional Services to revise the wayfinding sign design to reflect the recent decision to move the Visitor Center from the El Pueblo Museum to the new addition of the Convention Center with a purpose of directing travelers from the City Center exit on Interstate 25 to the Pueblo Visitor Center. The existing signage plan currently directs travelers to the Visitor Center (now closed) at El Pueblo History Museum. The funds for the Project have been budgeted in Capital Project, DT1401. PREVIOUS COUNCIL ACTION: City Council approved CDOT Contract STE M086-067 (19287) for the Pueblo Wayfinding Sign Phase II Project on February 24, 2014. City Council approved an agreement with Walden Mills Group, Inc. for professional services for the Pueblo Wayfinding Sign Project by Resolution No. 13827 on November 27, 2017. BACKGROUND: The Project consists of the redesign of a Downtown Wayfinding map, the update of several existing wayfinding signs and the installation of several new signs to direct tourists from I-25 to the Visitor Center at the expanded convention center. The additional mapping and signage will effectively point visitors to the Visitor Center and from there orient them to the amenities and destinations within the downtown and Pueblo region. FINANCIAL IMPLICATIONS: Funds in the amount of $5,500.00 shall be paid from Capital Project No. DT1401. BOARD/COMMISSION RECOMMENDATION: The Pueblo Transportation Advisory Commission has recommended the Project. STAKEHOLDER PROCESS: None. ALTERNATIVES: Denial of this Ordinance will result in cancellation of the Project. RECOMMENDATIONS: Approve the Ordinance. The existing signage plan currently directs travelers to the Visitor Center(now closed) at El Pueblo History Museum. FIRST AMENDMENT TO AGREEMENT FOR PROFESSIONAL SERVICES This First amendment to Agreement for Professional Services ("First Amendment") is executed to be effective as of March 11, 2019 by and between the City of Pueblo, Colorado, a Colorado municipal corporation("Owner")and Walden Mills Group, Inc.,a Colorado Corporation ("Consultant"). WHEREAS, Owner and Consultant entered into that certain agreement for professional services dated November 27, 2017 (the "Agreement"); and, WHEREAS, Owner and Consultant desire to modify the Agreement pursuant to the provisions set forth herein. NOW, THEREFORE, in consideration of the foregoing premises, the mutual promises set forth herein and other good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, Owner and Engineer hereby agree to the following: AGREEMENT 1. Scope of Services and Cost of Services.Consultant shall render certain professional services for Owner in connection with City Project No. DT1401 STE M086-067 (19287) Pueblo Wayfinding Sign Project, Phase II, in accordance with the First Amendment,dated March 11,2019 including Appendix A, attached hereto and incorporated herein by this reference. 2. Successors and Assigns. This First Amendment shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. 3. Ratification. Except as expressly stated herein the Agreement shall remain in full force and effect. If there is any conflict between the Agreement,or the First Amendment,the terms of this First Amendment shall control. 4. Counterparts. This First Amendment may be executed in one or more counterparts, each of which shall be deemed an original and all of which shall constitute one and the same document with the same effect as if all parties had signed the same original. The parties further agree that transmission of this First Amendment by telecopy or via email in a PDF format shall be deemed transmission of the original First Amendment for all purposes.
