HomeMy WebLinkAbout13899RESOLUTION NO. 13899 A RESOLUTION APPROVING AN AGREEMENT BETWEEN THE CITY OF PUEBLO, A MUNICIPAL CORPORATION AND PUEBLO SPRINGS RANCH, LLC, A NEVADA LIMITED LIABILITY COMPANY, PUEBLO SPRINGS, LLC, AN ARIZONA LIMITED LIABILITY COMPANY, PUEBLO SPRINGS RANCH, LLC, A DELAWARE LIMITED LIABILITY COMPANY, PUEBLO LAND INVESTORS, LLC, A DELAWARE LIMITED LIABILITY COMPANY RELATED TO THE CONVEYANCE OF THE CITY-OWNED PUEBLO SPRINGS RANCH LARIAT PROPERTY, AND AUTHORIZING THE PRESIDENT OF CITY COUNCIL TO EXECUTE SAME BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that: SECTION 1. The Agreement related to the conveyance of the City-Owned Pueblo Springs Ranch Lariat property dated February 12, 2018, between the City of Pueblo, a Municipal Corporation and Pueblo Springs Ranch, LLC, a Nevada Limited Liability Company, Pueblo Springs, LLC, an Arizona Limited Liability Company, Pueblo Springs Ranch, LLC, a Delaware Limited Liability Company, and Pueblo Land Investors, LLC, a Delaware Limited Liability Company, a copy of which is attached and incorporated, having been approved as to form by the City Attorney, is hereby approved. SECTION 2. The President of the City Council is hereby authorized to execute said Agreement on behalf of Pueblo, a Municipal Corporation, and the Acting City Clerk shall affix the seal of the City thereto and attest to the same. SECTION 3. The officers and staff of the City are authorized and directed to perform any and all acts consistent with the intent of this Resolution and the attached Agreement to implement the transactions described there. SECTION 4. This Resolution shall become effective upon final passage and approval. PREVIOUS COUNCIL ACTION: None. BACKGROUND: This Resolution approves an Agreement between the City of Pueblo and the ownership groups of the Pueblo Springs Ranch properties related to the City’s conveyance of the segments of the Pueblo Springs Ranch Lariat property subject to the Warranty Deed and Right of Reversion dated October 22, 2007 and recorded on November 8, 2008. Since the original acceptance of the property by the City, the Pueblo Springs Ranch ownership has sold portions of the original property creating three separate ownership groups of property bordering the City-Owned property. The agreement stipulates which portions of the City-Owned Pueblo Springs Ranch Lariat property are conveyed to each of the three ownership parties. FINANCIAL IMPLICATIONS: None. BOARD/COMMISSION RECOMMENDATION: Not Applicable. STAKEHOLDER PROCESS: Not Applicable. ALTERNATIVES: If City Council does not approve this Resolution, the conveyance of the City-Owned Pueblo Springs Ranch Lariat property will not be agreed upon by the three Pueblo Springs Ranch ownership parties, thus leaving the City without an agreement for the conveyance of the property in compliance with the terms of the Warranty Deed and Right of Reversion dated October 22, 2007. RECOMMENDATION: Approval of the Ordinance. Attachments: Signed Agreement Map Exhibits of the Property AGREEMENT This Agreement is made effective as of 6-6 . 1+.to , 2018, by Pueblo Springs Ranch, LLC, a Nevada Limited Liability Company ("Grantor") and Pueblo Springs LLC, an Arizona Limited Liability Company; Pueblo Springs Ranch, LLC, a Delaware Limited Liability Company; and Pueblo Land Investors, LLC, a Delaware Limited Liability Company (collectively, "Additional Grantors") and the City of Pueblo, a Municipal Corporation, (the "Grantee") WITNESSETH WHEREAS, Grantor and Grantee made and executed that certain Warranty Deed and Right of Reversion dated October 22, 2007 and recorded on November 8, 2008 as Reception No. 1748310 of the records of the Pueblo County Clerk and Recorder(`Deed"), and WHEREAS, Additional Grantors, respectively, have acquired an interest in the Grantor Property (as defined in the Deed), and the Grantor and Additional Grantors property is further depicted in the attached Exhibits 1-4, and WHEREAS, the Property accepted by the City was not utilized to provide the contiguity for the annexation of Pueblo Springs Ranch property owned by the Grantor and Additional Grantors prior to the occurrence of a Triggering Event as defined in the Warranty Deed and Right of Reversion, and NOW, THEREFORE, in consideration of the foregoing and mutual covenants contained herein, Grantor, Additional Grantors, and Grantee agree as follows: I. REVERSION OF PROPERTY BY GRANTEE Subject to the terms of the Warranty Deed and Right of Reversion the City shall execute, and deliver to the Grantor and Additional Grantors, quit claim deeds conveying the City's interest in the property as depicted in attached Exhibits 1-4 ("Reconveyed Property') hereby incorporated herein by reference and further defined below: (1) The property described and depicted on attached Exhibit 1 - Annexation Disconnection Land Description No. 1 containing 49.276 acres shall be conveyed by quitclaim deed to Pueblo Springs Ranch, LLC, a Nevada Limited Liability Company. (2) The property described and depicted on attached Exhibit 2 - Annexation Disconnection Land Description No. 2 containing 237.691 acres shall be conveyed by quitclaim deed to Pueblo Land Investors, LLC, a Delaware Limited Liability Company. (3) The property described and depicted on attached Exhibit 3 - Annexation Disconnection Land Description No. 3 containing 49.355 acres shall be conveyed by quitclaim deed to Pueblo Springs LLC, an Arizona Limited Liability Company. (4) The property described and depicted on attached Exhibit 4 - Annexation Disconnection Land Description No. 4 containing 26.480 acres shall be conveyed by quitclaim deed to Pueblo -1- (5) Neither the execution and delivery of this Agreement nor the fulfillment of or compliance with its terms and conditions,nor the consummation of the transactions contemplated hereby,conflicts with or results in a breach of the terms,conditions or provisions or any restriction or any agreement or instrument to which the Grantor and Additional Grantors are bound, or constitutes a default under any of the foregoing. (6) There is no litigation pending, or to the knowledge of Grantor and Additional Grantors threatened, against the Grantor and Additional Grantor or any person affecting the right of the Grantor and Additional Grantor to execute and comply with this Agreement. (II) AMENDMENTS No amendment or modification of this Agreement, and no waiver of any provision of this Agreement, shall be binding unless made in writing and executed by the duly authorized officers of Grantee, Grantor, and Additional Grantors. (III) SEVERABILITY If any section, clause, or other provision of this Agreement is for any reason determined to be invalid or unenforceable by any court of competent jurisdiction,such determination shall not affect any of the remaining provisions of this Agreement. (IV) DISCONNECTION Upon reversion of title to the property by Grantee to the Grantor and Additional Grantors in accordance with the provisions of the Deed, said properties included in Exhibits 1-4 shall be disconnected from the City of Pueblo, Colorado and Grantee shall execute all documents and perform all acts reasonably necessary and required for such disconnection. The foregoing disconnection of property from the City of Pueblo may be waived, modified, altered or amended only by written instrument executed and acknowledged by Grantee and owner of the Reconveyed Property recorded in the office of the Pueblo County Clerk and Recorder. (V) MISCELLANEOUS (1) Notice. All notices or other communications hereunder shall be sufficiently given and shall be deemed given when personally delivered,or mailed by registered or certified mail,postage prepaid, addressed as follows: (a) if to the Grantee: Department of Public Works - City of Pueblo 211 East"D" Street, Pueblo, Colorado Attention: Director of Public Works (b) if to the Grantor: Michael Hesser Christopher Hamm Pueblo Springs Ranch LLC 3275 S Jones Blvd, Suite 104, Las Vegas,NV 89146 -2- (c) if to Additional Grantors: Guy Inzalaco Pueblo Land Investors, LLC 11411 Southern Highlands Parkway, Ste 300, Las Vegas,NV 89141-3267 Pueblo Springs, LLC C. (2) Governing Law and Venue. This Agreement shall be governed and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles. Venue for any action arising out of this Agreement shall be Pueblo County, Colorado. All such litigation shall be filed in the District Court, County of Pueblo, State of Colorado and each party submits to the jurisdiction of such District Court. To the full extent allowed by law, each party waives its right to a jury trial. (3) No Third Party Beneficiaries. Nothing in this Agreement expressed or implied is intended to or shall be construed to confer upon, or to give to, any person other than the Grantee, Grantor,and Additional Grantors any right,remedy or claim under or by reason of this Agreement or any covenant,condition or stipulation hereof;and all the covenants,agreements and stipulations in this Agreement contained by and on behalf of the City or the Petitioner shall be for the exclusive benefit of the Grantee, Grantor, and Additional Grantors. Grantor and Additional Grantors represent and warrant that they are unaware of any other person, entity, or organization which claims an interest in the Reconveyed Property. (4) Disclaimers. IT IS UNDERSTOOD AND AGREED THAT CITY IS NOT MAKING AND HAS NOT AT ANY TIME MADE ANY WARRANTIES OR REPRESENTATIONS OF ANY KIND OR CHARACTER, EXPRESSED OR IMPLIED, WITH RESPECT TO THE RECONVEYED PROPERTY, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OR REPRESENTATIONS AS TO HABITABILITY, MERCHANTABILTY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ZONING, TAX CONSEQUENCES, PHYSICAL OR ENVIRONMENTAL CONDITION, UTILITIES, OPERATING HISTORY OR PROJECTIONS, VALUATION, GOVERNMENTAL APPROVALS, THE COMPLIANCE OF THE RECONVEYED PROPERTY WITH GOVERNMENTAL LAWS, OR ANY OTHER MATTER OR THING REGARDING THE PROPERTY.
