A RESOLUTION CONVEYING 10.0 ACRES OF
PROPERTY BY A QUITCLAIM DEED TO NUVUE
PHARMA, LLC, A COLORADO LIMITED LIABILITY
COMPANY AND AUTHORIZING THE PRESIDENT OF THE
CITY COUNCIL TO EXECUTE SAID QUITCLAIM DEED
WHEREAS, on December 30, 2015 the City entered into a Development and
Public Improvements Agreement with Nuvue Pharma, LLC, a Colorado limited liability
company (“Nuvue”) that stipulated the City would convey approximately ten acres of
property owned by the City east of the Eagleridge Blvd and Dillon Drive intersection to
Nuvue; NOW THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that:
SECTION 1:
The Quitclaim Deed conveying property to Nuvue Pharma, LLC, a Colorado
limited liability company, a copy of which is attached hereto, having been approved as
to form by the City Attorney, is hereby approved.
SECTION 2:
The President of the City Council is hereby authorized to execute said Quitclaim
Deed and all documents necessary and appropriate to effectuate said transfer.
SECTION 3:
The officers and staff of the City are authorized and directed to perform any and
all acts consistent with the intent of this Resolution to implement the policies and
procedures described herein.
SECTION 4:
This Resolution shall become effective immediately upon final approval.

SUMMARY:
Attached for consideration is a Resolution approving a Quitclaim Deed to transfer 10.0
acres of City-owned property to NuVue Pharma, LLC pursuant to the terms of the
Development and Public Improvements Agreement dated December 30, 2015 between
the City of Pueblo, a Municipal Corporation and Nuvue Pharma, LLC.
PREVIOUS COUNCIL ACTION:
None.
BACKGROUND:
Pursuant to the terms of the Development and Public Improvements Agreement dated
December 30, 2015 between the City of Pueblo, a Municipal Corporation and Nuvue
Pharma, LLC, the City is conveying a 10-acre parcel to Nuvue Pharma in exchange for
the property conveyed to the City at the northeast corner of the intersection of
Eagleridge Boulevard and Dillon Drive for future intersection improvements.
FINANCIAL IMPLICATIONS:
None.
BOARD/COMMISSION RECOMMENDATION:
Not applicable.
STAKEHOLDER PROCESS:
Not applicable.
ALTERNATIVES:
If City Council does not approve this Resolution, the City will not be in compliance with
the terms of the Development and Public Improvements Agreement dated December
30, 2015 between the City of Pueblo, a municipal corporation and Nuvue Pharma, LLC.
RECOMMENDATIONS:
Approval of the Resolution.

QUITCLAIM DEED
THIS QUITCLAIM DEED, made this 12 +h _ day of February, 2018 between the
CITY OF PUEBLO, a Colorado municipal corporation, whose legal address is 1 City Hall Place,
Pueblo, CO 81003 ("Grantor"), and NuVUE PHARMA LLC, a Colorado limited liability
company, whose legal address is 4740 Dillon Drive, Pueblo, CO 81008 (hereinafter referred to as
"Grantee"):
WITNESSETH,that the Grantor, for and in consideration of the sum of TEN DOLLARS
($10.00),and other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged,has QUITCLAIMED,and by these presents does QUITCLAIM, unto the Grantee,
his heirs, successors and assigns, all right,title and interest that the Grantor has in the real property,
situate, lying and being in Pueblo County, State of Colorado, described as follows:
Approximately 10 acres of land more specifically described in Exhibit A,
attached hereto and incorporated herein by reference
(the"Property").
FURTHER WITNESSETH, that the Grantor QUITCLAIMS the Property "AS 1S,
WHERE IS, WITH ALL FAULTS" and hereby disclaims any and all warranties, express or
implied, with respect to the Property.
IN WITNESS WHEREOF, this Quitclaim Deed is executed by Grantor to be effective

LEGAL DESCRIPTION
A parcel of land located within a portion of the SE '/.of Section 12, Township 20 South,
Range 65 West of the Sixth Principal Meridian and within a portion of the SW '/4 of
Section 7,Township 20 South, Range 64 West of the Sixth Principal Meridian,County of
Pueblo, State of Colorado, being more particularly described as follows:
BEGINNING at the SE corner of Fountain Park Commercial Center according to the
recorded plat thereof filed for record May 14, 1975 at Reception No. 494295 in the
records of the Pueblo County Clerk and Recorders from which the SE corner of said
Section 12 bears S 31'03'04"E (bearing based on the east line of the SE 1/4 of said
Section 12 moniimented at the north end with an aluminum monument with a 3 inch
aluminum cap PLS No, 12933 and at the south end with an aluminum monument with a 3
inch aluminum cap PLS No. 10093 assumed to bear N 00°39'46"E), a distance of
1473.35 feet;thence N 02°28'05"W along the east line of said Fountain Park
Commercial Center, a distance of 100.00 feet to the SE corner of Lot 1, Block 1 of said
