HomeMy WebLinkAbout13658 RESOLUTION NO. 13658 A RESOLUTION APPROVING ADDENDUM NO. 1 FOR A ONE MONTH EXTENSION OF THE AGREEMENT BETWEEN THE CITY OF PUEBLO AND AMERICAN MEDICAL RESPONSE OF COLORADO, INC. CONCERNING EMERGENCY MEDICAL SERVICES BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that: SECTION 1. The Addendum No. 1 to the Agreement between the City of Pueblo and American Medical Response of Colorado, Inc., a true copy of which is attached hereto, having been approved as to form by the City Attorney, is hereby approved. SECTION 2. The President of City Council is hereby authorized and directed to execute the Addendum No. 1 on behalf of the City, and the City Clerk is directed to affix the seal of the City thereto and attest same. SECTION 3. The officers of the City are directed and authorized to perform any and all acts consistent the intent of this Resolution and the attached Addendum No. 1 to effectuate the policies and procedures described therein. SECTION 4. This Resolution shall become effective immediately upon final passage. CONCERNING EMERGENCY MEDICAL SERVICES SUMMARY: The attached resolution authorizes the City to extend the emergency medical services agreement with American Medical Response of Colorado, Inc. (AMR) for an additional one month term from May 1, 2017 through May 31, 2017. PREVIOUS COUNCIL ACTION: None. BACKGROUND: This resolution is for a one month extension of an existing agreement between the City of Pueblo and American Medical Response of Colorado, Inc (AMR) on the same terms stated in the Agreement. The City though its Fire Department, provides emergency patient care services to our community without charge. When a patient is in need of transport to a hospital their care is transferred to AMR and AMR is allowed to bill for their services. In certain cases, Fire Department members assist AMR in the transport of patients to the hospital and this service is reimbursable. This contract addresses the rate of reimbursement that is due to the City from AMR. The contract also addresses response time criteria FINANCIAL IMPLICATIONS: None. BOARD/COMMISSION RECOMMENDATION: Not applicable. STAKEHOLDER PROCESS: Not applicable. ALTERNATIVES: no The alternative is to take action and allow the contract to expire. AMR would still maintain their licensing to transport patients but would no longer be required to reimburse the City. This would have a negative impact on the City budget of $8,020.00 per month. RECOMMENDATION: Approval of the Ordinance. Attachments: Addendum No. 1 Original AMR Agreement with City of Pueblo ADDENDUM NO. 1 This Addendum No. 1 is entered into this 27th day of April, 2017 by and between Pueblo, a municipal corporation ("City"), and American Medical Response of Colorado, Inc. ("AMR"). WHEREAS, City and AMR entered into an Agreement Concerning Emergency Medical Services dated March 26, 2013 ("Agreement"); WHEREAS, the term of the Agreement is due to expire on April 30, 2017; and WHEREAS, the parties wish to extend the term of the Agreement for one additional month. NOW THEREFORE, in consideration of the foregoing and mutual covenants herein contained, City and AMR agree as follows: 1. Section 6.1 of the Agreement is amended to read as follows: 6.1 The term of this Agreement shall be from May 1, 2013 through May 31, 2017. 2. Section 6.2 of the Agreement is amended to read as follows, it being the intent of the parties to delete this Section: 6.2 Reserved. 3. Each person signing this Addendum No. 1 on behalf of a party represents and warrants that he or she has the requisite power and authority to enter into, execute, and deliver this Addendum No. 1 on behalf of such party and that this Addendum No. 1 is a valid and legally binding obligation of such party enforceable against it in accordance with its terms. 4. Except as expressly modified by this Addendum No.1, the Agreement shall remain in full force and effect. Except as modified by this Addendum No. 1, any • obligations to be performed under the Agreement by either party are not waived nor excused in any manner, but shall be performed in accordance with the terms and conditions of the Agreement as it existed prior to this Addendum No. 1.
