HomeMy WebLinkAbout13634 RESOLUTION NO. 13634 A RESOLUTION ACCEPTING THE CONVEYANCE OF 170 GREENHORN DRIVE, PUEBLO, COLORADO 81004 FROM THE PUEBLO DEVELOPMENT FOUNDATION, A COLORADO NON- PROFIT CORPORATION BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that: SECTION 1. The attached Special Warranty Deed executed February 1, 2017 and recorded in the records of the Pueblo County Clerk and Recorder on February 21, 2017 at Reception No. 2062555 conveying the following real property situate in the County of Pueblo, State of Colorado, to wit: Lot 2, Minnequa Industrial Park, third filing, County of Pueblo, State of Colorado, more commonly known by street and number as 170 Greenhorn Drive, Pueblo, Colorado 81004 by the Pueblo Development Foundation, a Colorado non-profit corporation, to the City of Pueblo, having been approved as to form by the City Attorney, is hereby approved. The City of Pueblo hereby accepts said real property according to said Special Warranty Deed’s terms, and subject to the covenants, conditions, restrictions, easements and reservations set forth therein. SECTION 2. The officers and staff of the City are directed and authorized to perform any and all acts consistent with the intent of this Resolution and the attached Special Warranty Deed which are necessary or desirable to implement the transaction described therein. SECTION 3. This Resolution shall become effective immediately upon final passage. Kogovsek, City Attorney SUBJECT: A RESOLUTION ACCEPTING THE CONVEYANCE OF 170 GREENHORN DRIVE, PUEBLO, COLORADO 81004 FROM THE PUEBLO DEVELOPMENT FOUNDATION, A COLORADO NON-PROFIT CORPORATION SUMMARY: Attached is a Resolution which accepts the transfer of 170 Greenhorn Drive, Pueblo, Colorado 81004 from the Pueblo Development Foundation, a Colorado non-profit corporation (“PDF”). Specifically, the Resolution accepts the terms and conditions of a Special Warranty Deed executed by PDF on February 1, 2017 and recorded in the records of the Pueblo County Clerk and Recorder on February 21, 2017 at Reception Number 2062555. PREVIOUS COUNCIL ACTION: On July 27, 2015 by Resolution No. 13284, City Council entered into an agreement and transferred funds from the City’s 1992-2021 Sales and Use Tax Capital Improvement Projects Fund to PDF for the purpose of the construction of a “spec” building located at 170 Greenhorn Drive in the City’s St. Charles Industrial Park. BACKGROUND: PDF has satisfactorily completed construction of the “spec” building and wishes to convey the building to the City. The building located at 170 Greenhorn Drive will be available for lease or purchase to employers who wish to bring primary jobs to the City of Pueblo. FINANCIAL IMPLICATIONS: The City will be responsible for insuring and maintaining the “spec” building until it is used in a future economic development project. BOARD/COMMISSION RECOMMENDATION: Not applicable to this Resolution. STAKEHOLDER PROCESS: Not applicable to this Resolution. ALTERNATIVES: PDF does not wish to be responsible for insuring and maintaining “spec” buildings which PDF constructs using half cent economic development funds. If this Resolution is not approved, PDF may become reluctant to cooperate in the construction of “spec” buildings in the future. RECOMMENDATION: Approval of the Resolution. TOGETHER with all and singular the hereditaments and appurtenances thereto,belonging,or in any otherwise appertaining,and the reversion and reversions,remainder and remainders,rents, issues and profits thereof,and all of the estate,right,title,interest,claim,and demand whatsoever of the Grantor,either in law or in equity,of,in,and to the above bargained premises with the hereditaments and appurtenances. TO HAVE AND TO HOLD the said premises above bargained and described with the appurtenances,unto the Grantee,its successors and assigns forever. Grantor for itself and its successors and/or assigns do covenant and agree that it shall and will warrant and forever defend the above bargained premises in the quiet and peaceful possession of the Grantee,its successors and assigns,against all and every person or persons claiming the whole or any part thereof,by,through or under the Grantor. The singular number shall include the plural and the plural the singular and the use of any gender shall be applicable to all genders. Said warranty is subject to rights-of-way,easements,covenants, plats,agreements and other restrictions of record as of the date of this Deed and any other exceptions or exclusions or rights of third parties not shown by the public records of which Grantee has actual knowledge,and subject to the inclusions of the property within any special taxing district.
