HomeMy WebLinkAbout13575 RESOLUTION NO. 13575 A RESOLUTION APPROVING AMENDMENT NO. 1 TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN NELSON\\NYGAARD CONSULTING ASSOCIATES, INC AND THE CITY OF PUEBLO, A MUNICIPAL CORPORATION IN THE AMOUNT OF $31,660 FOR PROFESSIONAL SERVICES ASSOCIATED WITH THE PUEBLO AREA COUNCIL OF GOVERNMENTS – PUEBLO AREA WIDE TRANSIT FUNCTIONALITY STUDY WHEREAS, Resolution No. 13456, dated June 27, 2016, approved an agreement between Nelson\\Nygaard Consulting Associates, Inc and the City related to the Pueblo Area Council of Governments (PACOG) – Pueblo Area Wide Transit Functionality Study; and WHEREAS, the Colorado Department of Transportation Draft 2016 Development Program identifies the construction of a park n’ ride facility in Pueblo, CO as a Tier 1 priority transit facility improvement in the future; and WHEREAS, PACOG board members have expressed a desire to incorporate an evaluation of transit services within Pueblo West, and between Pueblo West and the City as part of the consultant services, NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that: SECTION 1. Amendment No. 1 to the Professional Services Agreement for the Pueblo Area Council of Governments – Pueblo Area Wide Transit Functionality Study between Nelson\\Nygaard Consulting Associates, Inc. and the City of Pueblo, a Municipal Corporation, a copy of which is attached hereto, having been approved as to form by the City Attorney, is hereby approved. The cost for the professional services will be paid from the Urban Transportation Planning Projects Budget, Project TP 1630. SECTION 2. The President of the City Council is hereby authorized to execute Amendment No. 1 of said Agreement on behalf of Pueblo, a Municipal Corporation, and the City Clerk shall affix the Seal of the City thereto and attest same. SECTION 3. The officers and staff of the City are directed and authorized to perform any and all acts consistent with the intent of the Resolution and the attached agreement to effectuate the transaction described therein. SECTION 4. This Resolution shall become effective immediately upon passage and approval. PREVIOUS COUNCIL ACTION: City Council Resolution No. 13456, dated June 27, 2016, approved an agreement between Nelson\\Nygaard Consulting Associates, Inc and the City related to the Pueblo Area Council of Governments – Pueblo Area Wide Transit Functionality Study. BACKGROUND: This Resolution will approve Amendment No. 1 to the Professional Services Agreement with Nelson\\Nygaard Consulting Associates, Inc. concerning professional services associated with the Pueblo Area Council of Governments (PACOG) – Pueblo Area Wide Transit Functionality Study to provide for an analysis identifying potential locations for a North Pueblo Park-n-Ride Facility to be developed and utilized for CDOT’s “Bustang” Commuter Bus Service along the I-25 Corridor. The North Pueblo Park-n-Ride Facility is identified for funding for State Senate Bill 228 excess state revenue funds in 2018-2020. The analysis will identify a range of 3-5 potential locations for a North Pueblo Park-n-Ride Facility that can provide parking, bus and vehicular access and recommendation on general size and features of a facility building to accommodate a transit stop for the CDOT “Bustang” transit service. The facility will also be designed to accommodate a bus stop and associated services for the Pueblo Transit fixed route system. In addition, the scope of services would be amended to include the completion and evaluation of the feasibility of transit circulation within Pueblo West and service between Pueblo West and Pueblo. FINANCIAL IMPLICATIONS: The contract amendment will be for an amount not to exceed $31,660.00, and will be paid from the Urban Transportation Planning Projects Budget, Project TP 1630. BOARD/COMMISSION RECOMMENDATION: None. STAKEHOLDER PROCESS: Staff from the City of Pueblo Urban Transportation Planning Division has reviewed the additional work items included in the Contract Amendment with the PACOG Transportation Advisory Committee which includes Pueblo Transit and the CDOT representatives. ALTERNATIVES: Not Applicable RECOMMENDATION: Approval of the Resolution Attachments: Amendment No. 1to theAgreement for Professional Services Pueblo Area Council of Governments (PACOG) Pueblo Area Wide Transit Functionality Study AMENDMENT NO. 1 AGREEMENT FOR PROFESSIONAL SERVICES THIS AMENDMENT NO. 1 to the Agreement for Professional Design Services is made and entered into this 12th day of December 2016 by and between the City of Pueblo, a Municipal Corporation (hereinafter referred to as "Owner") and Nelson\Nygaard Consulting Associates, Inc. (hereinafter referred to as "Consultant"). WHEREAS, Owner and Consultant have heretofore entered into an Agreement (hereinafter "the Agreement") dated June 27, 2016, wherein the Consultant agreed to render certain professional transportation planning, transit operations, engineering, design and related services for Owner in connection with the Pueblo Area Council of Governments (PACOG) Pueblo Area Wide Transit Functionality Study (hereinafter referred to as the"Project"); and WHEREAS, the parties agree that this Amendment No. 1 to the Agreement is necessary and desirable to modify the Agreement to provide for the Consultant to perform and complete an analysis identifying potential locations for a North Pueblo Park-n-Ride Facility to be developed and utilized as a pick up and drop off location for CDOT's Bustang Commuter Bus Service along the I-25 Corridor. WHEREAS, the parties agree that this Amendment No. 1 to the Agreement is necessary and desirable to modify the Agreement to provide for the Consultant to perform an evaluation of the feasibility of a transit circulation service within Pueblo West, and transit service between Pueblo West and Pueblo. NOW, THEREFORE, in consideration of the foregoing and mutual terms and conditions set forth herein, the parties agree as follows: 1. The Agreement is amended by expanding the scope of work to include all professional transportation planning, transit operations, engineering, design and related services and functions reasonably required or necessary for the following: (a) An analysis identifying potential locations for a North Pueblo Park-n-Ride Facility to be developed and utilized as a pick up and drop off location for CDOT's Bustang Commuter Bus Service, with respect to the Project. (b) An evaluation of the feasibility of a transit circulation service within Pueblo West, and transit service between Pueblo West and Pueblo. 2. Appendix "A" to this Amendment No. 1 shall be added to the original scope of work, and the Consultant shall complete the work items described generally in Appendix "A" to this Amendment No. 1 in accordance with the terms of the Agreement, and all prior amendments thereto for the performance of professional services with respect to the Project. 3. With respect to services provided under this Amendment No. 1, Appendix "A" to this Amendment No. 1 shall apply to compensation payable to the Consultant, and to key personnel and consultants employed or retained by the Consultant, in connection with the Consultant's services for the work authorized by this Amendment No. 1. The aggregate compensation payable to the Consultant for performance of the additional services and reimbursable expenses authorized by this Amendment No. 1 shall not exceed the maximum amount of$31,660.00. 4. Except as expressly modified by this Amendment No. 1, the Agreement, including all prior written amendments thereto, shall remain in full force and effect. Any obligations remaining to be performed under the original Agreement (and all prior amendments) by either party, relating to the professional services to be performed by the Consultant generally or with respect to other phases of the project are not waived or excused in any manner, but shall be fully performed in accordance with the terms and conditions of the Agreement as it existed prior to this Amendment No. 1. 5. STATE-IMPOSED MANDATES PROHIBITING ILLEGAL ALIENS FROM PERFORMING WORK. (a) Prior to or within ten (10) days of execution of this Agreement, Consultant shall submit to the Purchasing Agent of the Owner its certification that it does not knowingly employ or contract with an illegal alien and that the Consultant has participated or attempted to participate in the "Basic Pilot Program" created in Public Law 208, 104th Congress, as amended and expanded in Public law 156, 108th Congress, as amended, that is administered by the United States Department of Homeland Security in order to confirm the employment eligibility of all employees who are newly hired for employment in the United States. (b) Consultant shall not: (I) Knowingly employ or contract with an illegal alien to perform work under this contract; (II) Enter into a contract with a subconsultant that fails to certify to Consultant that the subconsultant shall not knowingly employ or contract with an illegal alien to perform work under this contract. (c) The following state-imposed requirements apply to this contract: (I) The Consultant shall have confirmed or attempted to confirm the employment eligibility of all of its employees who are newly hired for employment in the United States through participation in the Basic Pilot Program and, if the Consultant is not accepted into the Basic Pilot Program prior to entering into this contract, that the Consultant shall apply to participate in the Basic Pilot Program every three months until the Consultant is accepted or this Contract has been fully completed, whichever occurs earlier. This provision shall not be required or effective if the Basic Pilot Program is discontinued. (II) The Consultant is prohibited from using the Basic Pilot Program procedures to undertake pre-employment screening of job applicants while this Contract is being performed. (III) If the Consultant obtains actual knowledge that a sub-consultant performing work under this contract knowingly employs or contracts with an illegal alien, the Consultant shall be required to: A. Notify the sub-consultant and the Owner's Purchasing Agent within three (3) days that the Consultant has actual knowledge that the sub- consultant is employing or contracting with an illegal alien; and B. Terminate the subcontract with the sub-consultant if within three (3) days of receiving the notice required pursuant to subparagraph (c)(III)A. above the sub-consultant does not stop employing or contracting with the illegal alien; except that the Consultant shall not terminate the contract with the sub- consultant if, during such three (3) days, the sub-consultant provides information to establish that the Sub-consultant has not knowingly employed or contracted with an illegal alien. (IV) The Consultant is required to comply with any reasonable request by the Colorado Department of Labor and Employment (hereinafter referred to as "CDLE") made in the course of an investigation that CDLE is undertaking pursuant to its authority under §8-17.5-102(5), C.R.S. (d) Violation of this Section 11 by the Consultant shall constitute a breach of contract and grounds for termination. In the event of such termination, the Consultant shall be liable for Owner's actual and consequential damages. (e) As used in this Section 11, the term "sub-consultant" shall mean any sub- consultant or subcontractor of Consultant rendering services within the scope of this Agreement. 6. PERA LIABILITY. The Contractor shall reimburse the City for the full amount of any employer contribution required to be paid by the City of Pueblo to the Public Employees' Retirement Association ("PERA") for salary or other compensation paid to a PERA retiree performing contracted services for the City under this Agreement. The Contractor shall fill out the questionnaire attached as Appendix B and submit the completed form to City as part of the signed Agreement. 7. SOLE SOURCE GOVERNMENT CONTRACTS; LIMITATIONS UPON CAMPAIGN CONTRIBUTIONS. (a) Section 15 of Article XXVIII of the Colorado Constitution is hereby incorporated into this agreement by reference. Sections 15 and 17 of Article XXVIII of the Colorado Constitution provide as follows: Section 15: Because of a presumption of impropriety between contributions to any campaign and sole source government contracts, contract holders shall contractually agree, for the duration of the contract and for two years thereafter, to cease making, causing to be made, or inducing by any means, a contribution, directly or indirectly, on behalf of the contract holder or on behalf of his or her immediate family member and for the benefit of any political party or for the benefit of any candidate for any elected office of the state or any of its political subdivisions. Section 17: (1) Every sole source government contract by the state or any of its political subdivisions shall incorporate article XXVIII, section 15, into the contract. Any person who intentionally accepts contributions on behalf of a candidate committee, political committee, small donor committee, political party, or other entity, in violation of section 15 has engaged in corrupt misconduct and shall pay restitution to the general treasury of the contracting governmental entity to compensate the governmental entity for all costs and expenses associated with the breach, including costs and losses involved in securing a new contract if that becomes necessary. If a person responsible for the bookkeeping of any entity that has a sole source contract with a governmental entity, or if a person acting on behalf of the governmental entity, obtains knowledge of a contribution made or accepted in violation of section 15, and that person intentionally fails to notify the secretary of state or appropriate government officer about the violation in writing within ten business days of learning of such contribution, then that person may be contractually liable in an amount up to the above restitution. (2) Any person who makes or causes to be made any contribution intended to promote or influence the result of an election on a ballot issue shall not be qualified to enter into a sole source government contract relating to that particular ballot issue. (3) The parties shall agree that if a contract holder intentionally violates section 15 of section 17(2), as contractual damages that contract holder shall be ineligible to hold any sole source government contract, or public employment with the state or any of its political subdivisions, for three years. The governor may temporarily suspend any remedy under this section during a declared state of emergency. (4) Knowing violation of section 15 or section 17(2) by an elected or appointed official is grounds for removal from office and disqualification to hold any office of honor, trust or profit in the state, and shall constitute misconduct or malfeasance. (5) A registered voter of the state may enforce section 15 or section 17(2) by filing a complaint for injunctive or declaratory relief or for civil damages and remedies, if appropriate, in the district court. (b) This section applies only to sole source government contracts and does not apply to any contract which used a public and competitive bidding process in which the City solicited at least three bids prior to awarding the contract. (c) Contractor certifies, warrants, and agrees that it has complied and will comply with Colorado Constitution Article XXVIII, including but not necessarily limited to the following prohibitions and obligations: 1. If during the term of the contract, contractor holds sole source government contracts with the State of Colorado and any of its political subdivisions cumulatively totaling more than $100,000 in a calendar year, then for the duration of this contract and for two years after, contractor will not make, cause to be made, or induce by any means a contribution, directly or indirectly, on behalf of contractor or contractor's immediate family member(s) for the benefit of any political party or for the benefit of any candidate any elected office of the State or any of its political subdivisions; and 2. Contractor represents that contractor has not previously made or caused to be made, and will not in the future make or cause to be made, any contribution intended to promote or influence the result of a ballot issue election related to the subject matter of this contract; and 3. Contractor will satisfy contractor's obligations to promptly report to the Colorado Department of Personnel & Administration ("CDPA") information included in the CDPA's "Sole Source Government Contract Summary" and "Contract Holder Information" forms regarding this contract and any other sole source government contracts to which contractor is a party, and shall contemporaneously provide a copy of such report(s)to City's Purchasing Agent; and 4. Contractor understands that any breach of this section or of Contractor's responsibilities under Colorado Constitution Article XXVIII may result in either contractual or constitutionally mandated penalties and remedies; and 5. A Contractor that intentionally violates Colorado Constitution Article XXVIII, Section 15 or 17(2), shall be ineligible to hold any sole source government contract, or public employment with the state or any of its political subdivisions for three years; and 6. By execution of this contract, Contractor hereby confirms it is qualified and eligible under such provisions to enter into this contract. (d) For purposes of this section, the term "contractor" shall include persons that control ten percent or more shares or interest in contractor, as well as contractor's officers, directors, and trustees. The term "immediate family member" shall include a spouse, child, spouse's child, son-in-law, daughter-in-law, parent, sibling, grandparent, grandchild, stepbrother, stepsister, stepparent, parent-in-law, brother-in-law, sister-in-law, aunt, niece, nephew, guardian, or domestic partner. All other terms and phrases used in this section shall have the meanings defined in Article XXVIII of the Colorado Constitution. (e) In the event any provision of Article XXVIII of the Colorado Constitution is held to be unconstitutional or otherwise invalid by a court of competent jurisdiction in a non- appealable action, has been repealed retroactively or otherwise found to not apply to this contract or agreement, then the corresponding requirement or requirements of this section shall have no further force and effect, and shall not constitute a requirement of this contract, as of the date of such holding, declaration, repeal or determination. The locations should also be able to be linked with the Pueblo Transit fixed route system. The report shall provide an evaluation of how potential site locations meet specific criteria for the development of a Park- n-Ride and are feasible to be developed. A map of the area to be analyzed is attached. 1.2 Scope of Service: 1.2.1.1 Key Parameters —The following should be assumed and included when preparing and submitting the additional work proposal: • Indicate the number of local field visits required to accomplish the tasks and requirements specified in this request for additional services. Indicate any additional parameters needed to complete the assignment. 1.2.1 Deliverables—Include with the final report(including maps, charts, site analysis, etc). The final report should provide in printed and electronic form: • Potential alternative locations of the North Pueblo Park-n-Ride facility that can provide parking, bus & vehicular access, and recommendation on general size and features of a facility building to accommodate a transit stop for the CDOT Bustang transit service. The locations should also be able to be linked with the Pueblo Transit fixed route system. The report shall provide recommendations on what locations are meet criteria for the development of a Park-n-Ride and are feasible to be developed. 3.2.4 Process — The Consultant will work with Pueblo Transit staff and City staff to conduct this work during on-site local visits and/or conference calls. No large public meetings are anticipated but possible internal city and/or officials' report meetings may be needed. Scope of Work The following tasks describe the steps necessary to identify and evaluate feasible locations for the north Pueblo Park-and-Ride. Task 1 Programming Workshop We suggest initiating this work effort with a programming workshop.The goal of the workshop will be to ensure that the project team members(CDOT Division of Transit&Rail,CDOT regional stair Pueblo Transit,and consultant team)have a clear and consistent understanding of the needs and goals for the north Pueblo Park-and-Ride.This would include number of parking spaces,number and size of bus bay bays,bike facilities,pedestrian facilities,shelters,benches, lighting,,etc.The team will identify and size each activity that is expected to take place on the site. The program will be reviewed with CDOT and Pueblo Transit for concurrence prior to the commencement of the alternatives development. Task 2 Preliminary Site Identification and Site Visit The team will complete a preliminary site identification using GIS parcel data provided by the city.Consideration will be given to parcel size,zoning,and existing site ase,»availability.The team will conduct a field visit to as part of the initial site identification process.For efficiency,the team anticipates conducting the site visit an the same day as the programming workshop. This study will also evaluate the feasibility of transit circulation within Pueblo West. This memorandum details the services that our team proposes to perform and an anticipated budget for completing these services. Scope of Service: 1.2.1.1 Key Parameters —The following should be assumed and included when preparing and submitting the additional work proposal: • Indicate the number of local field visits required to accomplish the tasks and requirements specified in this request for additional services. Indicate any additional parameters needed to complete the assignment. • Completion of an existing and future demand analysis. • Completion of a preliminary site identification for the potential location of park and ride facilities. • Based on a market demand analysis, develop a series of initial concepts for transit service designed to serve Pueblo West, focusing on both commuter service and local circulation. • Completion of a recommended service plan based on feedback received on initial service concepts. 1.3.1 Deliverables—Include with the final report(including maps, charts, site analysis, etc). The final report should provide in printed and electronic form: • Maps for each demographic characteristic and summary of findings for Pueblo West. • Maps of the strongest potential markets for commuter oriented transit service and summary synthesizing the dataset. • Initial Transit Service Concepts Report • A recommended service plan summarizing the community's vision for transit in Pueblo West and include route maps, service levels by day and time period, operating cost estimates,and other implementation considerations and costs. • A capital budget supporting the service plan with cost information for the design and construction costs for park and rides, bus stops signage and installation, and other infrastructure improvements and technologies to establish a transit service 3.2.4 Process — The Consultant will work with Pueblo West Metropolitan District, Pueblo County, Pueblo Transit and MPO staff to conduct this work during on-site local visits and/or conference calls. Public meetings are anticipated to be held in the Pueblo West community, with a final presentation provided in Pueblo West in conjunction with the Pueblo West Metropolitan District Board of Directors. TASK 1 KICKOFF MEETING Nelson\Nygaard will conduct a kickoff meeting to bring together Pueblo West and Pueblo Area Council of Governments(PACOG)staff and key members of the consultant team.This meeting will serve multiple purposes: • Personally meet Pueblo West staff • Clarify project objectives and priorities • Obtain relevant data from prior planning work • Finalize community outreach plan • Discuss immediate next steps,upcoming meetings,and deliverables The kickoff meeting will be scheduled to coincide with a Pueblo Area Wide Transit Functionality Study visit to eliminate the need for separate travel costs. Longitudinal Employer Household Dynamics(LEHD)data will provide information on where residents of Pueblo West work in order to identify the strongest potential markets for commuter oriented service. Nelson\Nygaard will create maps and provide a brief summary synthesizing the dataset PACOG regional population and employment projections travel demand data will provide insight expected growth that should be considered for future service.If available,we will review student origin data from Pueblo Community College and Colorado State University-Pueblo in order to understand how many students,who are typically a good market for transit services,are traveling from Pueblo West. If available,we will review existing vanpool data to understand longer distance travel markets for commuters living in Pueblo West and commuting to other parts of the region. Depending on the type of data available we will make visuals and/or provide a written summary of origins and destinations. TASK 3 PARK & RIDE SITE ASSESSMENT The team will complete a preliminary site identification using GIS parcel data provided by the city.Consideration will be given to parcel size,zoning,and existing site use/availability.The team «ill conduct a field visit to as part of the initial site identification process. For efficiency,the team anticipates conducting the site visit on the same day as the kickoff meeting. TASK 4 SERVICE CONCEPT DEVELOPMENT Based on the market demand analysis,we will create a series of initial concepts designed to serve Pueblo West,focusing on both commuter service and local circulation. Nelson\Nygaard will consider the following potential transit services: • Regional Connections: Regional connections,provided by express bus will be considered,based on the market analysis.Vanpool data can often indicate a market for express bus service,which will be paired with the LEHD data and demographic data to identify potential markets. • Park-and-Rides: Potential park-and-ride locations will be considered,focusing on the transit and/or vanpool market within the catchment area,or area from which people are likely to drive and park to use transit. • Reverse Commute:With a growing number of employers in Pueblo West,it is important to evaluate the need for transit services to bring commuters from Pueblo into Pueblo West. • Vanpool Strategies: Based on the results of the vanpool pattern analysis we will identify potential markets for expanding vanpool services. Initial service concepts will consist of potential route alignments,proposed stop locations, projected service levels,vehicle requirements,approximate operating and capital costs,and community benefits.Initial service alternatives will be presented to the project team,refined,and then shared with the public for feedback. Deliverable: Initial Service Concepts Memorandum Nelson\Nygaard Consulting Associates Inc. 2 TASK 5 PUBLIC OUTREACH Nelson\Nygaard recommends a public meeting to provide an overview of the study and gather information on the needs and desires within the community.We also propose using these meetings as opportunity to educate or familiarize attendees with the different types of potential transit service options. The meeting will also include summary of existing market conditions(Task 2).We will also solicit feedback on the initial service alternatives(Task 4).The public meetings will be advertised via the Pueblo West website,social media,and utility bills. An online survey with maps and supporting information will also be created to solicit additional feedback.These comments will help inform the development of the recommended service plan. TASK 6 SERVICE PLAN A recommended service plan will be developed based on feedback received on initial service concepts.The recommended service plan will essentially summarize the community's vision for transit in Pueblo West and include the following: • Route maps • Service levels by day and time period • Operating cost estimates • Fleet requirements • Other implementation considerations and costs After finalizing the recommended service plan,we will develop a five-year implementation plan based on a number of factors,including: • Demonstrated/anticipated need • Community interest • Social and economic benefits • Ridership projections • Financial feasibility and probability of FTA funding • Alignment with adopted local and regional plans The service implementation plan will identify the actions,agreements,infrastructure, coordination,and materials required to realize the preferred alternative and any additional short- range recommendations.A simplified version of the implementation plan will also be developed in a graphic format that is easy for the general public to comprehend.
