RESOLUTION NO. 13499
A RESOLUTION APPROVING AN AGREEMENT
BETWEEN THE CITY OF PUEBLO, A MUNICIPAL
CORPORATION AND THE PUEBLO ARTS ALLIANCE
RELATING TO THE PUEBLO ARTS ALLIANCE PROJECT
BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that:
SECTION 1.
The Agreement between the Pueblo Arts Alliance, a Colorado Non-Profit
Corporation and Pueblo, a municipal corporation (hereinafter referred to as the
“Agreement”), a copy of which is attached, having been approved as to form by the City
Attorney, is hereby approved.
SECTION 2.
The President of the City Council is authorized to execute and deliver the
Agreement in the name of the City and the City Clerk is directed to affix the seal of the
City thereto and attest same.
SECTION 3.
The officers and staff of the City are directed and authorized to perform any and
all acts consistent with the intent of the Resolution and Agreement to effectuate the
policies and procedures described therein.
SECTION 4.
This Resolution shall become effective upon final passage and approval of
Ordinance No. 9035 approving the Memorandum of Understanding between the City of
Pueblo, a Municipal Corporation and the Colorado Department of Local Affairs and the
University of Colorado Denver Colorado Center for Community Development for program
assistance with respect to the Conceptual Design for Renovated Artist Cooperative
Complex.

SUBJECT: A RESOLUTION APPROVING AN AGREEMENT BETWEEN THE CITY
OF PUEBLO, A MUNICIPAL CORPORATION AND THE PUEBLO ARTS
ALLIANCE RELATING TO THE PUEBLO ARTS ALLIANCE PROJECT
SUMMARY:
The Pueblo Arts Alliance (Arts Alliance) has applied to the Colorado Department of Local
Affairs (DOLA) for technical assistance for architectural design for their property. DOLA
has contracted with the University of Colorado Denver (UCD), Colorado Center for
Community Development to provide technical assistance from the UCD students and
staff. DOLA requires the local municipalities to enter into a Memorandum of
Understanding to administer the program. The Arts Alliance agrees to supply the local
matching funds for the Project in the amount of $2,800 to be deposited in PL1604.
PREVIOUS COUNCIL ACTION:
None.
BACKGROUND:
This Resolution approves an Agreement between the City of Pueblo and the Pueblo Arts
Alliance in which the Pueblo Arts Alliance agrees to provide $2,800 in local matching
funds for the DOLA Memorandum of Understanding (MOU) with the City of Pueblo
relating to the grant awarded to the City for technical assistance to develop design
alternatives for improvements to the Pueblo Arts Alliance, Artist Workspace and Galleries
located at 107 South Grand Avenue. The DOLA grant allows for technical assistance to
be provided by the University of Colorado at Denver students in the architecture and
design program with oversight from the university professors and staff to complete the
work elements. The work to be completed by UCD includes the preparation of site plans,
presentation boards, program development, design concepts, development plans and
construction estimates relating to the entrance to the building, an outdoor plaza and other
improvements. The matching funds from the Arts Alliance will pay for 50% of the overall
project costs of $5,600 that is required in the City’s MOU with DOLA. The Ordinance
approving the MOU between the City and DOLA is also included for City Council

consideration at the August 22 City Council meeting. This Resolution will be effective
upon City Council’s approval of the Ordinance relating to the MOU between DOLA and
the City for this Project.
FINANCIAL IMPLICATIONS:
The City of Pueblo will be responsible for providing the $2,800 of the 50% local match
which will be provided by the Pueblo Arts Alliance at the end of the Project. Funds shall
be available from Project PL1604.

AGREEMENT
This Agreement is entered into this 22 day of August , 2016, by and between
the City of Pueblo,a municipal corporation("City")and the Pueblo Arts Alliance, a Colorado Non-
Profit Corporation("PAA").
WHEREAS, the City desires, subject to final approval of City Council, to enter into a
Memorandum of Understanding ("MOU") with the Colorado Department of Local Affairs and the
University of Colorado Denver Colorado Center for Community Development ("State") for program
assistance with respect to the Conceptual Design for Renovated Artist Cooperative Complex("Project")
subject to the terms and conditions herein provided.
WHEREAS, PAA is the administrator of the Pueblo Creative Corridor, a Colorado Certified
Creative District("District");
WHEREAS,the Project furthers the purpose of the District and otherwise furthers a valid public
purpose.
Now THEREFORE, in consideration of the foregoing and the conditions contained herein,City
and PAA agree as follows:
1. All amounts invoiced to the City pursuant to the MOU shall be paid by PAA
within thirty (30)days of submittal of the invoice to PAA. The City will submit the invoice to
PAA at the following address:

2. PAA stipulates, acknowledges and agrees that City's participation in the Project
shall not be relied upon nor in any manner be construed to maintain that the City represents or
warrants compliance of the Project including any design plan, site plan, floor plan or other report
prepared as a result of the Project with any ordinance, code or regulation of the City or other
applicable law. It shall be the sole responsibility of PAA to complete the Project or any subsequent
construction which may occur with respect to the Project in compliance with all applicable law
including ordinances,codes and regulations of City.
