AN ORDINANCE APPROVING AN INTERGOVERNMENTAL

CORPORATION, AND PUEBLO COUNTY FOR UPGRADES
AND IMPROVEMENTS TO THE 800 MHZ RADIO EQUIPMENT
AND INTEROPERABLE RADIO COMMUNICATIONS ACROSS
THE REGION
.
BE IT ORDAINED BY THE CITY COUNCIL OF PUEBLO, that:
SECTION 1.
The Intergovernmental Agreement between the City of Pueblo, a Municipal Corporation,
and Pueblo County, relating to the upgrade of 800 MHZ radio equipment, attached hereto and
having been approved as to form by the City Attorney, is hereby approved.
SECTION 2.
The President of the City Council is hereby authorized and directed to execute said
Agreement for and on behalf of the City, and the City Clerk is directed to affix the seal of the
City thereto and attest same.
SECTION 3.
The officers and staff of the City are directed and authorized to perform any and all acts
consistent with the intent of this Ordinance and the attached Agreement to effectuate the
transactions described therein.
SECTION 4.
This Ordinance shall become effective immediately upon passage and approval.

TITLE

INTEROPERABLE RADIO COMMUNICATIONS ACROSS THE REGION
ISSUE
Should the City Council approve the Intergovernmental Agreement with Pueblo County
upgrading and improving interoperable radio communications across the region?
RECOMMENDATION
Approval of the Ordinance.
BACKGROUND
The City of Pueblo is connected and integrated with the State of Colorado’s Digital Trunked
Radio (DTR) System. This system handles public safety radio communications for Pueblo
Police and Fire Departments, as well as, other City departments relying on radio
communications. Our participation in the DTR system allows the City to share resources,
system capabilities, and communications with other state, local, regional, Tribal and Federal
agencies. This sharing of communication resources substantially reduces costs and supports
federal, state and local interoperability.
Currently, there are four zones in operation on the DTR system. The City connects to the
system through zone one, which is located in Denver, CO. The resources on this zone are at
maximum and additional resources must be added to expand system resources for other public
safety entities wishing to participate in the statewide system.
Pueblo County has received a grant from the State of Colorado through the United States
Department of Homeland Security (DHS) and the Federal Emergency Management Agency
(FEMA) 2012 CSEPP (Chemical Stockpile Emergency Preparedness Program) program to
develop a new DTR zone. The City owns radio towers and fiber infrastructure vital to
implementing the new zone as well as enhancing the DTR system for the region and Pueblo
Chemical Depot demilitarization operations. In exchange for the City providing three (3) tower
locations and fiber connectivity, the County will use a portion of the CSEPP funding to upgrade
and improve overall connectivity to the DTR system from the City sites. Upon completion of the
upgrades and improvements, the City will move from the Denver zone to the new County zone
freeing up resources for the northern Colorado public safety entities.
The County will initially own all of CSEPP-paid equipment and associated software upgraded as
required by CSEPP regulations as it cannot be sold or otherwise disposed of without approval
from FEMA. The County will start the approval process with FEMA as soon as possible after
install at City sites. Should FEMA deny this request, the COUNTY will turn over ownership
upon completion of the de-milling operation at the Pueblo Chemical Depot.
FINANCIAL IMPACT
All upgraded equipment will be covered by a two-year warranty. Upon warranty expiration, the
City will appropriate costs for maintenance of the equipment through the annual budget process.
Estimated after-warranty costs for years three through five will be $120K annually based upon
selected service levels. Annual maintenance and support costs for pre-existing equipment not
covered by this IGA will continue to be appropriated through the City’s annual budget process.

DIGITAL TRUNKED RADIO
THIS AGREEMENT (the "Agreement or IGA ") is made and entered into this 9th day
of December 9, 2013, by and between the City of Pueblo, a Municipal Corporation ( "City ") and
the Board of County Commissioners of Pueblo County, Colorado, and the Pueblo County
Sheriff, a political subdivision of the State of Colorado ( "hereafter collectively referred to as the
"County "). City and County may each be referred to herein as a "Party" or collectively as the
"Parties."
WHEREAS, section 18(2) (a) and (b) of Article XIV of the Constitution of the State of
Colorado and the Colorado Intergovernmental Relationships Statute C.R.S. § 29 -1 -201, et seg.,
authorizes political subdivisions to cooperate and contract with one another to provide any
function service or facility lawfully authorized to each of the contracting units including the
sharing of costs if such contract sets forth fully the purposes, powers, rights, obligations, and
responsibilities, financial or otherwise, of the contracting parties; and,
WHEREAS, funds have been appropriated and distributed to the County, by the United
States Department of Homeland Security, Federal Emergency Management Agency (FEMA), for
the 2012 and 2013 Chemical Stockpile Emergency Preparedness Program ( "CSEPP "), all of
which is to be used to implement a new zone on the statewide system and upgrade the 800 MHz
Digital Trunked Radio (DTR) to a new simulcast system utilizing both City and County existing
infrastructure; and
WHEREAS, the COUNTY has entered into contract with Motorola Solutions, Inc. dated
June 26, 2013, for the purchase of a new zone controller and equipment upgrade to the CITY and
COUNTY DTR system (the "Motorola Agreement "); and
WHEREAS, the Motorola Agreement does not currently control or bind CITY and does
not void, alter, or modify any ownership rights or obligations of the CITY with regard to DTR
work sites owned by CITY; and
WHEREAS, City DTR sites are owned and maintained solely by the City of Pueblo;
however, they are core components needed for the implementation of a new simulcast DTR
system vital to enhanced interoperability of public safety communications in our region and
statewide; and
WHEREAS, the City has an agreement with the Board of Waterworks on the Walking -
stick Tower site that must not be violated as part of this IGA; and
WHEREAS, the County intends to upgrade the City's DTR equipment and provide
necessary site upgrades through its CSEPP funding; and
WHEREAS, the Parties desire to cooperate and enter into this Agreement memorializing
and setting forth the terms and conditions for said partnership and obligations to each other under
the Agreement; and,
WHEREAS, the Parties to this IGA mutually agree to provide and make use of such
DTR equipment for the benefit and enhancement of the interoperable communications capacity
of the community through this cooperative agreement;
NOW, THEREFORE, in consideration of the foregoing recitals, and the promises and
conditions set forth below, City and County hereby agree as follows:
1. SYSTEM INFRASTRUCTURE, SERVICES AND TRAINING.
a) The COUNTY agrees to provide and deliver to CITY the equipment identified in Exhibit
A. (The equipment listed in Exhibit A shall hereinafter be referred to collectively as the
"Equipment. ") The equipment listed in Exhibit A is funded entirely by CSEPP grant
funds. Should the COUNTY fail to receive CSEPP grant funds, COUNTY has no
obligation to provide the equipment listed in Exhibit A. The value of the above - listed
equipment, services and training is $ 1,431,132.16. CITY shall use the Equipment for its
Interoperable Communications for the benefit of the citizens of Pueblo County, Colorado,
or in response to a request for Interoperable Communications service by another first
response entity operating within Pueblo County.
b) Pursuant to 44 CFR Part 13.32, original or replacement equipment purchased with
Federal Funds through the CSEPP, with a fair market value of $5,000.00 or more, cannot
be sold or otherwise disposed of without approval from the FEMA. The approval process
consists of a Request for Disposition of the property by the county, approval at the State
(grantor) level and then approved by FEMA Region VIII. COUNTY will start this
process as soon as possible for equipment that will be installed at CITY sites. Should the
COUNTY'S Request for Disposition be denied for any reason, COUNTY shall deliver to
CITY all right, title and interest in the Equipment, together with all licenses and
warranties, immediately upon completion of the de- milling operation at the Pueblo
Chemical Depot.
c) COUNTY shall deliver to CITY all right, title and interest in the Equipment, together
with all licenses and warranties, immediately upon approval of the Request for
Disposition by FEMA or the completion of the de- milling operations at the Pueblo
Chemical Depot, whichever is sooner. The CITY shall not discard or dispose of any of
the Equipment listed in Exhibit A for a period of five (5) years , or the completion of the
demil program, whichever is longer, from the date of this Agreement without the written
consent of the COUNTY.
d) The Parties will cooperate to keep such equipment in good repair and working order,
utilizing warranty services purchased with the equipment and subsequent maintenance
service by an authorized vendor. County will cooperate to enforce any warranty provided
for by the Motorola Agreement. Responsibility for maintenance, repair, upgrade and /or
replacement of the Equipment beyond the two year warranty periods will be determined
by a sustainability agreement, if necessary. The parties agree to meet and confer
regarding the necessity of a sustainability agreement, and if a sustainability agreement is
deemed necessary, enter into a sustainability agreement no later than May 31, 2015. This
deadline may be extended by written agreement of the parties. The sustainability
agreement will become an addendum to this Agreement. This provision shall survive the
termination or expiration of this Agreement.
The CITY will make said Equipment available for inspection by COUNTY
representatives, and state or federal grant auditors upon reasonable advance notice.
Access to all CITY sites will require prior approval and background checks may be
required to access the Walkingstick site pursuant to the CITY's agreement with the Board
of Water Works. Site work at all CITY sites will require prior written approval from the
CITY. COUNTY will allow CITY access to all COUNTY sites with reasonable advance
notice.
e) COUNTY shall at its sole cost and expense train at least three (3) CITY staff, to be
designated by the CITY, on the use, maintenance and repair of the Equipment.
f) CITY shall maintain the exclusive management and support of CITY radio
communications, unless otherwise agreed to in writing by the CITY. COUNTY
personnel will not access, alter, create, or monitor any CITY DTR communication or
system without the written consent of the CITY. CITY personnel will not access, alter,
create, or monitor any COUNTY DTR communication or system without written consent
of the COUNTY.
g) CITY shall insure the Equipment from theft, damage or other loss during for the duration
of this Agreement. The CITY will report to COUNTY any theft, damage or other loss to
the COUNTY within forty -eight (48) hours of discovery. CITY will, in its sole and
absolute discretion, determine whether to repair or replace damaged equipment in order
to avoid disruption of the Interoperable Communications system.
h) CITY will ensure that all CITY owned work sites will be safe, secure, and in compliance
with all applicable industry and OSHA standards. COUNTY must inspect all CITY
owned work sites to ensure that all CITY owned work sites have adequate: physical
space; air conditioning and other environmental conditions; adequate and appropriate
electrical power outlets, distribution, equipment and connections; and adequate telephone
or other communication lines (including modem access and adequate interfacing
networking capabilities), all for the installation, use and maintenance of the Motorola
System. COUNTY is responsible for any and all costs to bring CITY owned work sites
up to the required standards, subject to availability of CSEPP funding to the COUNTY.
i) CITY and COUNTY shall participate in the statewide DTR system for term of this
Agreement unless the Parties mutually agree to separate from the DTR system. Should
COUNTY decide to separate from the DTR system prior to the expiration of the Initial
Term or any subsequent renewal term, COUNTY shall pay all costs and expense incurred
by the CITY as a result of COUNTY's separation from the statewide DTR system.
Should CITY decide to separate from the DTR system prior to the expiration of the Initial
Term or any subsequent renewal term, CITY shall pay all costs and expense incurred by
the COUNTY as a result of CITY's separation from the statewide DTR system. So long
as the Parties participate in the statewide DTR system, the State will be responsible for
the administration of the DTR system zone controller. This provision shall survive the
termination and /or expiration of this Agreement.
2. MOTOROLA CONTRACT:
a) COUNTY shall amend the Motorola Agreement within 30 days of this Agreement to
provide the following:
a. CITY is an intended third party beneficiary to the Motorola Agreement and as
such may bring an action in its own name to enforce any provisions of the
Motorola Agreement as to either party.
b. Paragraph 3.4 of the Motorola Agreement shall apply to the CITY. CITY may
take advantage of paragraph 3.4 of the Motorola Agreement and purchase
additional equipment or software for three (3) years after the effective date of the
Motorola Agreement, or any amendment or extension of this period by the
COUNTY and Motorola, at the same prices as quoted in the Motorola Request for
Proposal dated June 17, 2013, if said equipment or software is available. CITY
may contact Motorola directly for any future equipment or software installation at
the CITY's tower sites or dispatch center without COUNTY involvement.
c. Paragraph 3.5 of the Motorola Agreement and the Statement of Work set forth in
Exhibit D shall apply to the CITY. CITY may manage and process warranty
claims for any of the Equipment. COUNTY must obtain prior written approval
from CITY before COUNTY purchases any extended warranty from Motorola or
any other vendor on the Equipment.
d. Paragraph 3.6 of the Motorola Agreement shall be amended to provide that all
software licenses provided by Motorola for Equipment and /or software listed in
Exhibit A shall become the sole property of CITY five (5) years after the effective
date of the Motorola Agreement or the completion of de- milling operations at the
Pueblo Chemical Depot whichever is longer. CITY shall execute a Software
License Agreement with Motorola at Motorola's request.
e. Section 8 of the Motorola Agreement shall be amended to provide that CITY may
participate in all System Acceptance testing and that CITY must approve all
deliverables and other work completed before Final Project Acceptance may
occur. CITY must sign the Final Project Acceptance Certificate.
f. All amendments to the Motorola Agreement must be approved as to form by
CITY.
b) In the case of a breach of the Motorola Agreement by COUNTY or Motorola, any cure,
resolution or settlement must be approved by CITY in writing. COUNTY must ensure that
CITY DTR operations are not impacted by any such breach and /or the cure, resolution or
settlement thereof. Any cost or expense related to CITY DTR operations caused by a breach by
COUNTY of the Motorola Agreement and /or cure, resolution or settlement of such breach shall
be the sole responsibility of the COUNTY.
3, GENERAL TERMS.
a. Indemnification. To the extent authorized by law, COUNTY shall indemnify and
hold harmless the City, its officers, directors, agents and employees, as officials and
individuals, from and against any and all claims, demands, actions, and suits of any
kind or nature whatsoever arising under any applicable worker's compensation laws
or other public liability law made as result of the COUNTY's actions and conduct
with respect to its participation in the partnership, use of Grant funds or this
Agreement including, but not limited to, reasonable attorney's fees, except to the
extent that such liability is adjudicated to be the result of the negligent or intentional
actions of the City, its officers, directors, agents and employees.
b. Term. The term of this Agreement shall commence on the date first set forth herein
and shall continue for a period of five (5) years (the "Initial Term "). Upon expiration
of the Initial Term or any renewal term, the Agreement will automatically renew for
an additional five (5) years unless terminated by either, or both of the Parties. Parties
may mutually agree to terminate this agreement any time after the expiration of the
Initial Term. Either Party may unilaterally terminate this Agreement by providing the
other Party notice of its intent not to renew the Agreement at least one (1) year prior
to the expiration of any renewal term. Either Party may terminate this Agreement
upon the breach of any material term by the other Party, provided that the breaching
Party is given written notice of the breach and a thirty (30) day opportunity to cure.
c. Governmental Immunity. Notwithstanding any other provision of this Agreement, no
term or condition of this Agreement shall be construed or interpreted as a waiver of
any provision of the Colorado Governmental Immunity Act. C.R.S. § 24 -10 -101, et
seq., by City or County.
d. Complete Agreement. This Agreement constitutes the complete Agreement on the
subject hereof and supersedes and replaces all prior oral and written understandings
and /or agreements of the parties on the subject hereof.
e. Site Ownership. The Agreement concerns the following sites owned by the CITY:

Unless specifically modified by this Agreement, all terms and conditions of prior
agreements between COUNTY and CITY relating to site ownership and /or the DTR
system remain in full force and effect.
f. Governing Law. This Agreement and the rights and duties of the parties shall be
construed and interpreted and enforced in accordance within the laws of the State of
Colorado.
g. Modifications. This Agreement may not be modified or amended in any manner by
either or both of the parties unless the same is set forth in a written agreement making
reference to the Agreement and signed by the parties hereto. No waiver of any of the
Agreement's provision or conditions shall be binding unless made in writing and
signed by the Chair of the Board of County Commissioners and the President of the
City Council.
h. Binding Agreement. When executed by the parties, this Agreement shall constitute a
binding Agreement and shall be binding upon and inure to benefit of the parties and
their respective legal representatives, successors and permitted assigns. Any
delegation or assignment of this Agreement or any of the obligations set forth herein
by either party without the prior written consent of the other party shall be void and of
no force and effect.
i. Waiver. A waiver by any party to this Agreement of the breach of any term or
provision of this Agreement shall not operate or be construed as a waiver of any
subsequent breach by either party. Failure to exercise any remedy which either party
may have under this Agreement or any other acquiescence by one party shall not
constitute a waiver of any obligation of the defaulting party hereunder.
j. Notices: All notices required under this Agreement shall be sent in writing by
certified or registered mail, return receipt requested, to the following addresses:

k. Captions. Captions and headings used in this Agreement are for identification only
and shall be disregarded in any construction or interpretation of the provisions of this
Agreement.
1. Appropriations of Funds. This Agreement is expressly made subject to the annual
appropriation of funds by City and County for its performance and based upon the
expectation that CSEPP will provide all funding for the Equipment, and upon failure
of City or County to appropriate funds for this Agreement, or the failure of CSEPP to
provide funding said Agreement shall be terminated without liability to either party.
m. No Third Party Beneficiary. Enforcement of the terms and conditions of this
Agreement shall be strictly reserved for the City and County and nothing contained in
this Agreement shall give or allow any claim or right of action by any other party or
third person.
n. Counterparts. This Agreement may be executed in two or more counterparts, each of
which shall be deemed an original, but all of which shall constitute one and the same
agreement.
