BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that:
Section 1.
Payment in the amount of $4,630 from the Council Contingencies Account in the
2013 General Fund Budget is authorized to be paid to the City of Trinidad, Colorado.
Section 2.
This Resolution shall become effective upon passage and approval.

ISSUE:
Should the City Council approve a Resolution authorizing the payment $4,630 from the
Council Contingencies Account in the 2013 General Fund Budget to participate in the
Regional Wayfinding and Interpretation for Southeastern Colorado sign project?
RECOMMENDATION:
This Resolution is at the request of City Council Members Steve Nawrocki and Chris
Kaufman.
BACKGROUND:
City Council Member Chris Kaufman would like the City of Pueblo to participate in the
Regional Wayfinding and Interpretation for Southeastern Colorado sign project. The
cost of the project should be $23,150 with the City of Pueblo providing a $4,630 match.
The location of the sign would be the El Pueblo Museum’s visitor center since it
provides information on the Scenic Byways as well.
FINANCIAL IMPACT:
Funds in the amount of $4,630 would be paid from the Council Contingencies Account
in the 2013 General Fund Budget to the City of Trinidad, Colorado.

Dear Mr. Fineberg:
The City of Pueblo is excited to participate in the Southern Rockies: Crossroads of
Cultures Regional Wayfinding sign project. After reviewing the sign options you sent us
in April, the City of Pueblo is committing to include a four panel sign as part of the
Wayfinding Project. We understand that the cost should be $23,150 with the City
providing a $4,630 match. Our anticipated location would be at the El Pueblo Museum's
visitor center since it provides information on the Scenic Byways as well.
We hope this will be the first of many regional heritage tourism projects.

Memorandum of Understanding
This Memorandum of Understanding (the Memorandum) is made on this of
, 2013, by and between City of Trinidad, hereinafter referred to as "Trinidad"
and City of Pueblo , hereinafter referred to as "Community ", for the purpose of achieving the
aims and objectives outlined in Section I: Project Aims and Objectives as they relate to the
Colorado Department of Transportation (CDOT) grant project titled `Regional Wayfinding and
Interpretation for Southeastern Colorado', hereinafter referred to as the "Project ". Both Trinidad
and the Community shall be collectively referred to as the "Partners ".
WHEREAS the Partners desire to enter into an agreement in which they will work together to
complete the Project;
AND WHEREAS the Partners hereby enter into this Memorandum of Understanding between
them, setting out the working arrangements that each agree are necessary to complete the
Project;
AND WHEREAS this Agreement and the exhibits attached hereto contain the entire agreement
of the parties with respect to the subject matter of this Agreement, and supersede all prior
negotiations, agreements and understandings with respect thereto. This Agreement may only be
amended by a written document duly executed by all parties. Should any provision of the
Memorandum conflict with any provision of the Project grant contract between the City of
Trinidad and CDOT, the provision in the Project grant contract shall prevail.
The Community and the City of Trinidad enter into this Memorandum in accordance with the
following provisions:
Section I: Project Aims and Objectives
1. To establish a wayfinding signage system that includes communities located within
Custer, Fremont, Huerfano, Las Animas and Pueblo Counties, collectively referred to as
the Five - County Region.
2. To provide directional information to travellers throughout the Five - County Region.
3. To provide travellers with information on the history and heritage of the Five - County
Region.
Section II: Memorandum Process
1. The City of Trinidad will deliver to the Community a copy of this Memorandum.

2. The Community will execute the Memorandum and return it to the City of Trinidad along
with the matching funds as specified in the attached Letter of Intent (Exhibit A). Failure
to send matching funds in the amount specified above will exclude the Community from
receiving Project funding.
Section III: Obligations of the Partners and the Project Manager
1. Project Manager - The Project shall be managed by Southern Rockies, Crossroads of
Culture, hereinafter referred to as the "Project Manager ". Services to be rendered by the
Project Manager shall generally include:
a. Coordination with Community representatives to develop the narrative and
imagery that appears on the interpretive panels;
b. Completion of all design services;
c. Development and implementation of all project content;
d. All graphic design;
e. Purchase of all materials for construction and installation;
f. Construction and /or installation of all signage;
g. Negotiations with all subcontractors;
h. Satisfying all 106 process requirements with the CDOT Historians and the State
Historic Preservation Officer (SHPO);
i. Managing all contractual work with the Colorado Department of Transportation
(CDOT).
2. The Community - Services to be rendered by the Community shall include:
a. Maintenance of all project related infrastructure for the life of said infrastructure;
b. Community involvement in content development;
c. Dedication of funds for initial landscaping features and ongoing maintenance;
d. Replacement of needed parts in the case of vandalism;
e. Payment of the previously committed Cash Match of $4.630 to the City of
Trinidad by July 1, 2013.
3. City of Trinidad - Services to be rendered by the City of Trinidad shall include:
a. Collection of matching project funds from each participating community;
b. Processing of invoices submitted to the City of Trinidad by the Project Manager;
c. Contracting with the Project Manager to administer the CDOT grant;
d. Administration of the matching project funds submitted by each community.
Section IV: Communication Strategy
Marketing of the vision and any media or other public relations contact should always be
consistent with the aims of the Project and only undertaken with the express agreement of the
Project Manager. Where it does not breach any confidentiality protocols, a spirit of open and
transparent communication should be adhered to by all parties. Co- coordinated communications
should be made with external organizations to elicit their support and further the aims of the
Project.

Section V: Dispute Resolution
In the event of a dispute between the Partners related to this Memorandum, a dispute resolution
group will convene consisting of the Chief Executives of each of the Partners together with one
other person independent of the Partners appointed by the Project Manager. The dispute
resolution group may receive for consideration any information it thinks fit concerning the
dispute. The Partners agree that a decision of the Project Manager will be final. In the event the
dispute resolution group is unable to make a compromise and reach a final decision, it is
understood that neither party is obligated to enter into any binding contract to complete the
Project.
Section VI: Contacts
All correspondence between the Community and the City of Trinidad should be directed through
the Project Manager with the following exception:
1. Upon execution, this Memorandum and invoiced matching project funds should be

Section VII: Term
The arrangements made by the Partners by the Memorandum shall remain in place from the
effective date of this Memorandum through December 31, 2015. The term can be extended only
by agreement of all of the Partners. Upon receipt of the required Cash Match by the City of
Trinidad, the Community shall be committed to the project for the life of the project and Cash
Match shall be non - refundable.
Section VIII: Notice
Any notice or communication required or permitted under this Memorandum shall be sufficiently
given if delivered in person or by certified mail, return receipt requested, to the address set forth
in 'Exhibit A'.
Section IX: Governing Law
This Memorandum shall be construed in accordance with the laws of the State of Colorado.
Section X: Assignment
Neither party may assign or transfer the responsibilities or agreement made herein without the
prior written consent of the non- assigning party, which approval shall not he unreasonably
withheld.

Section XI: Amendment
This Memorandum may be amended or supplemented in writing, if the writing is signed by the
party obligated under this Memorandum.
Section XII: Severability
If any provision of this Memorandum is found to be invalid or unenforceable for any reason, the
remaining provisions will continue to be valid and enforceable. If a court finds that any provision
of this Memorandum is invalid or unenforceable, hut that by limiting such provision it would
become valid and enforceable, then such provision will be deemed to be written, construed, and
enforced as so limited.

Section XIII: Understanding
It is mutually agreed upon and understood by and among the Partners that each Partner supports
the goals and objectives of the Project. Furthermore:
a. Each Partner will work together in a coordinated fashion for the fulfillment of the Project;
b. In no way does this agreement restrict involved Partners from participating in similar
agreements with other public agencies;
c. To the extent possible, each Partner will participate in the development of the Project;
d. Nothing in this memorandum shall obligate any Partner to the transfer of funds. Any
endeavor involving reimbursement or contribution of funds between the Partners of this
Memorandum will be handled in accordance with applicable laws, regulations, and
procedures. Such endeavors will he outlined in separate agreements that shall be made in
writing by representatives of the Partners involved and shall be independently authorized by
appropriate statutory authority. This Memorandum does not provide such authority.
e. This Memorandum is not intended to and does not create any right, benefit, or trust
responsibility.
f. This Memorandum will be effective upon the signature of both Partners.
g. Any Partner may terminate its participation in this Memorandum by providing written notice
to other Partner,

A Wayfinding System for the Southern Rockies
Crossroads of Cultures DRRA
Introduction
Based on the recommendations of a regional wayfinding assessment conducted in
February 2012, the Southern Rockies is submitting a grant proposal to CDOT (the
Colorado Department of Transportation) for $350,000. This proposal outlines a
comprehensive system that helps travelers navigate the region and alerts them to
historic and natural attractions. It includes:

• Birding trail signs
The four proposed gateways to the Southern Rockies region (Counties of Custer,
Fremont, Huerfano, Las Animas and Pueblo) include:
1. Northern Gateway: I -25 and US50 - Pueblo
2. Southern Gateway: on 1 -25 - Trinidad
3. Western Gateway: on US50 — Canon City
4. Eastern Gateway: on US160 — Lon
These transportation enhancement funds require an 80/20 match. CDOT would provide
80 %, and each community 20% for the kiosks located in their local community.

This information price is produced to help communities decide if they want to be a part
of the 2012 grant proposal, and outline what kiosks will cost. It can also serve to open
discussions about what other additional features communities may desire.
By March 30, 2012, the Southern Rockies need a list of communities that would like to
participate so that we meet the CDOT proposal deadline of April 16, 2012.
By April 13, 2012, all letters of commitment from authorized local agencies should be
received. We hope many communities want to participate, as this system will help build
tourism throughout the region.
