A RESOLUTION APPROVING AN AGREEMENT FOR
PROFESSIONAL SERVICES BETWEEN THE CITY OF PUEBLO,
A MUNICIPAL CORPORATION, AND FIN-UP HABITAT
CONSULTANTS, INC. FOR THE COMPLETION OF DESIGN
AND CONSTRUCTION SERVICES RELATED TO THE
ARKANSAS RIVER HABITAT IMPROVEMENTS, PHASE 2
PROJECT NO. PL1301 AND AUTHORIZING THE PRESIDENT
OF THE CITY COUNCIL TO EXECUTE SAME
WHEREAS, the City of Pueblo entered into a Grant Agreement with the Colorado
Department of Natural Resources, Colorado Department of Parks and Wildlife on January 28,
2013 for funding to complete the Arkansas River Habitat Project, Phase 2; and
WHEREAS, funding from Xcel Energy directed through the Department of Natural
Resources in the amount of $100,000 is stipulated on the use of Fin-Up Habitat Consultants,
Inc. to complete the habitat improvements.
BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that:
SECTION 1.
An Agreement dated January 28, 2013, a copy of which is attached hereto and made a
part hereof, after having been approved as to form by the City Attorney, by and between the
City of Pueblo, a Municipal Corporation, and Fin-Up Habitat Consultants, Inc., is hereby
approved.
SECTION 2.
Funds in the amount of $329,000 for said professional services shall be paid from the
Arkansas River Habitat Project No. PL1301.
SECTION 3.
The President of the City Council is hereby authorized to execute said Agreement on
behalf of the City of Pueblo, a Municipal Corporation, and the City Clerk shall affix the seal of
the City thereto and attest the same, subject to and contingent upon, City Council approval and
passage of an Ordinance establishing the Arkansas River Habitat Project, Phase 2, Capital
Improvement Project No. PL1301, budgeting and appropriating $336,100 for the Project, and
approving a Grant Agreement between the City of Pueblo and the Colorado Department of
Natural Resources.

Should City Council approve a Professional Services Agreement with Fin-Up Habitat
Consultant, Inc. for the completion of design and construction services related to the
Arkansas River Habitat Improvement, Phase 2 Project?
RECOMMENDATION
Approval of the Resolution.
BACKGROUND
This Project will construct new habitat structures, as well as restore, adjust, and
reconstruct some of the habitat improvements completed in 2005 along seven miles of
the Arkansas River below Pueblo Dam to Dutch Clark Stadium. The habitat work will
modify or reconfigure 117 existing structures, adding 107 new in-channel habitat
features, and provide 1,400 feet of river bank stabilization and revegetation.
FINANCIAL IMPACT
Funds in the amount of $329,000 will be paid from Project No. PL1301 Arkansas River
Habitat Project, Phase 2. The funding from Xcel Energy directed through the
Department of Natural Resources in the amount of $100,000 is stipulated on the use of
Fin-Up Habitat Consultants, Inc. to complete the habitat improvements included in this
Agreement for Professional Services.
AGREEMENT FOR PROFESSIONAL SERVICES

THIS AGREEMENT is made and entered into this 0 day of 'L4 i AR7 , ;
by and between the City of Pueblo, 211 East D Street, Pueblo, CO 81003, (the "Client "), and
FIN -UP Habitat Consultants, Inc., an independent contractor with a principal place of business at
220 Illinois Ave., Manitou Springs, Colorado ( "Contractor ") (collectively the "Parties ").
WHEREAS, the Client requires professional aquatic habitat restoration services; and
WHEREAS, Contractor has held itself out to the Client as having the requisite expertise
and experience to perform the required services.
NOW, THEREFORE, for the consideration hereinafter set forth, the receipt and
sufficiency of which are hereby acknowledged, the Parties hereto agree as follows:
I. SCOPE OF SERVICES
A. Contractor shall furnish all labor and materials required for the complete and
prompt execution and performance of all duties, obligations, and responsibilities which are
described or reasonably implied from the Scope of Services set forth in the attached Exhibits A
& B.
B. A change in the Scope of Services shall constitute a material change or
amendment of services or work which is different from or additional to the Scope of Services.
No such change, including any additional compensation, shall be effective or paid unless
authorized by written amendment executed by the Client and the Contractor. If Contractor
proceeds without such written authorization, then Contractor shall be deemed to have waived any
claim for additional compensation, including a claim based on the theory of unjust enrichment,
quantum meruit or implied contract.
II. COMMENCEMENT AND COMPLETION OF WORK
Contractor shall commence work as set forth in the Scope of Services. Except as may be
changed in writing by the Client, the Scope of Services shall be complete and Contractor shall
furnish the Client the specified deliverables as provided in Exhibit A.
III. COMPENSATION
A. In consideration for the completion of the Scope of Services by Contractor, the
Client shall pay Contractor an amount not to exceed Three Hundred & Twenty -Nine Thousand
Dollars ($329,000.00). This maximum amount shall include all fees, costs and expenses
incurred by Contractor.

C. Notwithstanding the maximum amounts specified in Paragraph A and Paragraph
B hereof, Contractor shall be paid only for work performed and materials delivered. The
Contractor will maintain a daily diary specifying the equipment hours for each piece of
equipment used on the project. The Contractor will submit to a Contract Officer, designated by
the City of Pueblo, weekly reports detailing equipment hours, project management hours,
acquired materials, and any other costs that will be charged under this agreement. The number
of boulders required under the agreement may vary, and the Contractor shall be paid only for the
actual quantities of boulders and other materials delivered to the site. State sales taxes, if any,
for materials procurement will be additional to this agreement, and the responsibility of the
Client.
D. Terms of Payment: Payments will be made to the Contractor as follows:
$12,500.00 within ten days of acceptance of this agreement.
Each month during the course of construction for approved invoices.
$ 4,800.00 upon completion of post project reporting requirements
as outlined under Exhibit A of this agreement.
The Contractor will submit an invoice on the 15 of each month to the Client for work
completed under this agreement. Invoices are due upon receipt, and are considered
delinquent if payment is not received within ten days.

IV. PROFESSIONAL RESPONSIBILITY
A. Contractor hereby warrants that it is qualified to assume the responsibilities and
render the services described herein and has all requisite corporate authority and licenses in good
standing, required by law.
B. The work performed by Contractor shall be in accordance with generally accepted
professional practices and the level of competency presently maintained by other practicing
professional firms in the same or similar type of work in the applicable community. The work
and services to be performed by Contractor hereunder shall be done in compliance with
applicable laws, ordinances, rules and regulations and with the terms and conditions of the
Subgrant Agreement between the Client and the State of Colorado, Department of Natural
Resources, Division of Parks and Wildlife set forth in the attached Exhibit C which is
incorporated herein by this reference..
C. The Client's review, approval or acceptance of, or payment for any services shall
not be construed to operate as a waiver of any rights under this Agreement or of any cause of
action arising out of the performance of this Agreement.
V. OWNERSHIP
The materials, items, and work specified in the Scope of Services, together with any and
all related documentation and materials provided or developed by Contractor shall be exclusively
owned by the Client. Contractor expressly acknowledges and agrees that all work performed
under the Scope of Services constitutes a "work made for hire." To the extent, if at all, it shall
not constitute a "work made for hire," Contractor hereby transfers, sells, and assigns to the Client
all of its right, title, and interest in such work.
VI. INDEPENDENT CONTRACTOR
Contractor is an independent contractor. Notwithstanding any other provision of this
Agreement, all personnel assigned by Contractor to perform work under the terms of this
Agreement shall be, and remain at all times, employees or agents of Contractor for all purposes.
Contractor shall make no representation that it is a Client employee for any purposes.
VII. INSURANCE
A. Contractor agrees to procure and maintain, at its own cost, a policy or policies of
insurance sufficient to insure against all liability, claims, demands, and other obligations
assumed by Contractor pursuant to this Agreement. Such insurance shall be in addition to any
other insurance requirements imposed by law.

B. Contractor shall procure and maintain, and shall cause any subcontractor of
Contractor to procure and maintain, the minimum insurance coverages listed below. Such
coverages shall be procured and maintained with forms and insurers acceptable to the Client. In
the case of any claims -made policy, the necessary retroactive dates and extended reporting
periods shall be procured to maintain such continuous coverage.
1. Worker's compensation insurance to cover obligations imposed by
applicable law for any employee engaged in the performance of work under this
Agreement, and Employer's Liability insurance with minimum limits of five hundred
thousand dollars ($500,000) each accident, one million dollars ($100,000) disease —
policy limit, and one million dollars ($100,000) disease — each employee. Evidence of
qualified self - insured status may be substituted for the worker's compensation
requirements of this Paragraph.
2. Commercial general liability insurance with minimum combined single
limits of one million dollars ($1,000,000) each occurrence and two million dollars
($2,000,000) general aggregate. The policy shall be applicable to all premises and
operations. The policy shall include coverage for bodily injury, broad form property
damage (including completed operations), personal injury (including coverage for
contractual and employee acts), blanket contractual, products, and completed operations.
The policy shall contain a severability of interests provision, and shall be endorsed to
include the Client and the Client's officers, employees, and Contractors as additional
insureds. No additional insured endorsement shall contain any exclusion for bodily
injury or property damage arising from completed operations.
C. Any insurance carried by the Client, its officers, its employees, or its Contractors
shall be excess and not contributory insurance to that provided by Contractor. Contractor shall
be solely responsible for any deductible losses under any policy.
D. Contractor shall provide to the Client a certificate of insurance, completed by
Contractor's insurance agent, as evidence that policies providing the required coverages,
conditions, and minimum limits are in full force and effect. The certificate shall identify this
Agreement and shall provide that the coverages afforded under the policies shall not be
cancelled, terminated or materially changed until at least thirty (30) days prior written notice has
been given to the Client. The Client reserves the right to request and receive a certified copy of
any policy and any endorsement thereto.
E. Failure on the part of Contractor to procure or maintain the insurance required
herein shall constitute a material breach of this Agreement upon which the Client may
immediately terminate this Agreement, or at its discretion, the Client may procure or renew any
such policy or any extended reporting period thereto and may pay any and all premiums in
connection therewith, and all monies so paid by the Client shall be repaid by Contractor to the
Client upon demand, or the Client may offset the cost of the premiums against any monies due to
Contractor from the Client.

VIII. INDEMNIFICATION
Contractor agrees to indemnify and hold harmless the Client and its officers, insurers,
volunteers, representative, agents, employees, heirs and assigns from and against all claims,
liability, damages, losses, expenses and demands, including attorney fees, on account of injury,
loss, or damage, including, without limitation, claims arising from bodily injury, personal injury,
sickness, disease, death, property loss or damage, or any other loss of any kind whatsoever,
which arise out of or are in any manner connected with this Agreement or the Scope of Services
if such injury, loss, or damage is caused in whole or in part by, the act, omission, error, mistake,
negligence, or other fault of Contractor, any subcontractor of Contractor, or any officer,
employee, representative, or agent of Contractor, or which arise out of any worker's
compensation claim of any employee of Contractor or of any employee of any subcontractor of
Contractor.
IX. TERMINATION
This Agreement shall terminate at such time as the work described in the Scope of
Services is completed and the requirements of this Agreement are satisfied, or upon the Client's
providing Contractor with seven (7) days advance written notice, whichever occurs first. If the
Agreement is terminated by the Client's issuance of written notice of intent to terminate, the
Client shall pay Contractor for all work previously authorized and completed prior to the date of
termination.
X. ILLEGAL ALIENS
A. Certification. By entering into this Agreement, Contractor hereby certifies that, at
the time of this certification, it does not knowingly employ or contract with an illegal alien who
will perform work under the Agreement and that Contractor will participate in either the E-
Verify Program administered by the United States Department of Homeland Security and Social
Security Administration or the Department Program administered by the Colorado Department
of Labor and Employment in order to confirm the employment eligibility of all employees who
are newly hired for employment to perform work under the Agreement
B. Prohibited Acts. Contractor shall not:
(1) Knowingly employ or contract with an illegal alien to perform work under
this Contract; or
(2) Enter into a contract with a subcontractor that fails to certify to Contractor
that the subcontractor shall not knowingly employ or contract with an illegal alien to
perform work under this Contract.

C. Verification.
(1) If Contractor has employees, Contractor has confirmed the employment
eligibility of all employees who are newly hired for employment to perform work under
the Agreement through participation in either the E- Verify Program or the Department
Program.
(2) Contractor shall not use the E- Verify Program or Department Program
procedures to undertake pre- employment screening of job applicants while this Contract
is being performed.
(3) If Contractor obtains actual knowledge that a subcontractor performing
work under this Contract knowingly employs or contracts with an illegal alien who is
performing work under the Agreement, Contractor shall:
1. Notify the subcontractor and the District within three (3) days that
Contractor has actual knowledge that the subcontractor is employing or
contracting with an illegal alien who is performing work under the Agreement; and
2. Terminate the subcontract with the subcontractor if within three (3)
days of receiving the notice required pursuant to subsection (1) hereof, the
subcontractor does not stop employing or contracting with the illegal alien who is
performing work under the Agreement; except that Contractor shall not terminate
the contract with the subcontractor if during such three (3) days the subcontractor
provides information to establish that the subcontractor has not knowingly
employed or contracted with an illegal alien who is performing work under the
Agreement.
D. Duty to Comply with Investigations. Contractor shall comply with any
reasonable request by the Colorado Department of Labor and Employment made in the course of
an investigation conducted pursuant to C.R.S. § 8- 17.5- 102(5)(a) to ensure that Contractor is
complying with the terms of this Contract.
E. If Contractor does not have employees, Contractor shall sign the "No Employee
Affidavit" attached hereto.
F. If Contractor wishes to verify the lawful presence of newly hired employees who
perform work under the Agreement via the Department Program, Contractor shall sign the
"Department Program Affidavit" attached hereto.
XI. MISCELLANEOUS
A. Governing Law and Venue. This Agreement shall be governed by the laws of the
State of Colorado, and any legal action concerning the provisions hereof shall be brought in El
Paso County, Colorado.

B. No Waiver. Delays in enforcement or the waiver of any one or more defaults or
breaches of this Agreement by the Client shall not constitute a waiver of any of the other terms
or obligation of this Agreement.
C. Integration. This Agreement and any attached exhibits constitute the entire
Agreement between Contractor and the Client, superseding all prior oral or written
communications.
D. Notice. Any notice under this Agreement shall be in writing, and shall be deemed
sufficient when directly presented or sent pre -paid, first class United States Mail to the party at
the address set forth on the first page of this Agreement.
E. Severability. If any provision of this Agreement is found by a court of competent
jurisdiction to be unlawful or unenforceable for any reason, the remaining provisions hereof shall
remain in full force and effect.
F. Modification. This Agreement may only be modified upon written agreement of
the Parties.
G. Assigmnent. Neither this Agreement nor any of the rights or obligations of the
Parties hereto, shall be assigned by either party without the written consent of the other.
H. Rights and Remedies. The rights and remedies of the Client under this
Agreement are in addition to any other rights and remedies provided by law. The expiration of
this Agreement shall in no way limit the Client's legal or equitable remedies, or the period in
which such remedies may be asserted, for work negligently or defectively performed.

EXHIBIT A
SCOPE OF SERVICES
The project reach is located on the Arkansas River immediately downstream of the Pueblo
Reservoir Dam in Pueblo County, Colorado. The project reach is approximately 7.1 miles in
length, and extends from the Pueblo Reservoir downstream to the confluence of the Arkansas
River and Wild Horse Creek, near Dutch Clarke Stadium in the City of Pueblo, CO. The
proposed scope of work and budget includes development and implementation of an aquatic
habitat enhancement plan, permitting, and post project reporting. Due to the large scale of the
project, and current uncertainty of grant applications and other funding sources, the scope of
work and project budget has been structured to define specific itemized costs related to the
project.
FIN -UP Habitat Consultants, Inc. will provide overall project supervision, management,
equipment and materials acquisition/ delivery to implement an aquatic restoration plan outlined
in Exhibit B of this agreement — Preliminary Assessment of Existing Channel Structure
Condition, Maintenance Recommendations & Proposed Aquatic Habitat Enhancements —
Arkansas River Legacy Project, Pueblo, CO (Fin -Up, Inc. November 2012 Final). This work
will include oversight and coordination of pre - project preparation activities, project
implementation, and post project reporting requirements. This work will include the following
services:
1. Coordination with the City of Pueblo and the Colorado Division of Parks and Wildlife
(CPW) for pre - project activities that will need to be completed before the start of construction.
Pre - project work includes initial assessment, river channel morphology surveys, development of
a final Aquatic Habitat Enhancement Plan, securing necessary materials for the project, Federal
Clean Water Act (1972 as amended) Section 404 and Section 401 permit compliance, and
utilities / irrigation line locations prior to implementation of the project. FIN -UP, Inc. will
coordinate these pre - project requirements to ensure they are completed in a timely manner to
complete the project on schedule. SB -40 permitting, local /regional floodplain permits and Zero
Rise Certification, if necessary, will be the responsibility of the CPW.
2. Will sub - contract a qualified heavy equipment contractor for the project. River
restoration efforts may require specific technical skills and equipment not necessarily found
within all heavy equipment contracting companies, and prior river restoration experience is a
critical element in project timing, duration, and success.
3. Complete the pre - project site layout and staking necessary for the heavy equipment sub-
contractor to begin construction of the restoration project.
4. Will provide oversight and QA /QC of the heavy equipment construction of the in- channel
structures, bank -full benches, and grading of the river banks. FIN -UP, Inc. will ensure that the
aquatic habitat plan is implemented as planned. The urban location of the project and other
unknown factors that may arise during construction may require minor modifications, additions
or subtractions to the attached restoration plan. Minor modifications, additions or subtractions of
habitat features will not constitute a material change in conditions, and will not require a change

order. FIN -UP, Inc. will coordinate any substantial changes in condition that may arise from
unexpected events with the Contract Officer designated by the City of Pueblo and the CPW.
5. FIN -UP, Inc. will maintain a project contract diary during the length of the project, and
will document any deviations to the original plan, providing "as- built" drawings of the
completed project. The contract diary will include a record of equipment used, hours worked,
and tasks completed. FIN -UP, Inc. will provide the Contract Officer a weekly report during the
construction phase of equipment hours and costs, project management costs, and overall project
costs to date. These reports may be submitted in person, or electronically by COB Monday of
the following week. Fin -Up, Inc. will coordinate with the Contract Officer to ensure that the
maximum cost under the agreement is not exceeded.
6. Will coordinate, with the City of Pueblo, the CPW, and the local Trout Unlimited chapter
to schedule volunteer workdays that are anticipated to be needed to complete the final clean -up
and re- planting phases of the project. FIN -UP, Inc. will assure that volunteer efforts are
implemented as planned, and will coordinate any necessary changes that may arise from
unexpected events with the City of Pueblo Contracting Officer and the CPW.
7. Will complete the 90 day post project reporting requirement for the US Army Corps of
Engineers Regional General Permit #12 authorizing the project. The City of Pueblo and the
CPW will be responsible for the 3 year post project requirements of the RGP #12 Authorization.
8. Will provide the City of Pueblo and the CPW with a final report on the implementation of
the project, documenting any significant changes to the original planning document. This report
will also detail the expenses of the project and provide information necessary for the reporting
requirements of grants secured for the work.
Project Budget / Itemized Costs:
Due to the uncertainty of final disposition of grants and funds available to complete a project of
this scope, the budget contained herein is based on an hourly /weekly cost basis as opposed to a
finite fixed cost. The itemized costs are broken down into project management costs, materials
costs, and equipment costs.
Project Management
A project manager will be provided by FIN -UP, Inc., and will be on -site during any construction
activity in the project reaches. FIN -UP, Inc. may also provide an assistant manager, who may
from time to time oversee implantation of the project for brief periods. Project management
services will be charged based on hours worked. Project management fees are inclusive of travel
and miscellaneous expenses incidental to completion of the work.
Materials
While most of the materials necessary for the work are already present in the project reach, some
additional materials may need to be acquired. In particular, we estimate that up to 2,500
additional boulders may be required to complete the 7 mile project reach. Boulders will need to
be imported to the project reach from sources up to 50 miles away. Fuel prices and transport
costs reflect a large percentage of the total cost for acquiring boulders for the project, and are

subject to volatility. At current fuel costs, we can provide boulders to the project reach,
including delivery, at a cost of $27.00/ton.
Habitat features in the final design plan may include some large cottonwood trees incorporated
into the river banks, or as vanes to create scour and cover for resident trout. These features will
be anchored into the river substrate using Foresight Products MR -1 and MR -4 dead -man
anchors. The cost for these anchors, including installation, will be as follows:
MR -1 Anchor $125.00 each
MR -4 Anchor $100.00 each
Geotextile fabric and erosion control fabric may be required for many of the bank stabilization
efforts. The cost of geotextile fabric is approximately $140.00 /roll, and E/C matting is
$60.00 /roll..
Heavy Construction Equipment
Chaparral Construction LLC will provide equipment and personnel necessary to complete the
project. We anticipate that most of the work under this scope of work can be completed utilizing
a single 270 series excavator, equipped with a hydraulic thumb, and a large front loader. Given
the nature of the habitat plan, there is a possibility that there may be a need for a larger excavator
for a portion of the work. In the event that this equipment in necessary, we have arraigned to
lease a 450 series excavator from a local equipment provider. Below is a schedule of the pieces
of equipment that may be used to complete the project, and the cost per hour and cost per week
for each piece.

Proposed Project Budget Estimate
The following schedule shows the itemized costs for a project lasting 9 weeks and completing
the 7.1 mile project reach. The project budget estimate is based on not needing to lease a larger
excavator, and maintaining a production rate of 800 linear feet of channel completed each day,
which is consistent with other projects completed of this size and scope. The work would
commence downstream of the Lake Pueblo Dam and extend downstream to the confluence of
Wild Horse Creek and the Arkansas River near Dutch Clark Stadium. Approximately 2,500
boulders would be acquired for the project.

Adverse weather and changes in river flows may result in delays in the work schedule.
Typically, flows exceeding 1/2 the bank -full stage may require postponement of in- channel work

determine when stream conditions warrant a delay, and shall be held harmless from liability for
the Client's costs related to unavoidable weather and flow induced delays.
