A RESOLUTION SUSPENDING ANY NEW CITY COUNCIL
APPOINTMENTS TO THE BOARD OF TRUSTEES OF THE
SANGRE DE CRISTO ARTS AND CONFERENCE CENTER
IN 2011 AND ALLOWING THE BOARD OF TRUSTEES OF
THE SANGRE DE CRISTO ARTS AND CONFERENCE
CENTER TO SHRINK IN SIZE BEGINNING IN 2012
WHEREAS, on December 7, 2011, the Board of Trustees of the Sangre de Cristo
Arts and Conference Center approved changes to its bylaws reducing the number of
board members from 35 to 16 effective January 1, 2012; and
WHEREAS, the revised bylaws provides for the ratio of appointments between
the City Council, Board of County Commissioners, and the Sangre de Cristo Arts and
Conference Center to be 1:1:2, respectively; and
WHEREAS, in a letter to the City Council dated November 28, 2011, the Sangre
de Cristo Arts and Conference Center Executive Director and Board Chair and Vice
Chair asked the Council to suspend any new appointments for 2011, to make no more
than four appointments in any one year other than to fill vacancies, and to allow the
Board to shrink in size through term limitations and resignations; NOW THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that:
SECTION 1.
The City Council hereby suspends the appointment of new members to the
Board of Trustees of the Sangre de Cristo Arts and Conference Center in 2011 to fill the
vacancies created by resignation or expiration of terms of Lynette Belkin, Katherine
Kennedy, and Cathy Valenzuela, whose terms expire December 31, 2011.
SECTION 2.
The City Council acknowledges the appointments of Dianne Brooks, whose term
expires December 31, 2012, and Jeanette Autobee Garcia, Yvette Fransua, Elizabeth
Gallegos, and Erin Hergert, whose terms expire December 31, 2013.
SECTION 3.
The City Council consents to allowing the Board of Trustees of the Sangre de
Cristo Arts and Conference Center to shrink in size from 35 members to 16 members
effective January 1, 2012, through term limitations and resignations and in accordance
with its revised bylaws.
SECTION 4.
The City Council agrees to make no more than four appointments to the Board of
Trustees of the Sangre de Cristo Arts and Conference Center in any one year other
than to fill vacancies due to term limitations and resignations.
SECTION 5.
This Resolution shall be effective upon passage and approval.

ISSUE:
Should the City Council approve a Resolution suspending any new City Council
appointments to the Board of Trustees of the Sangre de Cristo Arts and Conference
Center in 2011 and allowing the Board of Trustees of the Sangre de Cristo Arts and
Conference Center to shrink in size beginning in 2012?
RECOMMENDATION:
Administration recommends approval of the Resolution.
BACKGROUND:
On December 7, 2011, the Board of Trustees of the Sangre de Cristo Arts and
Conference Center (SCACC) approved changes to its bylaws reducing the number of
board members from 35 to 16 effective January 1, 2012. The revised bylaws
designates the ratio of appointments between the City Council, Board of County
Commissioners, and SCACC at 1:1:2, respectively. In a letter to the City Council dated
November 28, 2011, the SCACC Executive Director and Board Chair and Vice Chair
asked the Council to suspend any new appointments for 2011, to make no more than
four appointments in any one year other than to fill vacancies, and to allow the Board to
shrink in size through term limitations and resignations. This Resolution would suspend
any new appointments for 2011 and allow the Board of Trustees to shrink in size
beginning in 2012.
FINANCIAL IMPACT:
There is no financial impact.
