HomeMy WebLinkAbout11553RESOLUTION NO. 11553 A RESOLUTION APPROVING THE AGREEMENT BETWEEN THE CITY OF PUEBLO AND SENIOR RESOURCES DEVELOPMENT AGENCY, RELATING TO A CITY -WIDE VOLUNTEER PROGRAM, THE TRANSFER OF FUNDS FROM THE PARKS AND RECREATION DEPARTMENT TO COVER THESE COSTS AND AUTHORIZING THE PRESIDENT OF THE CITY COUNCIL TO EXECUTE SAME BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that: SECTION 1. The President of the City Council is authorized to execute the Agreement dated as of March 23, 2009 between the City of Pueblo and Senior Resources Development Agency relating to a City -wide Volunteer Program, a copy of which is attached hereto, having been approved as to form by the City Attorney, and the City Clerk is directed to affix the seal of the City thereto and attest same. SECTION 2. All expenditures for this agreement shall be made from funds budgeted to the Human Resources Department. The amount of $25,596 shall be transferred from the Parks Department budget to the HR budget. SECTION 3 This resolution shall become effective April 1, 2009. Approval of the Resolution and execute the Agreement BACKGROUND During the 2009 budget session, the City Council identified the need for a Volunteer Coordinator position in the Parks and Recreation Department. Shortly thereafter, the SRDA proposed meeting that need via a contracted Volunteer Coordinator from its organization which would be less expensive to the City. When it became apparent that the City needed to keep non critical positions vacant during 2009, the partnering with SRDA to provide up to 30 volunteers City -wide was explored. Coordinating the placement, training and recognition of these volunteers is better handled in HR than in Parks and Recreation. In addition, HR will provide a semi - annual evaluation of the program. FINANCIAL IMPACT Approximately $70,000 was budgeted in Parks & Recreation for this program. The cost of the new program would be approximately $25,600 per year which will be handled via a fund transfer. The monthly cost will be $2,008 with $1,500 for the annual recognition dinner and awards ceremony. Approximately $45,000 of the remaining funds in the Parks and Recreation budget will be earmarked for vacancy savings. AGREEMENT This Agreement entered into as of March 23, 2009 between Pueblo, a municipal corporation, 1 City Hall Place, Pueblo, Colorado, 81003 (the City) and Senior Resources Development Agency, Pueblo, Inc., a Colorado nonprofit corporation, 203 N. Union Avenue, Pueblo, Colorado, 81003 (SRDA), Witnesseth Whereas, SRDA conducts and operates a volunteer program and represents that it is competent and qualified to conduct and operate a volunteer program for and on behalf of City, and Whereas, City desires that SRDA conduct and operate a volunteer program for and on behalf of the City upon the terms and conditions hereinafter set forth. Now therefore, in consideration of the foregoing and mutual covenants contained herein, City and SRDA agree as follows: 1. SRDA will operate, conduct and coordinate a volunteer program for the City. SRDA will engage a part -time volunteer coordinator as an employee of SRDA under its supervision and control (Volunteer Coordinator). 2. SRDA acting by and through its Volunteer Coordinator and in cooperation with the City' s Director of Human Resources (Director) will: (a) Develop a volunteer need plan for City departments identified by the Director. (b) Develop a recruitment plan to recruit thirty (30) volunteers during the initial term of this Agreement. (c) Complete background checks on and place volunteers approved by the Director in City's departments identified by Director. Each volunteer before placement in any City department shall be made familiar with the functions and services he or she shall furnish and provide to the Department. (d) Develop and maintain a volunteer retention plan, including volunteer recognition on an ongoing basis. (e) Evaluate the volunteer program on a semiannual basis. 3. As full compensation for all services and activities to be performed by SRDA under this Agreement during the initial term, City will pay SRDA the sum of $24,096.00 in twelve (12) equal monthly installments of $2,008.00, payable in advance, commencing April 1, 2009 and on the first day of each month thereafter. 4. The initial term of this Agreement shall be one (1) year starting on April 1, 2009 and ending March 31, 2010 and shall be automatically renewed for successive one (1) year terms unless sooner terminated as provided herein. Either party may terminate this Agreement at any time, without cause or liability, by giving to the other party thirty (30) days prior written notice specifying the date of termination. The compensation to be paid by City to SRDA during each renewal term shall be mutually agreed upon at least sixty (60) days prior to the date of expiration of the then applicable initial term or renewal term. 5. All financial obligations of the City payable after the current fiscal year are contingent upon funds for that purpose being appropriated, budgeted, and otherwise made available. Failure of City to appropriate and budget such funds shall not constitute a default or breach of this Agreement by City. 6. SRDA shall maintain at its expense during the effective term of this Agreement commercial general liability insurance in amounts not less than those specified in section 24-10 - 114(1)(a) and (b), C.R.S., as amended, and workers' compensation insurance as required by Colorado law. SRDA shall at the request of City deliver satisfactory evidence of such insurance. 7. SRDA will be solely and entirely responsible for its acts and the acts of its agents, officers, and employees including the Volunteer Coordinator. SRDA shall indemnify and save harmless City from all claims, damages, liabilities, actions, and costs of the defense thereof including reasonable attorney fees, arising out of or resulting from the negligent acts or omissions of SRDA or its agents, officers or employees, including the Volunteer Coordinator, or caused by or sustained in connection with the performance of this Agreement by SRDA or by conditions created thereby, or based upon a violation of any statute, ordinance or regulations by SRDA 8. This Agreement constitutes the entire agreement between City and SRDA with respect to the subject matter hereof and may be amended by the parties only by a written instrument setting forth the provisions of such amendment and signed by both of the parties. 9. This Agreement shall be interpreted in accordance with the laws of the State of Colorado and shall be binding upon City and SRDA and their respective successors. This Agreement may not be assigned in whole or in part by either party. 10. All notices to be given under this Agreement shall be in writing and shall be sufficient if delivered personally or mailed by certified mail, postage prepaid, to the other party at its address shown on the first page hereof. 11. City and SRDA specifically intend that there be no third party beneficiary to or under this Agreement. Therefore, no person or entity other than City and SRDA shall have any rights or remedies under this Agreement. Executed the day and year first above written.
