A RESOLUTION APPROVING A LEASE EXTENSION BETWEEN THE CITY OF PUEBLO, A
MUNICIPAL CORPORATION, AND THE BESSEMER HISTORICAL SOCIETY, A COLORADO
NON - PROFIT CORPORATION, RELATING TO SPACE WITHIN THE CF &I ANNEX BUILDING
AND CF &I METAL BUILDING
WHEREAS, the City of Pueblo has entered into contract EIAF #4813 - Pueblo- Bessemer
Utilities for $500,000, and has budgeted and appropriated said funds as advanced rent for utility
upgrades at the facilities of the Bessemer Historical Society; and
WHEREAS, Resolution 9568 of March 25, 2002 approved a lease agreement between the
City and the Bessemer Historical Society with respect to 43,206 square feet of space in the CF &I
Annex Building ( "Lease No. 1 "); and
WHEREAS, Resolution 9981 of November 10, 2003 approved leasing an additional 10,000
square feet of space in the CF &I Metal Building ( "Lease No. 2 "); and
WHEREAS, Landlord and Tenant desire to extend the terms of Lease No. 1 and Lease No.
2
BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that:
SECTION 1.
The Lease Extension for an additional five year period ending April 1, 2010 between the
City of Pueblo, a municipal corporation, and the Bessemer Historical Society, a Colorado nonprofit
corporation, a copy of which is attached hereto and incorporated herein, having been approved as
to form by the City Attorney, is hereby approved.
SECTION 2.
The President of the City Council is hereby authorized to execute and deliver the Lease
Extension on behalf of the City of Pueblo, and the City Clerk shall affix the Seal of the City thereto
and attest same.

ISSUE
Should the City of Pueblo extend the existing lease agreements with the Bessemer
Historical Society in conjunction with the City's provision. of $500,000 in EIAF funds from
account PLO504 in accordance with plans and specifications approved by the City?
MMENDATION
Approval of this Resolution.
13ACKGROUND
The City was granted leased space in the CF &I annex building and CF &I metal building
in conjunction with previous Energy Impact Assistance grants provided to the Bessemer
Historical Society. A five -year extension is currently proposed in return for the present
$500,000 in funds from EIAF Project #4813 for provision of utility service upgrades to
the Bessemer Historical Society's facilities.
FINANCIAL IMPACT
Other than providing the $500,000 in EIAF funds and in -kind services provided by the
Planning and Finance Departments for the administration of the grant, there will be no
financial impact to the City.
LEASE EXTENSION
THIS LEASE EXTENSION is entered into as of April 25 , 2005
between the City of Pueblo, a municipal corporation, 1 City Hall Place, Pueblo, Colorado, 81003
( "Tenant ") and Bessemer Historical Society, a Colorado nonprofit corporation, 1612 E. Abriendo
Avenue, Pueblo, Colorado, 81004 ( "Landlord ").
WHEREAS, Landlord and Tenant entered into a Lease Agreement dated March 25, 2002
with respect to 43,206 square feet of space in the CF &I Annex Building ( "Lease No. 1 "), and
WHEREAS, Landlord and Tenant entered into a Lease Agreement dated November 1,
2003 with respect to 10,000 square feet of space in the CF &I Metal Building ("Lease No. 2 "),
and
WHEREAS, Landlord and Tenant desire to extend the terms of Lease No. 1 and Lease

NOW, THEREFORE, in consideration of the foregoing and mutual covenants contained
herein, Landlord and Tenant agree as follows:
The term of Lease No. 1 is extended to April 1, 2010.
2. The term of Lease No. 2 is extended to April 1, 2010.
3. Lease No. 1 and Lease No. 2 as amended by this Lease Extension shall remain in
full force and effect, binding upon and inuring to the benefit of Landlord and Tenant and their
respective successors and assigns.
