A RESOLUTION APPROVING A DEVELOPMENT
AGREEMENT BETWEEN THE CITY OF PUEBLO AND
MIDWEST CONSTRUCTION CORP. CONCERING THE
BOULEVARD PARK DEVELOPMENT
BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, that:
SECTION 1.
An Agreement dated December 5, 2001, a copy of which is attached hereto and
made a part hereof, after having been approved as to form by the City Attorney, by and
between Pueblo, a Municipal Corporation, and Midwest Construction Corp. is hereby
approved.
SECTION 2.
The President of City Council is hereby authorized to execute the said
Agreement on behalf of Pueblo. a Municipal Corporation, and the City Clerk shall affix
the seal of the City thereto and attest the same.

TITLE

BOULEVARD PARK DEVELOPMENT
ISSUE
Should the City Council enter into a development agreement with Midwest Construction
Corp. concerning the Boulevard Park Development.
RECOMMENDATION
Approval of this Resolution.
BACKGROUND
This Resolution will establish a development agreement, with addendums for phased
construction and storm water detention facility maintenance, for the Boulevard Park
Development. The developer, Midwest Construction Corp., is developing lots platted in
the Chamberlain's Subdivision, for which there is no subdivision improvements
agreement. This development agreement is patterned after the subdivision improvements
agreement used for new subdivisions.
The amount for the maintenance contribution in the addendum for Detention Facility
Maintenance is based upon the negotiated amount for a previous subdivision and is
approximately the amount necessary to subsidize annual maintenance costs of the
stormwater detention facility from investment earnings.
FINANCIAL IMPACT
This agreement will allow the development of 409 single family lots, with associated
infrastructure that will eventually be maintained by the City. The estimated cost of this
future maintenance has not been established.

BOULEVARD PARK DEVELOPMENT AGREEMENT
THIS AGREEMENT is made on December 5 , 2001, between the CITY
OF PUEBLO, a Municipal Corporation ( "City "), and Midwest Construction
Corp.
RECITALS
( "Developer ")
WHEREAS, Developer is the owner of, and plans to develop a certain tract of land located
in the City and legally described in attached Exhibit "A" ( "Subdivision "), and
WHEREAS, the Developer, as a condition of approval of the issuance of building permits
within the Subdivision, wishes to enter into this Boulevard Park Development Agreement as
authorized by Chapter 4, Title XII of the 1971 Code of Ordinances; and
WHEREAS, Developer is required by Chapter 4, Title XII of the 1971 Code of Ordinances
of the City to construct and install certain public improvements generally described in attached
Exhibit "B" and shown on approved construction plans and documents on file at the office of the
City's Director of Public Works ( "Required Public Improvements "); and
WHEREAS, by Chapter 4, Title XII of the 1971 Code of Ordinances, Developer is obligated
to provide security or collateral in an amount not less than the Director of Public Works' ( "Director ")
estimate for all Required Public Improvements ( "Director's Estimate ") to construct and complete
the Required Public Improvements.
NOW THEREFORE, in consideration of the following mutual covenants and agreements,
the City and Developer agree as follows: ;Q
1. Except as may be otherwise specifically provided in paragraph 7 hereof, Developer
agrees within one hundred and eighty (180) days after applying for a building permit to construct any
building or structure on any building site within the Subdivision, or upon the issuance of a certificate
of occupancy for any such building or structure, whichever occurs first, to construct and install at
its sole cost all of the Required Public Improvements.
2. In lieu of installing the Required Public Improvements within the time period
prescribed in paragraph 1, Developer or any subsequent owner of the land or any portion thereof may
deposit cash or other collateral in an amount not less than the Director's Estimate with the City
Director of Finance, or with any bank or trust company licensed in the State of Colorado, subject to
an escrow agreement approved by the Ci ty Attorney. The holder of such cash or collateral shall pay
all or any portion thereof to the City upon demand after the time to complete all Required Public
Improvements in the Subdivision or any Phase thereof, by Developer or subsequent owner, expires.
Such deposit or escrow agreement shall be referred to as the "Deposit ".

3. In the event the Developer or any subsequent owner of the land fails to complete the
Required Public Improvements in the Subdivision or any Phase thereof, or to make such Deposit,
within the required time, no additional building permits shall be issued to the Developer or the
subsequent owner or to any other person to build or construct any building or structure in the
Subdivision until such failure is remedied. In addition the City may treat the amount of such Deposit
as a debt due the City from the Developer or subsequent owner, which debt shall be a lien upon all
the land in the Subdivision and notice of lien may be filed for record in the office of the County
Clerk and Recorder at any time after such default. Action upon such debt may be instituted by the
City within six (6) years from the date of filing such lien for record. All remedies provided for in
this Agreement are cumulative and the use of one shall not prohibit the use of another.
4. Upon completion of the Required Public Improvements or upon making such Deposit,
the Director shall release the property within the Subdivision, or the applicable Phase thereof, from
the terms of this Agreement except the terns of paragraph 6 below which shall continue in effect.
5. As a condition of approval of this Agreement, and to meet the requirements of
Chapter 4 of Title XII of the 1971 Code of Ordinances, Developer specifically agrees that no
certificate of occupancy shall be issued by the Pueblo Regional Building Department until the
Required Public Improvements, or those improvements in any Phase necessary as determined by the
Director, to totally serve specific lot(s) or block(s) within the Phase for which certificates of
occupancy are sought, have been properly designed, engineered, constructed and accepted as meeting
the specifications and standards of the City.
The restrictions on issuing certificates of occupancy contained in this paragraph 5 and the
restriction on the issuance of building permits contained in paragraph 3 shall run with the land and
shall extend to and be binding upon the heirs, legal representatives, successors and assigns of
Developer and may be specifically enforced by the City.
6. Until the Required Public Improvements have been installed and meet the
requirements, standards, and specification of the City, its Subdivision ordinances, and any applicable
Parks Department specifications, and such are specifically approved and accepted in writing by the
Director, and, if appropriate, the City Director of Parks and Recreation, the maintenance,
construction, and all other matters pertaining to or affecting the Required Public Improvements and
rights -of -way are the sole responsibility of the Developer and any subsequent owner(s) of the land
within the Subdivision.
7. The required time to complete all Required Public Improvements by Developer within
any Phase of the development of this Subdivision as defined in the addendum to this Agreement
shall be one hundred eighth (180) days from the date of application for the first building permit
issued within such Phase. Upon completion and written approval and acceptance of the Required
Public Improvements within the Subdivision or any applicable Phase, within the required time and
payment of all inspection costs by Developer, the Director shall cause all obligations of the

Developer relating to the Required Public Improvements within the Subdivision or for any applicable
Phase, to be released. If such Required Public hmprovements are not completed within the required
time, the Director may cause the proceeds of all Deposits to be used to complete the same. If
insufficient monies are available at the end of the required time to complete all Required Public
Improvements for the entire Subdivision or for any applicable Phase, the Director shall cause the
Deposit to be reduced to cash and shall deposit the same with the Director of Finance. Such cash
shall be used to complete that portion of the Required Public Improvements as the Director, in his
sole discretion, shall determine. Until all the Required Public Improvements within the Subdivision
or for any applicable Phase thereof, are completed and approved by the Director, Developer and the
land within the Subdivision or any applicable Phase thereof shall remain liable and responsible for
all Required Public Improvements.
8. Developer agrees to provide the City with a current title insurance commitment prior
to execution of this Agreement evidencing that fee simple title of all land in the Subdivision is totally
vested in the Developer free and clear of all liens and encumbrances. If such land is not free and
clear, the holder of any such lien or encumbrance shall subordinate its interest or encumbrance to
this Agreement and all its terms, conditions and restrictions.
9. The City or the purchaser of any lot(s) within the Subdivision shall have the authority
to bring an action in any Court of competent jurisdiction to compel the enforcement of this
Agreement or any amendment hereto. Venue for any such action shall be Pueblo County, Colorado.
Such authority shall include the right to compel rescission of any sale, conveyance or transfer of any
lot(s) or tract(s) contrary to the provisions of the Ordinances of the City or this Agreement. In the
event of any litigation concerning this Agreement, the Court shall award the prevailing party its costs
and expenses, including reasonable expert witness and attorneys' fees.
10. The parties agree this Agreement may be periodically amended by mutual consent
provided such amendment is in writing and signed by all parties.
11. This Agreement shall extend to and be binding upon the successors and assigns of
the City and upon the heirs, successors, assigns and legal representatives of Developer, and shall be
recorded in the office of the County Clerk and Recorder of Pueblo County, Colorado, and shall
constitute an agreement running with the land until released as described above.
The parties have caused this Agreement to be executed and attested by its duly authorized and acting
officer.

ADDENDUM TO BOULEVARD PARK DEVELOPMENT AGREEMENT
(PHASED CONSTRUCTION)
This addendum shall be incorporated in and become a part of the Boulevard Park
Development Agreement ( "Agreement ") of even date herewith between the City of Pueblo and
Developer and enforceable as provided in said Agreement.
1. Developer will develop the land described in Exhibit "A" attached to the Agreement
(the "Subdivision ") in separate phases to be identified herein as follows:
2. Phase I shall consist of the following lots within the Subdivision:

complete.

4. Prior to the issuance of a building permit within any Phase, construction plans for all
Required Public Improvements within the Phase, and those that serve the Phase as
determined by the Director of Public Works ( "Director ") must be approved by the
Director. All construction plans must be prepared under the direct supervision of a
Professional Engineer registered in the State of Colorado and certified accordingly.
Detailed construction quantities and cost estimates of the Required Public
Improvements within the Phase, and those that serve the Phase, certified by the
Professional Engineer, must also be submitted. These cost estimates will take
precedence over Exhibit "B" cost estimates in the Agreement with respect to the
Required Public Improvements for such Phase.
Developer shall construct and install all of the Required Public Improvements in the
manner and as described in the Agreement needed and required to serve the lots with
each Phase.
6. For purposes of determining the extent and timing of the Required Public
Improvements, each Phase shall be considered separately and an event requiring
completion of the improvements in one Phase will not require completion of
improvements in the other Phases.
7. After completion of the Required Public Improvements for any Phase and approval
thereof by the Director, the City will release the lots in that Phase from the
Agreement and this Addendum
8. The Agreement as amended by this Addendum shall remain in full force and effect
and the covenants of this Addendum shall run with the land within the Subdivision
and shall extend to, be binding upon, and inure to the benefit of the City and
Developer and their respective heirs, personal representatives, successors, and assigns.

(DETENTION FACILITY MAINTENANCE)
ADDENDUM TO BOULEVARD PARK DEVELOPMENT AGREEMENT
This Addendum shall be incorporated in and become a part of the Boulevard Park
Development agreement of even date ( "Agreement ") for the land described in Exhibit
"A" attached to the Agreement and enforceable as provided in the Agreement.
1. Developer will construct and install as part of the Required Public
Improvements for the Subdivision the detention facility and associated improvements in
accordance with the plans and specifications prepared by Developer, approved by, and on
file with the City. Developer shall replace the top soil after construction of the detention
facility and revegetate by seeding the entire area with a drought tolerant grass mix
approved by the City. Developer will provide a temporary irrigation system for, and
irrigate the revegetated area after planting until the grasses are well established.
Developer will be responsible for all costs associated with the construction of the
detention facility and associated improvements as well as the temporary irrigation
system, revegetation, and irrigation including fees payable to the Board of Water Works
and charges for water.
2. Developer will maintain in good condition and repair the detention facility,
associated improvements and revegetation (including irrigation and mowing) until (i) the
detention facility, associated improvements and revegetation are accepted for
maintenance in writing by the City's Director of Public Works (the "City's Acceptance ")
and (ii) Developer pays the Maintenance Contribution to the City.
3. Developer will pay to City the sum of $ 9,755. 00 as a one -time
contribution for future detention facility maintenance (the "Maintenance Contribution ")
on or before the earlier of (1) the date of City's Acceptance in writing by the City's
Director of Public Works, or (ii) the date Developer requests release from the Agreement
for the last lot or lots in the Subdivision, or (iii) the date of issuance of a Certificate of
Occupancy for the last structure in the Subdivision.
4. Developer will be released from all obligations tender this Addendum after
City's Acceptance in writing by the City's Director of Public Works and receipt by City
of the Maintenance Contribution. Thereafter, City will assume the obligation to maintain
the detention facility, associated improvements and revegetation.
5. The Agreement as amended by this Addendum shall remain in full force and
effect and the covenants of this Addendum shall run with the land within the Subdivision
and shall extend to, be binding upon, and inure to the benefit of City and Developer and
their respective heirs, personal representatives, successors, and assigns.
