A RESOLUTION APPROVING AN AGREEMENT BETWEEN PUEBLO, A
MUNICIPAL CORPORATION, AND U.S. WEST COMMUNICATIONS,
INC., AND AUTHORIZING THE PRESIDENT OF CITY COUNCIL TO
EXECUTE SAME
THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, THAT:
SECTION 1
The contract between Pueblo, a Municipal Corporation, and
U.S. West Communications, Inc., relating to the purchase of central
office -based local exchange telecommunications service is hereby
approved.
SECTION 2
Funds for said contract have been budgeted and will be
paid out of the accounts for departments using the service.
SECTION 3
The President of the City Council is hereby authorized to
execute this contract for and on behalf of the City and the City
Clerk is authorized and directed to attest same and affix the seal
of the City thereto.

1.SCOPE.
1.1 USWC shall provide and CUSTOMER shall purchase CENT REX PLUS Serrice ('Service'). Service is an

trantpert of CUSTOMER's business communications Detween the Standard Network Interface ("S,NI") at

calling capability (intercommunication); 3) use of related Service features; and 4) Exchange /Network Access.
The SINI is the location where USWC's protected network facilities end and CUSTOMER's in-,Id? wire or network
begins, i he Service is provided by means of Main Station lines, stored program controlled central office
switching equipment, and either a per Main Station Une (non•bfacked) access to the general network or
owntrvlfed (blocked) access through the use of ,Netvn Access Registers or Channels, as determined by

6. TERMINATION,
6.1 If after installation of Service CUSTOMER requests termination of a portion of its Main Station Lines to a

12.3 Other than the determination of those claims over which a regulatory agcncy hes exclusive IMidiction,

claims.
12.4 If ai1y party files a judicial or administretive action, asserting claims subject to arbitration, and another party

13. LAWFULNESS, This Agreement and the parties' ections under this ASreernent shall comply with all
applicahlp fa wPI, slato, and local laws, n:k:s, regulatiors, court ceders, and governmental agency orders. This
Agreement shall be governed by the lames of the state where Seivice is provided. Any change in the rates,
charges or regulations authorl7cad by Iho iogalh/ constituted authoritiao will act as a =difiwCut; of all contracts to
that extent Mthout further notice. This Agreement shall be governed by the la'-vs of the state where Service is
provided.
14. SEVfrWILiTY. in the event that a court. governmanfal agonoy, or rogulatory agcncy vdth proper
jurisdiction determines that this Agreement er a pro•: isicn of this Agreement is unixrrful, this Agreement, or that
provision of this Agreement to the sxtant it is unizoifut, shall terminats. If a provision of this Agrcomont it
ierrr,inaled but the parties can lagaily, commArciaGy and practicably continue without the terminated -provision,
the remainder of this Agreement shall continue in effect.

15. GENERAL PROVISIONS.
15.1 Failure or delay by either party to exercise any right, povver, or privilege hereunder shall not operate as a
waiver hereto.
15.2 THs Agreement will not be assignable by CUSTOMER without the express written consent of USWC.
15.3 This Agreement benefits CUSTOMER and US%90. 'There are no third party beneficiaries.
15.4 This Agreement constPates the entire understanding between CUSTOMER and USWC with respect to

5.3.6 NETWORK ACCESS REGISTERS (NABS)
A. Description
Network Access Registers (NARs) are software in the Central Office that
restrict the number of station calls to and from the exchange network. All
station calls to the exchange network are passed through the NARs which are
sized for the customer's Common Block. Once that number is surpassed, the
calling party receives a busy signal.
B. Regulations.
1. Regulations, rates and charges as specified elsewhere in this Exchange and
Network Services Tariff for the services with which NARs are associated,
will apply as appropriate.
2. NARs may be provided as two -way, one -way incoming, one -way outgoing or a
combination thereof.
3. NARs will only be furnished where facilities permit as determined by the
Company.
C. Rates And Charges
1. The rates and charges for Network Access Registers include hunting and
touchtone.
2. A Service and Equipment will apply for initial installation and each
subsequent rearrangement or change of NARs.

A DESCRIPTION
1. Centrex Plus Service is a business communications system furnished only
from a Stored Program Controlled central office and is offered subject to
the availability of facilities and applicable generic feature programs. A
group of station lines is translated for an individual customer group and

6. REGULATIONS
1. A11 Centrex Plus station lines must be associated with the main switchin,
equipment. Other switching systems connected to a Centre. Plus system b
Voice Grade Circuits or group use arrangements are considered as separate
systems and are billed as such.
2. Each customer will be required to sign a contractual agreement for the
. furnishing of services on a rate stabiliZzed basis.
3. Customer request for temporary suspension, either full or partial cf

4. Where a Stored Program Controlled CENTRON Custom customer elects to
convert to Centrex Plus Service, nonrecurring charges do not apply to
in- service station lines, terminating arrangements, and optional service
features provided that (1) the customer's system continues to be served
by the same switching equipment, (2) there is no interruption of service,
and (3) there are no moves, changes or additions of such in service
station lines, arrangements and features.
5. Customers will be responsible to furnish all premises wiring, terminal
equipment and jacks used with the Centrex Plus Service.
6. The rates and charges specified for Centrex Plus are in addition to the
regular rates and charges for the services with which the Centrex Plus is
associated, e.g., WATS, Voice Grade Circuits, etc.
7. One primary directory listing is furnished without charge for each
Centrex Plus system. Directory listings of main station lines may be
provided at the regular business additional listing rate (CLT) as
specified in the Exchange and Network Services Tariff.
8. Transfer of calls will be provided on listed directory numbers on a total
system disconnect only.
9. Customers not wishing to change their listed directory number to be part
of a total system may keep their existing number(s). The customer's
existing numbers must reside in the same central office and control group.
10. Centrex Plus telephone numbers
may be sequential or nonsequential.

12. After the Service Date, if a Rate Stabilized customer removes, in whole
or in part, Main Station Lines to a level that is less than 80% of the
initial number of Main Station Lines, a termination charge shall apply.

equivalent or greater feature functionality provided: 1) the parties
negotiate for the upgraded service with a service term that is at least
equivalent to the remaining term under the current Rate Stability Plan:
2) the upgraded service is legally, technically, and commercially
available; and 3) the customer pays all charges assessed for the upgrade
of service including, but not limited to, all non - recoverable costs for
equipment and facilities and all nonrecurring charges incurred in the
provision of service under this Rate Stability Plan but net yet

15. The customer may request a transfer of service from the customer premises
location(s) to other customer premises location(s) within USWC's fourteen
(14) state service area. USWC shall grant the customer's request if 1)
necessary facilities are available; 2) the customer pays all uncollected
costs associated with the original premises location including, but not
limited to, stranded facilities costs, installation costs, labor costs,
engineering costs, and service order charges; 3) the customer agrees to
pay the recalculated monthly service charges and nonrecurring charges for
the new location; 4) the move results in customer retaining in total the
same or a greater number of Station Lines; 5) service is connected at the
new location within thirty (30) days of the disconnect date at the old
location; and 6) USWC and the customer execute either a written
Supplement to this Rate Stability Plan or a new Rate Stability Plan, as
is appropriate, with a term that is at least equal to the remaining term
of this Rate Stability Plan. If the move results in the customer
retaining in total fewer Station Lines or if service is not connected at
the new location(s) within thirty (30) days of the disconnect date at the
old location(s); the termination c.narce applies.
16. Customer Location
Customer primary location is that customer location within the area of
their current serving CO designated on the customer's billing record.
Customer secondary location is a customer location other than the primary
location served by one or more lines of the Centrex Plus system.
17. Centrex Plus Service is not available on public or shared payphone

19. The quality of transmission for calls utilizing Call Forwarding or
Conferencing may vary depending on the distance and routing involved.
For an enhanced quality of transmission, line conditioning is available
at appropriate rates and charges as found in this Exchange and Network
Services Tariff.
20. Centrex Plus Service requires special CO equipment and is not provided in
all COs. The Company may furnish Centrex Plus where there is available
facilities and CO equipment, with the proper program updates, as
determined by the Company.
21. Centrex Plus Optional Features will be furnished only where facilities
permit as determined by the Company.
22. Loop Diversity and Avoidance defined in the Private Line Transport Tariff
is available with Centre» Plus Service.
23. Customers may add lines tc a encre Plus s;stem at the rates and charges
in effect at the time the customer signed the Rate Stability Plan
agreement.
24. Centrex Plus rates and charges will be developed on an individual c- se
basis when unique engineering and customer specified c'edicaed
investment is required.
