EIGHT TO CONTRACT DATED FEBRUARY 24, 1992, BETWEEN THE CITY OF PUEBLO, A MUNICIPAL CORPORATION, AND ISBILL ASSOCIATES, INC., RELATING TO PASSENGER FACILITY CHARGES (PFC) AT THE PUEBLO MEMORIAL AIRPORT, AND AUTHORIZING THE PRESIDENT OF THE CITY COUNCIL TO EXECUTE SAME WHEREAS, the City of Pueblo, A Municipal Corporation, and Isbill Associates, Inc. entered into a Contract on February 24, 1992, and WHEREAS, both parties wish to amend the Contract to include fees for engineering services relating to improvements at the Pueblo Memorial Airport, BE IT RESOLVED BY THE CITY COUNCIL OF PUEBLO, COLORADO THAT: SECTION 1 A certain Amendment No. Eight to the Contract, a copy of which is attached hereto and made part thereof by reference, after having been approved as to form by the City Attorney, by and between the City of Pueblo, a Municipal Corporation, and Isbill Associates, Inc., relating to the inclusion of fees for engineering services to prepare and submit an Amendment to the Existing Passenger Facility Charge (PFC) application and prepare and submit a new PFC Application for the Pueblo Memorial Airport, is hereby approved, subject to the conditions as set forth in said contract. SECTION 2 Funds for said engineering services for this project shall be paid from account no. 50 -1995- 050- 000 - 040 -0020. SECTION 3 The President of the City Council is hereby authorized to execute said Amendment No. Eight to the Contract on behalf of Pueblo, A Municipal Corporation, and the City Clerk shall affix the Seal of the City thereto and attest the same. EIGHT TO CONTRACT DATED FEBRUARY 24, 1992 BETWEEN ISBILL ASSOCIATES, INC. AND THE CITY OF PUEBLO, COLORADO The Sponsor and the Engineer agree to amend their contract dated February 24, 1992, for improvements to the Pueblo Memorial Airport, Pueblo, Colorado to include fees for engineering services. The Improvement items covered by this amendment are described as follows: 1. Prepare and submit an Amendment to the Existing Passenger Facility Charge (PFC) Application and prepare and submit a New PFC Application. The Sponsor agrees to pay the Engineer for the services listed under Article II of the original contract in the following manner: PART A - BASIC SERVICES Not applicable for this amendment. BIDDING AND CONSTRUCTION ADMINISTRATION Not applicable for this amendment. PART B - SPECIAL SERVICES (PREPARE PFC APPLICATION) The estimated maximum Special Services engineering costs are as follows: Prepare and submit PFC application (Leibowitz AMC, Inc.) $12,500.00 Engineering support to Leibowitz AMC, Inc. (IAI) $4,500.00 A proposed scope of work and PFC Implementation Schedule is attached to and made a part of this contract amendment. Method of payment shall be as follows: Interim payments up to 90 percent based on work performed by the Engineer and detailed in a report submitted to the Sponsor with the request for payment. The remaining ten percent to be paid upon approval of the PFC application by the FAA. FIELD ENGINEERING The estimated maximum for FIELD ENGINEERING is: Not applicable for this amendment. All other terms and conditions of the original contract shall remain in effect. Based on your request, we have prepared a scope of work that will provide you with an amendment to your existing Passenger Facility Charge (PFC) Application and a new PFC Application #2. The scope of work for these services includes the following tasks: Task I Schedule and Implementation Strategy A schedule for the preparation, submittal and approval of an amended PFC Application and a new PFC Application will be developed and submitted to the Pueblo Memorial Airport Staff and City Council for review and approval. An implementation strategy will also be developed and presented to the Pueblo Memorial Airport Staff and City Council for discussion and adoption. Task 2 Determine Capital Improvement Projects The airport's possible PFC eligible projects will be identified and cost estimates for those projects will be developed or revised as necessary. The airport's Capital Improvement Plan will be revised or updated as necessary. Task 3 Airline Notice Letters will be prepared and sent to the airlines serving the Pueblo Memorial Airport notifying them of the City's intent to amend the existing PFC Application and prepare and submit a new PFC Application #2. PFC start dates, end dates, and revenue projections will be calculated and included in the Airline Notice letters. AIRPORT CONSULTANTS • ENGINEERS AN EQUAL OPPORTUNITY EMPLOYER Mr. Jim P. Elwood, A.A.E. October 2, 1995 Page 2 Task 4 Financial Plan This task will develop a revised financing plan that incorporates potential PFC proceeds with the airport's other funding sources. This task provides a revised financing strategy for implementation of the airport's CIP for projects to be financed with PFC revenue. Task 5 City Resolution The consultant will draft a revised resolution for the City Council to adopt. The revised resolution will identify the new projects to be financed with PFC revenue. Task 6 Public Hearing The consultant will attend a Public Hearing to be held in conjunction with a City Council meeting. During the Public Hearing, the consultant will answer questions regarding the PFC application process and the requirements of Federal Aviation Administration 14 CFR Part 158, Passenger Facility Charges; Final Rule. Task 7 Airline Consultation Meeting An airline consultation meeting will be held where the amendment to the existing PFC Application and the new projects to be financed with PFC revenue will be identified and discussed. Project descriptions, justification, and financial plans will be reviewed with airline representatives. The airline representatives will be provided with an Airport Layout Plan (ALP) drawing that identifies the specific projects and their location on the airport. The consultant will respond to all airline questions regarding the proposed amendment and new PFC Application. Task 8 Prepare and Submit PFC Application The consultant will prepare and submit an amended PFC Application and PFC Application #2 to the FAA, Denver Airports District Office. The PFC Applications will be submitted in the format prescribed by the FAA. Mr. James P. Elwood October 2, 1995 Page 3 Task 9 Coordinate PFC Application The FAA, Denver Airports District Office has thirty (30) days to determine if the amendment and new application is substantially complete. The consultant will coordinate with the FAA during this time to ensure that the applications are found to be substantially complete and submitted for public comment and final approval . Task 10 PFC Approval Letter Following approval of the amended and new PFC Applications, the consultant will prepare letters notifying the airlines serving the Pueblo Memorial Airport of the approval of the amendment to the existing PFC Application, the total amount of PFC revenue to be collected, and the new date the existing PFC will expire. Letters will also be prepared to submit to the airlines serving the airport that describes PFC Application #2. Task 11 Travel, Per Diem and Reimbursable Expenses This task provides for consultant travel and per diem required from completion of the planning services. Airfare will be between Denver and Pueblo, Colorado and will be billed at actual cost, if required. Per diem will be billed at actual costs for hotel and auto rental. Out -of -town meals will be billed at $26.00 per day: or $6.00 for breakfast, $8.00 for lunch and $12.00 for dinner. All other expenses will be billed at actual cost. Task M.1 Airfare DEN -PUB It is anticipated that two (2) trips will be required by Isbill Associates, Inc. and three (3) trips by Leibowitz AMC, Inc. to complete the amended PFC Application and PFC Application #2. Trips will be scheduled for a presentation to the City Council of the PFC projects and implementation strategy, Public Hearing, and Airline Consultation meeting. Task 11.2 Per Diem Days It is anticipated that three (3) per diem days in Pueblo, Colorado will be required by Isbill Associates, Inc. and Leibowitz AMC, Inc. to complete the amended PFC Application and PFC Application #2. Elwood October 2, 1995 Page 4 Project Cost and Schedule All financial and legal tasks described by this scope of work will be completed by Leibowitz Airport Management Consultants (AMC), Inc., a DBE firm that specializes in financial consulting to airports. All other tasks will be completed by Isbill Associates, Inc. Our fee for to perform the planning services described above will be a lump sum of $17,000.00. Fees for preparation of the amendment to the existing PFC Application, PFC Application #2, and your original PFC Application will be included as an administrative cost in PFC Application #2 and reimbursed by PFC revenue. We estimate that it will take approximately sixty -five (65) days to amend the existing application, prepare PFC Application #2 and submit them to the FAA. Assuming we receive your approval and notice -to- proceed by October 10, 1995 we would expect to submit the amendment and new application by December 15, 1995. A "draft" PFC Implementation Schedule is attached for your review and information. As always, we truly appreciate the opportunity to be of service to the Pueblo Memorial Airport.
